Invesllng in totsl over £74.6 mllllon in over 16,500 grants to voluntary and communty groups durlng that tlme across
Lan¢ashlre and Merseyslde to support communities to b8 prosperous and thrlvlng.

In awarding grants from 53 dlfferent funds and foundatlons durfng the year we dlstributed over £3.17m. This Included
600 grdnts to communlty groups and Indlvkluals across Lancashlre and Merseyslde, as well as grants to 34 groups
outsSde of our r8gSons. our￿lnt endowment fund stood at £20.8m by March 2025. having begun endowrnent buildlng
in 2007 wlth around £130.000.
We administered 53 funds and foundation$ in 2024125, worf(ing in collaboration with philanthropists, families. Irusts
and ¢omp8nies who a￿ committed to improving local lives. This work indudad administering 11 funds in Lanc8shire.
36 funds in Marseyside. 3 Ihal covered both Lancashire and Mers8yside and 3 which also indudèd areas in the rest
of the UK.
Th18 includes the funds of Ihe John Goore Charily which CFLM admlnlstrale and audit as a corporate trustee. Thls
endowment Investmenl is a slgniflcant contrlbutor to our sustainablllty as well a8 ensuring communlty legacy In
Lancashlre and Mers8yside for future generations.

Endowment grew by £160K in the year, the main contributor being Marsden Building Society. We Are delighted to
advise, however, that significant progress on the potential transfer of circa £25m endowment fund has been made.

We secure public sector funding programrnes via lender or pitch processes. in line wSth their requlrements and
pollcSes for the dEstrfbution of public funds. We secure contracts to be regional or local agents of funding
programmes via our umbrella body, UK Community Foundation5 as Quallty Accredlted Community Foundations.

average award size was £5,193 which v￿S an increase on 2023124 average granl size of £4.488.
We distributed 34 awards in 2024125 outslde of our typical Lan¢ashire and Merseyside area. This was
due to our work V•ith donors who wshed to support work in specific areas of the country in addition to their
grant-making in Lancashire andlor Merseyside

We are committed to our strategic view to undgrstand the needs of local communities and donors and, by
creating partnerships and involving donor5. ensure that these needs are met via a wcial change agenda.
Our community knowledge is increasing in its importance and further informs many aspects of our work.
Our research, highlighting community concerns and priorities, plus our community visit programme and
consultation continues to guide giving and our grant-making in Lancashire and Merseyside.

The merger of Community Foundation for L8ncashire and Community Foundation for Merseyside in April 2014 was 8
signfficant mi18Stone. This mergér continues io réap the benefits of èfficiencies.

Our Flnancial Management & Growth
CFLM for the SecOr￿ year operated majorlty publlc funds. comp8red to majorlty private funds In the year
before 2020121. The surplus for the year ended 31 March 2025 continu8d to ensure that we s￿ breaking even over B
three year perlod. From our current £21.3 mllllon endowmènt funds held, our ambltton18 to reach £24 mllllon by 2025
and £37 million by 2030 for full sustainability. Our current pipeline means these targets will be exceeded. Our
endowment funds have been impact8d by ongolng World events: and Ihe recovery of the funds contlnues to be slow.
We plan for the excess reserves lo be invested primarily in our growth and for organi58tional iryrovements as
finances allow.

CFLM operates In an ever changing economlc and polltical landscape. Due to this we work proactlvely to be tit for
purpose and relevant to our communities in Lancashire and Merseyside. CFLM has developed in ways to alk)w it to

The commltment and passlon of our staff team is hugely valued as we deliver our gr0￿h, community leadership and
legacy agenda.
The Senlor Management Team comprises of the Chief Executive, D8velopment Director, Flnance and Operation8
Dlrector, Dlrector of Programs and Head of Marketing and Inslghl. Remuneration levgls are set a￿ordIng to salary
bands which have been benchmarked by refe￿nce to other community foundalions within the UK Community
Foundation network. Annual performance obJeth88 are set by rgf8r8nce to key performance Indlcators agreed by
the Board.

The Objects of our Charity
The objects of our charity, as set out in the CFLM Memorandum and Artid8s of Association, are the promotion of
any charitable purposes for the benefrt of the ￿Mmunity in the United Kingdom but prim8rlly within the following

The Board

CFLM is run by a Board of Trustees vthich is responsible for setting the strategic direction of the organisalion, for
establishing policy and for maintaining proper governance. It me8t8 quarterly and comprises representatives of
andlor experts in the prfvale, publlc and voluntsry sectors. Average trustee attendance 15 85%-90010 wilh
absences typically due to holidaylsickness. All truslees have job dascriptions and person sp8cifications.

Trustee Recruitment, Appointment and Development
The trustees are nornally appointed by the membgrs of th8 company and up to one-third of thè trus188s VAII
normally retire each year and b8 eligible for re-election at the Annual General Meeting. Trustees can $8rve two
tems of three years wilh re-election for each term and a third three ye8r lemi if there is 8 case for the
organisation's business plans. No places on the board are reseNed for specific individuals or representatives of
part￿JIar organlsatlons,. detalled procedures are in place for the nomlnation end appointment of trustees.
Annually the Board assesses the expertise and skills wthin the Board membership and proactively recruits new
trusleas v•ith specific experience to ensure a full wmplemerrt of expartise and skills in order to govern the charity
and dellver our charitabl8 objectNes for public benefit. All new truste8s are given an induction s8ssion by the
Chairman and Chief Exe¢ulive to explain the operation of the charity. Regular training and tailored up4ales for
trustees take place to updats them and to ensure they are fully engaged wilh the vxjrk of the Cornmunity

The policy of the Charity is to award funding to individuals and organisations that have made a formal application
for a grant. that fulfil the requirements of the relevant programrne or fund and which have the necessary systems in
place to admlnister a grant. All fundlng appll¢ations are subject to a formal appraisal by our Staff before being
p￿sented to Ihe local grant panel, or the donor, for a recommendalion. A scoring system and process is used to
guide decisions. All panel or donor recommendation5 are ratlfied by the CFLM'S spnior staff or trustees prior to any
offer being made. Funding distributed is reported quarterly to the Board by fund, Ioc81ity and Social theme.
Before any funding is distributsd. we ca￿fullY and thoroughly assess the charitsble and public beneffts of the
proposed activities. The impact of our communty funding is then reported to funders, donor5. Stakaholders, staff

Investment Powers
The Charivs Investrnent Powers are prescribed in its Memorandum and Articles of Association. Th8 Board of
TrUst￿S has approvéd a document called 'Policies on Fund Managernent and Financial Control,. relating to the
management of 811 of its funds and ￿lch includes the strategies for the investsnent of its endowment fund. The
purpose of investm8nt in the endovKn8nt fund is to g8n8rate a sustainab18 income for grant4naking and meeting
runnlng costs.
The organlsatlon has appointsd professlonal Investment managers to manage th8 8ndovnnent. During the year
these were managed by CCLA and Investsc. As approved by Board and following a tender process, effective 1
Octob8r 2017 inv8Stments are to bo managed by CCLA for publ1¢ sector funds and charitable trust transfers, and
Investec for corporate and indlvldual endowment donations.
Investment performance targets are Issued annually to Investment managers; thin a framework of malntslnlng a
low to medium risk portfolio. inveslm8nt perfonnanc8 is measured by the board and finance committee. Each
manager is required to maintain a d1v8rslf￿d portfolio, with focus on UK and overseas equities. debt instruments
and cash,. investment In derivatfves or "hedge fund5. Is not pemiilted wthout the express consent of the trustees.
Investment Performance is monrtored by the board on a quarterly basis, using benchmarks such as the Ff AJI
stock8 Government Index, the FT All Share Index. the FT World Index (excluding UK) and the IPD Index as NNEII
as 8 comparison of the current investment managers, performance V￿th others in the field. Inve8tment
performanc8 is reported to Board on a quarterfy basis and revievffjd annualy.
For the Community First Endowrnent Challeng8 from 2012 - 2015 CCLA manage8 the funds based on an
investment pollcy 8greed by our UK umbrella organis8tlon. UKCFS with 8pproval from our Board. Although not
classified as perman8nlly endowed funds, CCLA manag8 funds under a total retum policy, calculating the indexed
value of the initial donation on an annual ba818 and enabling withdravRI of surplus over and above this figure to
supplement income recelved durfng the year. This method of cathlatlon has been applied slnce commencement
of the programme so can be precisety calculatsd by CCLA.
During the prevlous year, CFLM beg8n to conduct a review of the Ethlcal Pn)file of our Investment portfolk)s vith
our Investment Managers. Each Trustee and member of the SMT were invited to complete the suN8y to establish
whether any adjustment needed to b8 made to wher8 our portfokos sat. This process Is still in progress.
Our Risk Revlewg
Our Board of Trustees undertakes a regular review of the risks thal lh8 organisation fac8S; these are published in
fomial Organlsatlonal Rlsk Reglster and are r8POrted in a Charfty Commlssion advised 'heat map, format
quarterly to Board.
All rlsks identlfied V￿re addressed and mitigated as far as possible during 2024125 and looklng ahead, no
identified risks remain un8dd￿sSed. The Risk Assessment is subject to fomial annual review and update by the
trustees. vith interim rnonitoring on a quart8dy basis by the senior staff team. The organisath'on also uses a traffic
light system to monilor and measure progress ggainst a set of key organisational targets. Progress against tsrget
is assessed by the staff team on a monthly basi5 and reported to the Board on a quarterly basis. using a delivery
forecast system.

Our Board has continued to endeavour to build and maintain a level of reserves appropriate to its ¢ommitinents

continues to slrive to ensure that reserves of six months running costs are held at any timo as per our policy, in
line wilh the Chanty Commission's guidance. Current free g8neral r85erves at the year end of £782,239 are
Suff￿lent to cover 9 months of budgeted costs for 2025128. CFLM has built lolnt reseNes as per the pollcy and
covered the budgel deficit and core costs joinuy as appropriate for susiainability. especially investment in our
community impact. Any r8serves held abov8 the six month policy level are linked to a Reserves Spending Plan,
regularly reviewed and approved by the Board to 8UPPOrt CFLM'S development and sustalnablllty.

Funding
The Trustees are committed to seeking funding from a V￿de range of sources. ensuring that in￿rne streams
are diversified and CFLM is not overly reliant on any single source of funding.
Flnanclal Statements
The financial statements have been prepared in ac￿rdanCe viith the Companies Act 2006, Charities Act 2011
and FRS102 and comply with the Ch8rities Siatement of Recommended Practice on Accounting. The
movement in funds is shown on the Consolidaled Statement of Financial Aciivities. CFLM realised a surplus
in its unrestricted funds of £745 (2024: surplus £69.420). CFLM'S total funds (unrestricted funds, restricted
immediate impact funds and restricted endowment funds) amounted to £23.274,132 at 31 March 2025 (2024:
£24,386,489). The Trustees have passed a totsl retum resolution for pemianent endowments

Reserves Pollcy
The r8s&rves of CFLM are composed of restricted, unr8Stricled and 8ndowmant funds. Th888 funds ar8
malntsined at a sufficient level in order to allow Ihe smooth operation of our activits-es.
Unrestricted Reseples: The Trustees are committed to building up general reseDies to ensure that the core
activities of CFLM will continue into the future. The target is to have a minimum of six mnths, core costs in
unrestrlcted reserves - bas8d on our 2025126 budget this V￿uld amount to £488,667. The free general
reser4e5 of the Foundation (our unrestricted reserves less our fixed assets) at 31 March 2025 amount to
£782,239 (2024.. £784.297). Any surplus 18 invested.
Restricted Reser¥es: The restricted funds at the year end were either held in the fomi of cash in bank
accounts or investments. Details of investrnents held are shown in note 13. The current level of restrict8d
funds. and Ihe ongoing fvnding arrangements relatlng to those funds, 18 sufflclont to maintaln the speclfic
projects they relate to.
Endowment.. The Board recognl8e8 tho need to grow endowment levels to provide a sustainable source of
future income. which is one not afffected by new contracts and funding cycles.
Investments Policy
Investment policy is reviewed annually by the finance and risk committee and board. in conjunction with
review of investment perfomiance. Investment managers retain authority to trade in market securities within
the rnandate of retaining a well-diversified portfolio of medium risk. Our policy on fund management and
flnancial control Is avallable on request.
Commitsnents
The Trustees had made no commitments to futur6 capitsl purchases, nor given any guarantees, at the
balance sheet date.

rounded to the nearest pound. The charity conskn'lutes a public benefit entity as defined by FRS 102.
The financ￿1 8tatements h8ve been prepared in accordance wlh Accounting and Reporting by
Charities: Statement of Recommended Practice applicable to cherities preparing their 8ccounts in
accordance with the Financi81 Reporting Stsndard applicable in th8 UK and th8 Republic of Ireland
(FRS 102) (effectlve October 20191- Charities SORP IFRS 102), the Financial Reportlng Standard
applicable in the UK and Republic of Ireland and the Companies Act 2006.
