Introduction
Community Foundatlon funding distrlbutlon has taken plac8 in Mer5eyslde since 1999 and In Lancashlre since
2007, Investing in total over £71.5 rnillion in ovér 16.000 grants to voluntary and communlty groups durfng that tirne
across Lancashire and Merseyside to support communities to be prosperous and thriving.
Overvlow of 202312024
In awarding grants from 55 dlfferènt funds and foundatlons during the ye8r we dlstributed over £3.24m. This
Included 512 grants to comrnunlty groups and individuals across Lancashire and Mer8eysid8. as well as grants to
23 groups outside of our rggions. Our loinl endowment fund stood at £21.3m by March 2024, having begun
8ndowment bullding in 2007 with around £130,IX)O.
We admlnlstered 55 funds and foundatbons In 2023124. worklng In collaboratlon with phllanthropl8ts, famllles, tru8ts
and companies who are committed lo irnproving local lives. This work included edministering 13 funds in
Lancashire. 38 funds in Merseyslde, 3 that covered both L8ncashire and Merseyside and I which also included
areas In the rest of th6 UK,
This includes the funds of the John Goore Charity which CFLM administrate and audit as 8 corporate trustee. This
8ndowment Investrnent Is a slgnificanl ccntrlbutor to our sustainabllity as well as ensuring community 18gacy In
Lancashire and Mer8eyside for future generations.

Challenglng year for endowmont bulldlng wlth upllft in flow through fundlng
Endowment building achieved the minimum largat this year of over £400k, with main contributors bèing Marsden
Building Society. Liverpool Ladies Institute and Liverpool ONE. Endowment building continues to be a challenge
although In our current pipellne a polentlal slgnfflcant trust transfer of £25m has advanced and18 looklng incredibly
encouraging.

A new flow through fund, LF Foundatlon, has been established to focus on St Helèns and surrounding areas. The
Fredmill Trust has bggun working wlth us to support the Women's Fund 8cro5s LanGashire and Merseyslde.
Gosl of Ilmng orisis has continued to be a major focus this y8ar. In order to assist front line group5 SUPPOrting
disadvantaged communitie5 W9 have infiuenc9d donors to be fle￿ble in contributions to group core costs and multi-
year funding of projects.

Profile and PR
CFLM have attended a high volume of events throughout the year, the notable ones being: Merseyside
Women of the Year Awards, NW Family Business Awards, Football for Change fundraisers, Red Rose
Awaftls, EVAS, Professional Liverpool. Saffron networking events including Diwali, UCLAN and East Lancs
Chamber events.
The Football for Change events have resulted in significant profile raising for CFLM due to the support of
sports and music celebriti8s and the PR that comes as a resull of that.
Amanda Park8r, the new Lord Lleutenant of Lancashlre. taklng the ￿18 of our Presldant In Lancashlre and
our nevAy appolnt8d Trustees (Ruj Dev and Sarah Pickerill) plus the appointment of TIM Mitchell as new
CFL Senior Business Development Manager were featured in the Lancashire Busine85 View and East Lancs
Chamber newsletters.
Our Patron Cherie Blair supported our profile raising at the Merseyside Women of the Year AvRrds by
participating in an interview with CFLM CEO which resulted in significant online coverage.

Dovelopment of Lancashlre Invo8tor8 In Communlty - The fonner High Sheriff of Lancashire and current
Chairman of Booths supermarkets, Edwin Booth CBE DL, has charnpioned CFLM wth the Lancashire
Investors In Community initiative to support CFLM core costs and growth plans. 24 businesses were
Investing in LIIC by the end of 2024 financ￿81 year. Tim Milchell continues to build support for the initiative in
the early stages of hi8 appointment.

As an enabler for private change, we strive to support thos8 who choose to work with us to be effective in

The Charity Commission's endor59Tnent of communlty foundations as an altemative to ragistering a charity
provides a welcomed endorsement of our work locally and as a UK network of 47 community foundalions.
The Charity Commission slates that "this saves the time and effort of setting up and running a charity then
closing it once the original need has b8en mel. Dependlng on the charity, you can say wher8 you wanl the
money to go."
Our approach to income generation and fund development to bring on board new fund holders involves worklng
with e%istsng and new donors within Lancashire and Merseyside who a￿ committed to our Ioc81 communities.
Via research, project vlslts, rneeting5, events end community funding distrfbutlon we have built valuable
relatlonships. W8 secure publlc sector funding prograrnmes via tend8r or pitch processes, in Ilne with their
requirements and policies for tha distribution of public funds. We secure contracts to be regional or local agents
of fundlng programm8s vla our urnbr8lla body, UK Community Foundations as Quality Accredited Community
Foundations.

We supported charities, community groups, social enterprises, vulnerdble individuals and households in
need to improve the lives of local people across a variety of social themes. The 460A success rale for

size was £4,488 which was an increase on 2022123 average grant size of £4.417.
We dlstributed 23 awards In 2023124 outside of our typical Lancashire and Merseyside area. This was due
to our v￿)rk with donors who wshed to support V￿rk in specifiG areas of the country in addition to their
grant-making in Lancashire andlor Merseyside

We are committed to our strategic view to understand the needs of local communities and donors and, by
creating partnerships and involving donors, ensure that these needs are rnet via a social tharvJe agenda.
Our community knowledge is increasing in its importance and further informs many aspects of our work.

The merger of Community Foundation for Lancashire and Community Foundation for Merseyside in April 2014 was

Our Flnanclal Management & Growth
CFLM for the 58cond year operated with majority public funds, compared to majority prfvate funds in the year8
before 2020121. Th8 surplus for the year ended 31 March 2024 continued to ensur8 that we ar8 breaking even over
a thr80 year p8rf0(l. From our current £21.3 rnllllon endowmerrt funds held. our ambltlon18 to rgach £24 mSlllon by
2025 and £37 rnillion by 2030 for full susl8inability. Our endowm8nl funds have been impacted by ongoing Worfd
events: and Ihe recovery of the funds conllnues to be slow. We plan for the exce85 re88rves to be Invested prlmarily
in our growth and for organi5alion81 improvements as finances allow.
Our Oryani8atlonal Development
CFLM operates in an aver changinp economic and political18ndscape. Due to this we work proactively to b8 rrt for
purpose and re18vant to our communltles In Lancashire and Merseyslde. CFLM h88 dov8loped in w8y8 to allow It to
operate switching between majority private and majority public funding.
Our organisats'on815tnJcture consists of 14 staff (approx. 13 fv11-time equivalents), working across Ihe function8 of
Programme8 (5), Financ8 and Operations (3), Business Development and L8adership16)
The commitment and passion of our Staff te8m is hugely valued a5 deliver our growth, community leadership
and legacy agenda.
The Senior Management Team comprises of the Chief Executive, Development Director and Finance Director and
Dirgctor of Programs. Remun8ration levels are set according to salary bands which have been bonchmarked by
reference to other cornmunity foundations within the UK Community Foundation ne￿Ork. Annual perfomance
objéctives are set by reference to key perfomiancè Indlcators agreed by the Board.

City of Liverpool and th8 Metropolitan Boroughs of Wirral. Sefton. Knowsley and St Helens tog8th8r with
th8 area of Haiton Borough Council:

The maln area of our charitable actlvlty is th8 awardlng of charltable fundlng wlthln the local communty. Thls is
achieved by raising donations from private, public charitable sources and redistributing them {or the income they
generate in the c85e of invested or endowed fund5) as constructive gr8nts to the local cornrrunity, according io the
donors, wish88. The charity has relatlvaly little unrestrlcted ir￿orne that it can use for grant-makSng.

Investment Powers
The Chariws Investment Powers ere pre￿ribed in its Memorandum and Artides of Association. The Board of
Trustees has approved a document called 'Policies on Fund Management and Financial Control,, relating to the
management of all of Its funds and which includes the strategles for the investment of Its endowment fund. The
purpos8 of investment in the endowm8nt fund is to generate a sustainable income for grant-making and meeting
Tunnlng costs.
Th8 organisation has appointed professional investment managers to manage the endowment. During th8 year these
wefe managed by CCLA and Investec. As approved by Board and folowing a terKler process, effective 1 October
2017 investm8nts are to b8 managed by CCLA for public sector funds and charitabl8 trust transfers, and Inve8tec for
corporate and individual endowment donations.
Investrnent perfomance targets are Issued annualy to Investment managers., wlthin a framework of m8lntalning a
low to medium risk porffollo. inv88tm8nt perfomance is measur8d by the board and finance committ88. Each
manager is required to maintain a diversrfied portlolio, with focus on UK and overseas equities, debt instruments and

Invesimenl performance is monitored by the board on a quarterly basis. using benchmark8 such as the FT All Stocks

omparison of the current investment managers, p8rfomiance with oth8rs in the field. Investment perfomiance is
reported to Board on a querterty basis and rewewed annualty.
For the Community First Endowment Challeng8 from 2012 2015 CCL4 manages the funds b888d on an
Investment policy agreed by our UK umbrella organlsation, UKCFS wlth approval from our Board. AllhoLvJh not
classrfied a8 permanently endowed funds, CCLA manage funds under a total r8tum policy. calculating the irKlexed
value of initial donation on an annual b8sbs and enabling withdrawal of SurpIL￿ over and above this figure to
supplem8nt income received during the y8ar. This method of calculation has b8en applied since comm8ncem8nt of
the programme 80 can be precisely c81culated by CCL4.
During the previous year. CFLM began to conduct a review of tha Ethical Profile of our Inv8Stment portfolios with our
Investmenl Managers. Each Trustee and member of the SMT were InvSted lo complete the survey to establish
whethar any adjustment needed to be made to where our portlolios sat. This process is Still in progress.
Our Rlsk Revlews
Our Board of Trustees undertakes a ￿gUlar review of the rksks that the organisation faces., these are published in a
fomial Organlsallonal Risk Register and are reported in a Charfty Commission advised 'heat map, format quarterly to
Board.
All risks identwled were add￿SSed and mitigated as far as posslble during 2023124 arKI looklng ahead, no identified
risks remain unaddressed. Th8 Risk Assessment is subject to formal annual review and update by the trustees, with
interim moniioring on 8 quarterty baFis by the senior staff team. The organisalion also Uses 8 traffic light System to
monitor and measure progress against a sèt of key organi5ational targets. Progress against targ8t is assessed by the
staff team on a monthty basis a￿1 reported to the Board on 8 quarterfy basis, using a delivery forecast system.

Funding
The Trustees are committed to seeking funding from a wide range of sources, ensuring that income streams
are dlversified and CFLM is not overly reliant on any slngle source of fundlng.
Flnanclal Ststements
The financial statements have been prepared in accordance with the Companies Act 2006. Charities Act 2011
and FRS102 and comply with the Charities Stalement of Recommended Practice on Accounting. The
movement in funds is shovffl on the Consolidated Statement of Financial Activities. CFLM realised a surplus
in ils unrestricted funds of £69,420 (2023.. surplus £19,756). CFLM'S total funds (unrestricted funds, restricted
immediate impact funds and restricted endowment funds) amounted to £24.386,489 at 31 March 2024 (2023:
£22,261,051). The Trustees have passed a total retum resolutlon for pemanent endowTnents

Reserves Pollcy
Th8 reserves of CFLM are composed of restricted and unrestricted funds. These funds 8re maintained at
sufficiant level In order to allow the smooth opèration of our activities.
Unrestricted Resenrfes: The Trustees are committed to building up general reserves to ensure that the core
activities of CFLM wll continue into the future. The target is lo have a minimum of six months, core c051s In
unrestricted reserves - based on our 2024125 budget this w?uld amount to £462,276. The free generdl
reserves of the Foundatlon (our unrestrlcted reserves less our fixed assets) at 31 March 2024 amount to
£784.297 {2023.' £778,610). Any surplus is invested.
Reslricted Reserves.. The restricled funds at the year end were either held in the form of cash in bank
accounts or investments. Details of investments held are shown in note 13. The current level of restricted
funds, and lh8 ongolng funding arrangements relating to those funds, is sufficlent to maintaln the speciflc
projects they relate to.
Invostments Policy
Investment policy is reviewed annually by the finance and risk committee and board. in conjunctlon with a
reviaw of investmant perfomiance. Investment managers retain authority to trade in mark8t securities withln
the mandate of retaining a w811-diversified portfolio of medium risk. Our policy on fund management and
financial control is evailable on request.

The Charity is a registered charity in ErKJland and Wales and is a pfvate company ￿Mited by guarantee
without share capital, reglstered in England and Wales under the Companies Act. The addrèss of the

The charity constitutes a publlc bonefit entity as defined by FRS 102. Tha financlal statéments have
been prepared in accordance with A￿oUntIng arKF Reportlng by Charftie& Statement of
Recommended Practice applicable to charities preparing Ihair accounts in a￿Ordar￿8 with the
Financial Reporting Standard appliGable in Ihe UK and the Republic of Ireland (FRS 102) (effective
October2019>- Charthes SORP (FRS 102), the Financial Reporting StaThJard applicablB in the UK and
Republlc of IrelaTrJ and Ihe Comp8nles Act 2006.
Th8 Staternent of Flnanclal Actlvf(ies and Balance Sheet Consolldate the financial statements of The
Charity of John Goore (Charity Reg No 238355) which was acquired on May 2nd 2017.
The Communty FourKlatlons for Lancashire and Merseyslde meets the definition of a public benefit
entity under FRS 102. Assets and liablilies are initialty recognised at historical cost or trartsaction valu8
unless olhen4vise stated in the relevant 8ccounting policy notes.

for distribution. with an agreed propjrtion trdnsferred to cover management and adMinistrat￿n costs.

Foundation has control over the item. any ￿nditionS associated with the donated item have been me(

reliab5y. In accordance with the Charities SORP {FRS 102), the generdl volunteer time of volunteers
not recognised and usets of these financial statements should refer to the Trustees. annual ￿port for
mora information about their conlribution.
On receipt donated professional services and donated facilities are recognised on the basls of the
value of the gift to the charity which is the amount the charity would have been willing lo pay to obtain
services or facllltie5 of equlvalent economlc beneflt on the open market., a corresponding arnount is
then recognised in expenditure in the period of recelpl.
Resources oxpended
Resources expended are Included In the SOFA on the awuals basis as a118bllity Is Incurred, based on
work done or services provided in the period. Expenditure includes irrecoverable VAT. arKI is rewted
as part of the expenditure to which it rekqte8.
Grants payable are reco9nised as expendiiure when the commitmerrt 18 made and monrtoring of
previous commitments is complete.
Costs of Generating Funds includes the cost of brochures, advertising, fundraising and other

Charltable expenditure comprlses those costs Incurred by the charity In ￿ delfvery of Sts actlviti88 and

costs of an Indlrect nature necessary for the activities of the charity.
Govemance costs inclLKlè those costs associated with meeting the consututlonal a￿1 statutory
requirements of the charity and indude Costs linked to the strategic management of th8 charity.
All costs are allocated between the expenditure categories of the SOFA on a basis designed to reflect
