a$10sses incurred by the group due to the Impact of the COVID19 pandemic.
Free reserves are descrlbed as those reserve5, excluding tixed a55et5 which are readlly avallable for use In the

trustees consider the level of free reserves sufficient to fund its grant pro8ramme and cover any unplannèd
Key management and remuneration policy
The trustees are not remunerated and the Trust ha5 no employees. The trvstees are considered to be the key
rnana8ement personnel.
PrintiplÈ risks and untÈrtainties
The trvstee5 have 355essed the fflajor risks to which the chèrity is Exposed, in particular those related to the
investments, 0￿rationS and finances of the charity. and are Satisfied that systems and procedures are In place to
rnitigate the exposure to the major risk5.
The prinapal risk for the Foundation at thi5 early 5tsge in it5 development is not meeting the objects of the charity. The
trustees are fully aware of thi5 and are Ènsuring that the Foundation is becoming rnore active with the launch Df its
own dedicated webslte wlth reEularly vpdated archive of advice, insights and Inspiration.
Future Plans
Hèvin8 established the reserves of the Foundation with the initial irKome from donations received from the Paul Smith
DiscretionaryTrvst. the trustees continue to increase the visibility and actNite5 of the charity with a modest level of
growth in grant and donètion attivity whilst focussing on generating income from Its investments for longer term
allocation to causes that fvrther its objectives. The trustees will continue to increase the level of bwarenes5 of the
Foundation through its own dedit8tÈd website. Inltia51y provldine advice. insights and inspiration to 8 riew genèration
of creatives.

within the Statement of Financial Artivitie5.
The financial statements have been prepared in accordanceurith the Financial Reporting Standard applicable
in the UK ond Republic of Ireland IFRS 1021- The charitable cornptny 15 a public benefit entity forthe purpose5
of FRS 102 and therefore the charitable company also prepared its financi31 statements in accordance with
the Ststernent of Recommended Practice applicable to ch3ritiÈs preparingtheir attounts in attordance with
the Financial Reporting Standard applicable in the UK and Republic of Ireland (The FR5 102 Charities SQRPI,
the Companies Act 2CK)6 and the Charitie5 Act 2011.
The financial statements are prepared in sterling, whith is the functional currency of thecharity. MonÈtary
amounts in these financial ststements are rounded to the nearest pound.
Costs in the prior year havÈ bÈen restated to recognlse archSve cost5 that were previously omStted. The prlor
period adjustment is detailed In note 22.
The principal 3ccounting policies adopted in the preparatiori of the financial statements are set out below.
Golngconeern Basis
The trustees have a5se55ed whether the use of the goin8 toncern basi5 is appropriate and have considered
P055ible events Dr ccnditiOn5 that might castdoubt on the ability of the charity to continue as a EoinÉ
concern. The tru5tee5 have made this a95e55ment for a period of at least one yearfroffl the date of approval
of thÈ financial statement5. In particularthe trustees have considered the charity'5 forecasts and projections
and have tsken account of pressures on donation incorne, dividènd income and the valuation of the
investment portfolio ènd income 8eneratlon from the fund. After makingenquiries the trustees have
concluded that there is a reasonable expectation thatthe charity hès èdequate resources to continuè in
operational existence for the foreseeable future. The charity therefore continue5 to adopt the goln8 concern
basis in DreDarinR its tinanclal statements.
Incorne
Income is credited to the Ststement of Financlal ACti￿rIeS on an accruals basis when there is entitlement to the
funds, the receipt is probable and the amount can be measured reliably. Donated investtnent5 are valued at
their market valuè on the d3te of transaction. Investment income and bank interest are accounied for on
receivable basi5
E¥penditure
Expenditure 15 charged on an accruals basis. Grants payable are included In the Statement of Financial Attl￿tIeS
when approved by trustees and offered to thegr8ntee. Support costs have been apportioned acr05S
expenditure relating to charitable acitivies.
Investments
In valuing in¥e5tment5 the trustee5 have had duÈ regard to Section 11 Para8raph 17 of the SORP. Investments
are accounted at their fairvalue. Those unlisted investments forwhere fairvalve cannot be established using
valuation technique are Hccounted at cost. Investments are reviewed each year for impairment with any write
off included in the Statement of Financial Attivities. Realised and unrealised gains and losse5 on Investments are
Included kyithin the funds.
Creditors
Contractual arrangements are recogni5ed a5 goud5 and serlfices are supplied. Other 8rant payments arè
reco8nised when a constructive obligation arises.

5tatement5, when there is a legally enforceable right to Set off the reco8nised amounts and there 15 an

With the exceptions of prepayments and deferred income all other debtor and creditor balances are
considered to be basic financial instruments under FRS 102.

The trustees have reviewed the appropriateness of methods used in valuing the unlisted Shares of the

in the companies of those shares.
Investrnents are impaired where there is objective evidence th3t, as 3 result of one or rnore event5 thBt
occurred after the initial recognition uf the finantial asset, the estimated future cash flows have been
affected. The impairment loss is recognised in the SOFA.
b. Amortisation of Intangible Assets
The int8neibl& assets held èrè all in repsett of website develepment costs. Therefore the trustees consider an
amortlsation policy of 5 years straight line to be reasonable where it meets the criteria for capitalisation

The Foundation's exposure to market risks is restritted tothe spetifit Fnarket5 Qf tompanie5 the Foundation
invest5 in,- there is no direct exposure to general market risks. The specific markets include Paul Smith Group
Holdings Ltd in Fashion wholesale and retail and CPP Ltd in Property. The Fashion wholesale and retail
market faced challenges during the year but not to the exrent that It would challenge the carryingvalue of
the investment in the accounts. The Property company is well funded and generally maintsins a consistent
dividend policy. As with risk, the Foundation's portfolio has limlted dlrect exposure to general market
perforrnance and instead 15 imp3Cted by specific rnarkets perf0rrnan￿.
The FDundation's exposure tie5 into it5 investment objectives as the inve5tment5 either continue to direthv
promote the objetts and profile of the charity or provide a long-term irwe5trnent returri for the charity. Sir
Paul Smith. as a Trustee and AMbas￿d0r for the charity. ha5 direct interest and influence in manawng the
risk of thè investments. The charity 15 also currently tonsidering the option to appoint new independent
trustees.
The Foundation acqulred its shares in PSGH Ltd and CPP Ltd byway of a gift to the Foundation from Sir Paul
Smith's Trust. The charity invested fund5 in UP Ltd as it directly promote5 the objectives of the charity In
supporting new talent in the crèative industries. The charity ctrfunded alongside Sir Paul Sfflith, the purchase
nd restoration of the 9 St Thomas Street building as a long-term investment. No revaluation has been
carried out this year.

The long-tsrm aim of the FoundatSon involvln8 rhe Investments is to gain dividend irKomÈ and capital growth
from PSGH Ltd, CPP Ltd and St Thom45 Stieet. The long-terrn aim of LIP Ltd is to continue promoting the
objective5 of the charity.

All of the Foundation's investments are held in GBP and therefore the Fr¥Jndation is not eyp05ed to currency risk.

The carrying amounts ststed above represent the Fovnd8tion'5 maximum exp05urE to tredit risk. Management is
not aware of anyfurther credit risks and therefore further disclosure is not reouired.
