DIRECTORS’ AND TRUSTEES’ REPORT FOR THE YEAR ENDED 31 DECEMBER 2024
The Directors and Trustees of the World Federation of Rose Societies (WFRS) present their report with the financial statements of the Charity for the year ended 31 December 2024.
Objectives of the Charity and Principal Activities
-
a) The advancement of education in horticulture for the benefit of the general public and in particular, in the conservation, cultivation and classification of the rose.
-
b) To undertake research into all matters concerning the rose, and to disseminate the useful results of such research for the benefit of the general public.
Developments, Activities and Achievements of the Committee during 2024
The Executive Committee
- The Committee held a meeting in Sweden, during the 16th International Heritage Conference. The Executive Director advised the Trustees that he had sent out invitations for Member countries to seek nominations for the Friends of the Federation Scholarship Award. Only one application had been received from the Chinese Rose Society, which proposed that Miss Ji Naizhe from Beijing to be considered for the grant. The dossier sent to Mr. Lawrence by the society had been impressive and it is felt that the standard presented should act as a benchmark for future applications to be considered. The Chairman of the Promotions Committee, Mrs. de Briey, informed the Committee that Miss Naizhe is currently employed by the Beijing Academy of Forestry and Landscape Architecture. Although it had been understood that travel costs would be paid on this occasion, it was agreed that in future that such costs must be met by the recipient. Miss Naizhe attended the Conference, and it was considered as a success. The Executive Director informed that he would send out further invitations toward the end of the year in the hope in finding another ideal candidate to attend the 20[th] World Convention, being held in Fukuyama, Japan in May 2025. Henrianne de Briey was very pleased to report that, so far, Felco Sponsorship Agreement had raised €70,000. This was mainly used to rebuild the WFRS website and also allow regular maintenance and updates provided by a professional IT Company. Felco sponsorship also allowed grants to be given to organisers of World Conventions to the total amount of £7,000 for organisers of Regional events or Heritage Conferences to receive grants to the value of £3,500. The total Sponsorship Agreement for the year came to a grand total of € 20,000. She hoped that Felco will continue to sponsor the Federation in the future. She was pleased the Federation had presented Felco with a new red coloured rose variety, that was aptly named Felco and launched in style at Felco Headquarters based in Switzerland on 14[th ] June, where she was present with the President and Treasurer. It is hoped that the Felco rose cultivar would strengthen the bond between both organisations. In response to an apparent gradual decline in interest of the ‘Triennial Report’ publication, which had been produced for delegates at past World Conventions, the Executive Director conducted a digital ballot in order to gauge Member Countries opinions of the matter. The result of the ballot declared overwhelming support for the publication to cease forthwith.

The President
During the past year, Mrs. Diane vom Berg travelled extensively to represent the organisation. She attended international rose trials which were conducted in Nyon, Switzerland, BadenBaden, Germany, Saverne, France, Bagatelle, France and Kortrijk, Belgium.
Details of Decisions of the Executive Committee, conducted by electronic voting procedures:-

a) Approved of the Associate Membership application of Columbus Park of Roses, USA.

b) Approved of the Associate Membership application of Huntington Library, Museum and Botanical Gardens, USA.
-
c) Approved of the application for San Diego Rose Society to host an WFRS Regional Convention during late April early May 2027.

d) Approved of the Associate Membership application of Friends of Vintage Roses, USA.
-
e) Approved funding for the Màrk Rosarium Development Project. €4,000.
-
f) Approved funding for the Save the Rambler Initiative, USA. $5,000.
-
g) Approved funding for the Roseto Bontanico Gianfranco (Fineschi Collection). €5,000.
-
h) Approved to appoint Mr. Richard Grabowski as Executive Director to succeed Mr. Derek Lawrence when he retires from the role in May 2025.

i) Approved to appoint Mr. Derek Lawrence as Executive Advisor from 24[th] May, 2025.

j) Deliberated at length the Federation’s affairs, which included:
-
i) Associate Member in significant subscription arrears: The Polish Association of Rose Breeders membership was terminated. The position over subscription arrears will be continued to be monitored.

ii) Friends of the Federation Donors under this scheme now total 60 registered ‘Friends’ and 39 ‘Life Friends’. The Chairman reported that the funds generated by the scheme has so far raised over £13,500. During the WFRS Conference held in Sweden in July, 30 Friends attended the ‘Friends Dinner’.

iii) Commemorative Medallion Following the 16th International Rose Conference, held in Sweden in July 2024, the host Member, the Swedish Rose Society was bestowed with a WFRS Bronze Commemorative Medallion.
g) The Executive Committee sadly acknowledged the passing of the following:
The late Mr. Kelvin Trimper, AM WFRS President 2018 – 2021.
The late Mr. Vince Gioia, WFRS President 1985 – 1988.

Standing Committees
- a) The Publications Committee continues its responsibilities through the Editors of World Rose News’ , ‘ a rose by any other name ’ the website and social media platforms to produce regular news and information for all Members and the general public. During the year, the Committee appointed Marga Verwer to become the Federation’s duly appointed Webmaster.
Finances
The Federation’s reserves stand at £ 110,978.00 . The Executive continue to monitor the Federation’s finances to ensure continued improvement.

We report on the accounts of the company for the year ended 31 December 2024, which are set out on pages 6 to 11.
Respective Responsibilities of Trustees and Independent Accountants and Examiners
The trustees (who are also the directors of the company for the purposes of company law) are responsible for the preparation of the accounts. The charity's trustees consider that an audit is not required for this year under section 144 of the Charities Act 2011 (the Charities Act) and that an independent examination is needed.
Having satisfied ourselves that the charity is not subject to audit under company law and is eligible for independent examination, it is our responsibility to:-

examine the accounts under section 145 of the Charities Act;
-
to follow the procedures laid down in the general Directions given by the Charity Commission under section 145(5)(b) of the Charities Act; and
-
to state whether particular matters have come to our attention.
Basis of Independent Accountants' and Examiners' Statement
Our examination was carried out in accordance with the General Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and consequently no opinion is given as to whether the accounts present a 'true and fair view' and the report is limited to those matters set out in the statement below.
Independent Accountants' and Examiners' Statement
In connection with our examination, no matter has come to our attention to indicate that:

accounting records have not been kept in accordance with section 386 of the Companies Act 2006;
-
the accounts do not accord with such records;
-
where accounts are prepared on an accrual basis, whether they fail to comply with relevant accounting requirements under section 396 of the Companies Act 2006, or are not consistent with the Charities SORP (FRS 102)
-
any matter which the examiners believe should be drawn to the attention of the reader to gain a paper understanding of the accounts.

For the financial year ended 31 December 2024 the company was entitled to exemption from audit under Companies Act 2006, s.477 relating to small companies, and the members have not required the company to obtain an audit of its accounts for the year in question in accordance with Companies Act 2006, s.476. The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records, and for the preparation of accounts.
The financial statements of The World Federation of Rose Societies, which have been prepared in accordance with the special provisions relating to companies’ subject to the small company's regime within the Companies Act 2006, Pt. 15, and in accordance with Charities SORP (FRS 102), were approved by the Executive Committee on______,2025 and signed on its behalf.

1 ACCOUNTING POLICIES
1.1 Statement of compliance
The financial statements are prepared under the historical cost convention in accordance with the Statement of Recommended Practice: Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019) - (Charities SORP (FRS 102), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006.
1.2 General information
The charity is constituted as a company limited by guarantee, incorporated in England & Wales and is, therefore, governed by a Memorandum and Articles of Association. Each of the 39 members (2022 - 39) have undertaken to contribute such amounts as may be required, not exceeding £10 each. Its registered office is 25 Park Street, Macclesfield, Cheshire, SK11 6SS, United Kingdom.

Going concern
The directors and trustees believe that the company has adequate reserves and levels of income and that it is well placed to manage the charity's risks successfully. Accordingly, they have a reasonable expectation that the company has adequate resources to continue in operational existence for the foreseeable future. Thus, they continue to adopt the going concern basis of accounting in preparing the financial statements.

Incoming resources
Voluntary income, donations and members subscriptions are accounted for as received by the charity. Other income is accounted for on an accruals basis as far as it is prudent to do so. The income from fundraising is shown gross, there were no associated costs.

Foreign currencies
Transactions in currencies other than the functional currency of the company are translated into sterling at the rate ruling on the date of the transaction. Exchange differences are taken into account in arriving at the net incoming resources. The financial statements have been prepared in pounds sterling, which is the functional currency of the company.
1.6 Taxation
As a registered charity, the company is generally exempt from income tax and capital gains tax, but not from Value Added Tax. Irrecoverable VAT is included in the cost of those items to which it relates.
