The Compgny h&8 congider8bl¢ cash reserves the majority of vthicb resulted from the s8le of land in 2009 and Ét h&8 long be¢n the objective of th¢ Company to apply these rcscrvcs for th¢ devclopmcnt of additional services for the benefit of ppIe with Learning Dtsabilities rcsidin8 in th¢ Borough of S()lihull. During the latter months of 2018 the Company was apprh by Olton Grdngc Limited, a Registered Charity that had, for a Dumber of decade4 bcen providing carc and &commodaiion to elderly citiT£ns in their Re8iStered R¢sidential Care Home at 84 Warwick Road Olton Solihull B92 7JJ. The Home w&8 Registered for a rn&ximum of 25 o¢¢upants' a number of the bedrooms hwj been provided with en-suites however the remaining bedrooms were too %nall to allow this and also fell way below the spatial standards that are now r¢quirdlcxFtcted. Corridors connectin8 bedrooms were very narrow and on multi levels and the premises, in their current layouL w&5 considered no longer fit for purFose to provide accommodation for incr¢asin8ly frail rcsidcnts. Consequendy the Horne found it increasingly diffTcult to fill voids And, for at least the 12 month period preceding ¢losur¢, th¢ Horne had b¢¢n operating with more than 30Yo of th¢ b¢drooms vacant resulting in a critical reduction in Income and rendering the Company no longer financially viable. The Board of Trslees had ho that this critical situation would improv¢ however, and r¢grettably, it dithi't. Th¢ Home was no longer financially viable and had almost exhausted its financial reserves and it was with 8reat reluctance that the Board of Trust¢es, accountsble to amongst others the Charity Commission, dxided that the operation of the Home must cease and that the ChArity and Company know oln Grange must c105e and that, in accordan¢¢ with Article 8 of Olton Gron8e's Arti¢les of Association, they wished to ultirnately transfer the propty Sunny Mount (Knowle) Limite4 this transfer of property is also in accordance with the Trust Deed. Sunny Mount (Knowle) Ltd to mak¢ a donation to Olton Grange to meet all of their debts and liabiliti¢ including a considcrable sum in reskKd of Statutory Redundancy Payments, enabling Olton Grange to close honourably and in good standing. It W&8 originally intended that Sunny Mount would tskc ov¢r the prernis¢s of Olton Grange an(L subject to Planning Perniission. Building Regulations and any staiutory approval. redevelop the building to create a number of ap8rtmenty on the first and second floor, for people with Learning Disabilities. However, Slthough the premises are freehold there remains a restrictive covenant in plac¢. applie41 by Solihull Metropolitan Borough Council. that the building be used as a 'fare Home for Elderly persons". As a resuli of the di1¢u1tieS posed by this and other re&50ns. the company decidcd to sell th¢ property on the open market, and this was completed on 30th June 2022. Following thi& the loan was paid to Sunny Mount (Knowle) and the remaining funds from the sale proceeds were then transferred to Sunny Mount (Knowle). Olton Grange Residential Home then applied to Companie5 House to be struck off the register. Page 2

The trustee conffftn that they have cnmplied with the requirements of section 17 of th¢ Charities Act 2011 to hav¢ due r¢wd to the publi¢ benefit guidance published by the Charity Commission for England and Wales.
