The directors of the company are a150 the charity trustees for the purpose of charity law. The trustees of the charity are responsible
for the appointment of the company secretary in accordan￿ with the Art.
The Board of Trustees comprlses a mlnimum of 3 people and holds the property. finanaal and legal responsibility for the
oryanisation. It d1￿Cts and runs the organisation in all aspects of govemance. management and staffing. All Trustees are re-eletted
every year. The Trustee Board between them should have knowledge and expertise around finance, legal matter5, estate
management, charity matter5, general management, comrnunity athvity and communication.
The Management Committee includes all the Trustees and representatives of relevant oryanisations and any other stskeholders and
co-opted members as needed from time to time. Representats"ves on the Management Committee are involved in the Partnership's
activities and decision making process without the liability or responsibility that comes wlth belng a Trustee. Rep￿SentativeS of
organlsations may be drawn from any or all of the following as well as any other group.. Northumbertand County Council, Health
Centre, Haltwhistle Town Council, Haltwhistle Chamber of Trade. Churches Together, Tourism. the 10 surrounding parishe5. Youth
provision, Education, NNPA, TVCRP, Parish Councils, Sustainable Haltrlhistle and indlvlduals as appropr6ate and as needed.
Public Benefit
The trustees confim that they have complied with the requirements of Sertion 17 of the Charities Art 2011 to have due regaril to
the Charity Commission's guidance on public benefit.
The trustees believe that the carrying out of the aims of the tharity provide5 a public benefit in a number of areas, including the
advancement of education (including vocational training). the advancement of religion and other charrtable purposes for the benefit
of the community of Haltwhistle and 5urroundin9 a￿a.
Rlsk Management
The Board of Trustees periodically conducts a review of the major rlsks to which the charÉty Is exposed and develops mitigation
strategies. A statement of the major risks and any approprlate systems and procedures to mftlgate these risks are Included In the
Risk Register.
The l)oard recogni5es that a failure to meet revenue taryets creates a risk and a strategic plan is in Pla￿ to generate more income.

As a Partnershlp we continue to work in collaboration with other organisations. stakeholder5. community groups and residents of
Haltwhlsde and Its surrounding parishes to Create a vibrant, viable and sustsinable communtty that is attractive to visitors and
resldents alike. Change is inevitsble in society. and we seek to manage it proactively for the benefft of all so that opportunlties and
benefits are maximised, and risks and threats are minimised.
The Partnership is very grateful to the ongoing commitment from Haltwhistle Town Counal in supporting our Older People's Project,.
the Community Foundation for enabling Zigzag to continue a5 well as many other funders who contribute smaller amounts towards
specific projert activitie5 induding ttbe Smith Trust. the Communlty Shops Fund and individual donors.
We are also very grateful to the many people who donate goods to our communlty shops enabllng us to facllltate recycllngi reuse,
provlde goods at affordable prfces. offer more volunteerlng opportunltoes and work experfence In addltlon to provldlng a fvndlng to
the Haltwhlstte Communlty Shops Fund to benefit Commun￿ projects.

maintsln a core functron so that we can contlnue to deliver on key prfiorttles.
During 2024125 our projects have focused on the following:
Work wlth Older P￿pIe
Our Older People's projett has continued to be well supported by the older members of the community. The weekly drop in held at
the Methodist Church Hall and monthly lunch dub are very muth appreciated and valued by those who attend. The Memory Cafe for
dementia SLrfferers and their carers continues to grow both with its activities and number of people èttendlng. Durfng the year our
Older People's Project Officer resigned due to family commitrnents, and we welcorned Heather Habbick to the team.
Communlty Gardeners
Our volunteer gardeners have contonued to meet weekly throughout the year to keep many public areas around the town In a good
condltlon. The gardeners malntaln the two beds Just east of the cemetery entrance: the sloplng bed at the Statlon cro55road5; the
Station tubs on the forecourt and platform l and the planters at the Water Tower-, the 2 long beds in front of the memorial and the
triangular bed in the southeast corner; the orcular bed beside the Westgate bus stopi the Coop car park beds; the 2 beds directly
behlnd the Ilbrary. the Coronation Park beds: the Lanty's Lonnen beds and the garden behind the Partnership office at Westbourne
House.
Their efforts are an asset to the town and provide muth enjoyment and pleasu￿ to residents and visitors. We are very grateful to
them.
Zlgzag Days Project
This projert supporting people who feel isolated or vulnerable ft)r whatever reason has Continued to thrive arKI bulld on its prevlous
succe55es showlng how valuable the projecr Is ro the community.
The project started In the year 2023124 facfjlltated by the Tyne Valley Community Rall Partner5hlp (TVCRP) to research and produ
a 12 posters exhlbltlon on local food In the walting room on platform l at Haltwhlsue Statyon was completed and the exhlbldon has
been very well recelved by locals and vlsitors alike wlth the work belng much enjoyed by the Zlgzaggers. The group contlnue to be
supported in kind ènd finanoally by a variety of organisations keen to engage with local groups. These indude the Northumberfand
National Park and The Vin¢Jolanda Trust. Their I￿t extended project, researching and making models of historlc bulldlngs in the
area starte(1 during the year and Is Ilkely to complete during 2026.
Haltwhlstle Growlng To9ether Communlty Allotment
The Haltwhistle Growing Together project has continued to operate albelt on a reduced level due to there being no pald worker in
place to develop it. Trustees continued to look at fiJnding streams and ways in whlch the project could prc*gress. The project offer5
much potential, and we hope that funding will become available during 2026 to help it grow further.
ststlon Adoptlon
The volunteer team of Statlon Adopters condnued thelr Invaluable work openlng and dosing both waiting rooms every day as well as
keeplng the waltlng rDoms and station dean and tidyi the planters watered and report and someymes repalr any damagé. Thèy are
also welcomlng and helpful to passengers. We are very grateful to them and proud to support them in partneT5hlp wlth the Tyne
Valley Community Rail Partnership and Northern.
Renew•bles Group
Members of the group continued to investigate renewable energy options throughout the year as well as fvndlng opportunitles. An
application was made to the Borderlands Energy programme for funding to constnrt a 501ar farm on private land to the west of the
town and adjacent to the A69. We have recently been infomed that this was unsuccessful.
Funding was also sought to look at the next stage of feasibility of a scheme trj install a low head hydro devi￿ in the rover South Tyne
at Featherstone.

Karbon Communlty Fund for Haltwhlstle
During the year all the funding was finally allocated, and the fund was d05ed at the end of March 2024. With the permission of
Karbon Homes. the small amount of money that had not been spent was transferred to the Haltwhistle Community Shops Fund.
Community Shops
The community bookshop and generdl shop completed their second year of trading at the end of March 2025. The volunteer teams
continue to contribute many hour5 of their time, their ideas and their enthusiasm to the successful operation of the shops. Both
shops deal with large amounts of donations that can appear at any b.me in addition to offering a listening ear to customer5 who are
in need of a that.
An increase in the surplus to around £50.000 was generated this year by the opwation of the shops. Thi5 has been ring fenced in a
Community Shops Fund to benefit local projects.
The outcomes dellvered by this proJeLt contlnue to exceed the sum of Its parts In all respects.
Haltwhistle Communlty Shops Fund
A lot of work from staff and volunteers went into setting up the Community Shops Fund. During the financial year the first round of
funding distributed £21.820 between 10 projects ant1 11 young people. benefith.ng the residents of Haltrrfhisde and Its 10
surrounding parishes.
Property
As a Development Trust we own property for a purpose. The purpose being to improve the economic, social and community
provision within the town, both by being a fair, supportive and responsible landlord and to provide an income stream to help fund
our core activitye5.
As In prevlous years the njnning and operating of property. both residential and commercial continues to be challenging With the
cosr of ongoing repair5. long term maintenance, increased insurance premiums and statutory requirements increaslng.
• Hardware House
Jethro's Cafe continues to ocoJpy the ground floor retail space. and the business appea￿ to be doing well.
The 5 residential flats on the 2 floors al)ove and behind continue to be managed on our behalf by a commercial lettings company.
Four of the flats continued to have settled tenants with just one experiencing change of resident.
• Westbourne House
Westbovme House comprises 2 ground floor ￿tall units together with 4 small offices and a larger meeting room over the upper two
floors. Unit l on the ground floor continues to be let to a local business. the Pillar Box Café. now in their 19th year of operation. Unit
2 continued to be let to the Haltwhistle Craft Emporium which sells items produced by approximately 15 local crafters. All 3 offices
on the second floor were fully let out to local businesses with the Partnership occupying the 2 rooms on the first floor.
Water Tower
The tenants of the Water Tower. the Tyne Valley Communlty Rall Partnership. with our support. continued to renovate and refvrbi5h
the building to create a cafe. Whilst there are ongolng issues wlth palnt peellng In places. the result Is a comfortable and welcomlng
cafe with both inside and outside seating.
The Water Tower Cafe was opened in mid-september 2024 and continues to operate on Wednesdays through to Sundays from 10am
to 4pm. The project has creafrd several part time jobs for local people and is well supported by the local community as well a5
vlsitors and those uslng the train. Produce is purchased from local suppliers where posslble.
Several events have been held throughout the year. and March 2024 saw the introduction of a tnonthly market.

not have been able to operate the Partnership or deliver our projects. Your SUPFWt. enthusiasm and hard work Is very much

During the year £25.272 was spent on repairs and alteratFons on the property Portfollo to ensure all building5 meet current bullding
regulations and are in a good state of repair.
The total funds of the charity at 31st March 2025 were £781.309 (2024 £761,060), of whlch £709.021 {2024
£698,759) were restrlcted. Totsl unrestricted reserves increased by £9,987 In the year.

2. General Reserve
The Trustees have set a level equivalent to six (6) months of operating costs for the organisation as a desired level of reserve. Th15
fund Is a contingency in the event of a sudden reduction in income. to protert the futu￿ operation of the oryanisètlon from the
effects of any unforeseen variations in its income and expendItu￿.
It is intended that this will build the confidence of our beneficiaries. funders. employees and wider stakeholders and help the
Partnership meet expertations of transparency and accountability.
Six key elements have been taken into conslderation to assess a realistic level of reserves. These are:_

2. The rellabillty of cu￿ent income sources and new income opwrtunltles
3. Expendlture on planned acknvities

5. Consequences of belng unable to meet forecast needs

Due to a changing arKI un￿rtain fundlng environment. an unrestricted general reserve equating to 50Qh of core annual costs relatlng
to governance, projert dellvery. back-office support and development work 15 considered an appropriate level of resourte necessary
to function effectlvely for a perlod of 6 months, should finanaal dIfficU￿"e$ occur beyond the control of Ha1￿hiStle Partnership. These
difficulties include unplanned expendthre and cash flow vatlations.
Included in this general reserve will be a designated fund to cover any redundancy costs in the event of liquidation.
3. Longterni M•lrrtenance Reserve fund
A Longterm Maintenance reserve fund for major unexpected and planned property repairs and improvements wlll be deslgnated as
restricted funds. The buildings held wlthln the Partnership's property portfolio are old and expenslve and a reserve will help to
Insulate the Pamershlp againsr unexpettea and expensive repair5. This fund shoulo tse revieweo annually to reflett rising costs.
4. Taryet for Ruerves
At the end of flnancial year 2024125, the general reserves stood at £34.000. Assuming inflatitin at 5% for 2025126 and 5% each

4. The oryanisation's responsibilities for appropriate disposal of a55ets in the event of d05ure.

## Independent Examiner's Report to the Trustees of Haltwhistle Partnership Ltd For The Year Ended 31 March 2025 

I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 March 2025. 

## Responsibilities and Basis of Report 

The trustees of the Company (who are also its directors for the purposes of company law), are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 (“the 2006 Act”). The trustees consider that an audit is not required for this year under section 144(2) of the Charities Act 2011 (the 2011 Act) and that an independent examination is needed. 

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, it is my responsibility to: 

- Examine the accounts under section 145 of the 2011 Act; - Follow the procedures laid down in the General Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act and; 

- state whether particular matters have come to my attention 

## Independent Examiner's Statement 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 

   1. accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or 2. the accounts do not accord with those records; or 3. the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a ‘true and fair view' which is not a matter considered as part of an independent examination; or 

   4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102).

Haltwhistje Partnership Ltd is a company limlted by guarantee. incorporated in England & Wales, registered number 03324145 and
registered charity number 1062486. The w&ered office is Westboume House. Main Street. Haltwhistle. NE49 OAZ.
2. Ststement of Compllance
The financial statements have been prepared in accordan￿ with the Charities SORP (FRS 102) "Accounting and Reporting by
Charities: Ststement of Recommended Prattice applicable to charities preparing their accounts in accordance with the Financial
Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective l January 2019). Finanoal Reporting Standard
102 Yhe Financial Reporting Stsndard applicable in the UK and Republic of Ireland- and the Companies Act 2006.
3. Accountlng Policies
3.1. Basls of Preparatlon of Flnanclal Ststements
The financial staternents have been prepared under the historical cost convention.
The charitable company is a Public Benefit Entity as defined by FRS 102. Assets and liabilities initially recognised at historical
tost or transaction value unless otherwise stated in the relevant accounting policy notes.
3.2. Golng concern Dlsuosure
Having reviewed the company's finandal position. the Trustees consider that there are sufficient funds to support the tharity in
its ongolng operations.
In light of the above assessment. these financial statements have been prepared on the going concern basi5.
3.3. Fund AccountlThg
General funds are unre5trirted funds whith are available for use at the discretion of the Trustees in furtherance of the general
objectives of the charity and or funds where trustees allocate funds for a Specific purpose.
Restricted funds are funds that are to be used in accordance wlth speofic restridions imposed by donors. The aim and each of
fund is set out in the financial statements.
3.4. Incoming Resources
All incoming resources in the fom of cash have been induded in income.
Donations and grants are credlted to the Income and expenditure account on a receipts basisi gross of income tax where
applicable.
Gifts in kind have been shown separately in the statement of finanoal activities and capitslised in the balance sheet at the
estimated value to the charity.
3.5. Resources Expended
Uabilities are recognised a5 soon as there is a legal or constructive obligation committing the charity to the expenditure. All
expendlture Is accounted for on an accwals ba5É5 and has been dassffied under headings that aggregate all costs related to the
category.
Charitable expenditure comprises those costs incurred by the charity in the delivery of its activities and services for its
beneficiarles. It includes both costs that can be allocated dlrecyy to suth artivltles and those costs of an indirect nature necessary
to 5UPPOrt them.
Support Costs
Support costs Include central fvnctions and have been allocated to actovlty cost categorfes on a ba51s consistent with the use of
resources, for example, allocating property costs by floor areas, or per capita. staff costs by the time spent and other costs by
their usage.
Irrecoverable VAT
Irrecovernble VAT is char98d a9ainst th• category of resources expended for which it was incurred.

Stocks and work in progress are valued at the lower of cost and net realisable value after maklng due allowance for obsolete
and slow-movlng Stoths. Net realisable value is based on selling price less antiopated o)sts to completion and selllng costs.
Items donated for resale or dlstrlbution are not included in the financial statements until they are sold or dlstrfbuted.
3.8. Cash and Cash Equlvalents
Cash and cash equivalents are basic finanaal assets and indude cash in hand and deposits held at call with banks, Other
short-term highly liquid investments that mature in no more than three months from the date of acqui51tion and are readilv
convertlble to a known amount of cash with Inslgnlflcant rfsk of change In value. and bank overdrafts.
3.9. Flnandal Instruments
Financial assets and financial l¥abilities are recognised when the charity becomes a party to the contractual provisbons of the
instrument. Financial liabilities and equity instruments are da5sified according to the substance of the contractual agreement
ente￿d into. An equity instrument is any contract that evidences a residual Inte￿Sted in the assets of the tharity after
deducb'ng all of its liabilities.
All finanaal assets and liabilities are initially measured at transaction price (induding transaction costs). except for those
rinancial assets dassified at fair value through profft or loss. which are initlally measured at fair value (which is nomially the
transaction price exduding transaction costs), unle55 the arrangement constitutes a financing transaction. If an arrangement
constitutes a finanang transaction, the financial asset or finanoal liability is measured at the present value of the future
payments dlscounted at a market rate of Interest for a slmllar debt InstnJmenL
3.10. T•xatlon
The charity is considered to pass the tests set out in paragrnph I schedule 6 of the Finan￿ Att 2010 and therefore meets the
definibon of a charitable company tor UK corporatfion tax purpose5. Accor(Ilngly. the chanty Is potent(ally exempt from
taxation in respect from income or capital gains recelved within categorres covered by Chapter 3 Part I l of the Corporatton
Tax Act 2010 or Settion 256 of the Taxation of Chargeable Gains Act 1992, to the extent that such income or gains are
applied excluslvely to charitable purposes.
3.11. Trnde Debtor4
Trade debtors are amounts due from customets for merchandlse 50kl or 5ervlce5 perfomied In the ordlnary course of
buslness. Trade debtors a￿ recognised inltially at the transathon prlce. They are subsequently measured at amOr￿Sed cost
uslng the effective Fnterest method, less provision for Impalrment. A provlslon for the IM￿lment of trader debtors is
estsbllshed when there is objective evidence that the charity wlll not be able collect all amounts due accordlng to the orlglnal
tems of the recelvables.
3.12 Cash and cash equlvalents
Cash and cash equivalents comprise cash on hand and call deposits. and other 5hort-term hlghly Ilqukl investments that are
readily convertible to a known amount of cash and are subject to an insignificant risk of change In value.
3.13 Ll•bllltles
Trade creditors are obligations to pay for goods and services that have been acquired in the ordinary course of business from
suppllers. Attounts payable are da5sified as current liabilities if the charity does not have an unconditional right, at the end
of the accounting period, to defer settlement of the creditor for at least twelve months after the ￿pOrtIng date. If there Is an
unconditional rfght to defer sethement for at least twelve months after the reporting date. they are presented as non-ojrrent
liabillties.
Trade credltors are recogn15ed Inltlally at the transactlon prlte and subsequently measured at amortlsed cost uslng the
effertive interest method.
