The directors (who also act as trustees for the charitable activities of Langham Arts Trust) have the pleasure in presenting their report and financial statements of the charity for the year ended 31st December 2021.
ACHIEVEMENTS AND PERFORMANCE Summary of the main achievements of the charity this year During the year the Trust was able to support a wide variety of activities in line with its aims and objectives. Objectives set for the year
As 2021 objectives were being set conditions were uncertain as UK lockdown rules were still in place prior to the Government's Roadmap for reopening. As a result every area of the charity's activity was attempting to navigate the uncertainty and constantly assessing and reassessing how much could be achieved with each step forward in the Roadmap. In response to this continuing situation where previous funding sources have been limited, a development plan to seek new funding sources to support the ministry was built. Through this the charity’s principle objective of advancing the Christian religion underpins all activity, which include plans:

e To support and lead the All Souls Church family in sung worship with a rich diet of hymns and songs, combining musical excellence and words which communicate the message of Christ,

e To provide music of high quality and strong content for the activities of All Souls Church and through that to encourage All Souls musicians giving their time by offering opportunities to share their skills. During this time particularly, to seek out new ways to connect and build relationships amongst the musicians to support them through these challenging times.

@ To continue to maintain close relationships for the Trust with All Souls Church charity

e To progress the targets set in the Development plan: 0 Prom Praise Together - online event in July - find a way to bring this to the public (subject to Roadmap restrictions at the time). Use the opportunity to make funding ask.

Improve tools (create new promotional video & upgrade ASM website)

e To continue to develop the Prom Praise for Schools project to fulfil the charity's overall objectives and All Souls strategy to support the community and the wider church. To bring to completion the Virtual Mega Choir project begun in 2020.
Despite the continuing challenges, the All Souls Music team worked to continue to provide an excellence of music support to All Souls Church - in fact as church services became possible the team’s work doubled as they sought to support services onsite as well as online. During this time they also continued to make efforts to support the well-being of the musicians, while partially in lockdown, through a variety of online activities. The team also reached out with social media projects, such as a Lent Playlist.
The Production team's efforts culminated in Prom Praise Together in July at which point a number of objectives converged - with a substantial livestream concert that combined musicians live in All Souls Church alongside several outstanding pre-recorded elements including items from guest artists Matt Redman and Rend Collective; the first showing of the newly created All Souls Music fundraising video; the exciting first showing of the PP4S Virtual Mega Choir song which had been written by the team and built over many hours of working with schools and finally put together by Mark Ratcliff into an unique outstanding virtual stadium. The event also included a memorial video for Peter Hart, the member of the Orchestra who died during Covid, and gave the opportunity to respect the mood of the nation.
In the second half of the year the attention turned to plans for how best to reach out through Christmas activities. In the Autumn this took the form of collaborating with the All Souls Evangelism team to create the massively high quality production that came together in the ‘Christmas Film’, which as well as All Souls Orchestra and Choir, also included London Community Gospel Choir, readers and a gospel talk.

LANGHAM ARTS TRUST Trustees’ annual report (continued) STRUCTURE, GOVERNANCE AND MANAGEMENT Langham Arts Trust is a company limited by guarantee, incorporated on 20 November 1996. It is registered with the UK Charity Commission. The company was established under its Memorandum of Association which established the objects and powers of the charitable company and governed its Articles of Association. In the event of the company being wound up members are required to contribute an amount not exceeding £10.
Appointment and induction of Trustees
Trustees are appointed by the Board and at each Annual General Meeting one third of Board Members will retire from office. On retirement Trustees are eligible for re-election. The Articles of Association provides that the number of Trustees shall not be less than three and shall not be subject to any maximum. Trustees are also responsible for the appointment of new members, in line with their understanding of the best interests of All Souls Church. With this In mind, the addendum to the Articles includes agreement that roles of Rector (or Rector’s representative) and Churchwardens (or Churchwardens’ representatives) will always be included.
New Trustees undergo an induction to brief them on their legal obligations under charity and company law, the content of the Memorandum and Articles of Association, the Council and the decision making processes and the recent performance of the charity. They meet key employees and the other Trustees.
Trustees’ & directors’ responsibilities in the preparation of financial statements
The trustees and directors are responsible for preparing the trustees’ annual report and the financial statements in accordance with applicable law and regulations.
The provisions of charity and company law require the trustees and directors to prepare financial statements for each financial year. Under that law, the trustees and directors have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Standards and applicable law). The financial statements are required by law to give a true and fair view in accordance with the United Kingdom Generally Accepted Accounting Practice of the state of affairs of the charity as at the balance sheet date, and of the incoming resources and application of resources, including income and expenditure, for that period. In preparing those financial statements, the trustees and directors are required to:

e select suitable accounting policies and then apply them consistently;

@ make judgments and estimates that are reasonable and prudent; and
e@ prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue on that basis. The trustees and directors are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charity, and to enable them to ensure that the financial statements comply with the requirements of the Charities Act 2011 and the Companies Act 2006. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. The trustees and directors are responsible for the maintenance and integrity of the corporate and financial information on the charity's website. Legislation in the United Kingdom governing the preparation and dissemination of financial statements may differ from legislation in other jurisdictions.
Organisational structure The trustees meet approximately every quarter to manage the affairs of the charity and instruct the Senior Music Minister and General Manager. The day-to-day coordination of the charity's affairs is in the hands of the General Manager who heads the small staff team. To facilitate effective operations, the General Manager has delegated authority, within the terms of delegation approved by the Trustees, for operational matters including finance, employment, approved events and production of products produced by the company’s subsidiary. The Board is very appreciative of the work done by the small dedicated staff team who not only manage huge events in the Royal Albert Hall and support the events around the country and overseas, but also the music groups who play at three services every Sunday at All Souls and the various other services required by the Parish.

Responsibilities and basis of report
As the charity's trustees of the Company (who are also the directors of the company for the purposes of company law), you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 (the 2006 Act’).
Having satisfied myself that the accounts of the Company are not required to be audited for this year under Part 16 of the 2006 Act and are eligible for independent examination, | report in respect of my examination of your charity’s accounts as carried out under section 145 of the Charities Act 2011 (‘the 2011 Act’). In carrying out my examination, | have followed the Directions given by the Charity Commission (under section 145(5)(b) of the 2011 Act.

The accounts have been prepared in accordance with:

Note 2. ACCOUNTING POLICIES
2.1 INCOME
Recognition of income These are included in the Statement of Financial Activities (SoFA) when:
- the charity becomes entitled to the resources;
: it is more likely than not that the trustees will receive the resources;
- the monetary value can be measured with sufficient reliability.
Offsetting There has been no offsetting of assets and liabilities, or income and expenses, unless required or permitted by the
FRS 102 SORP or FRS 102.
Grants and donations Grants and donations are only included in the SoFA when the general income recognition criteria are met (5.10 to
5.12 FRS102 SORP),
Legacies Legacies will be included in the SOFA when receipt is probable, that is, when there has been grant of probate, the
executors have established that there are sufficient assets in the estate and any conditions attached to the legacy
are either within the control of the charity or have been met. No legacies recieved in the reporting period.
Tax reclaims on donations __ Gift Aid receivable is included in income when there is a valid declaration from the donor. Any Gift Aid amount
and gifts recovered on a donation is considered to be part of that gift and is treated as an addition to the same fund as the
initial donation unless the donor or the terms of the appeal have specified otherwise.

Support costs The charity has incurred expenditure on support costs.
