The directors (who also act as trustees for the charitable activities of Langham Arts Trust) have the pleasure in presenting their report and financial statements of the charity for the year ended 31st December 2020.
Summary of the main achievements of the charity this year
During the year the Trust was able to support a wide variety of activities in line with its aims and objectives.
Objectives set for the year
-
●To support and lead the All Souls Church family in sung worship with a rich diet of hymns and songs, combining musical excellence and words which communicate the message of Christ,

●To provide music of high quality and strong content for the activities of All Souls Church and through that to encourage All Souls musicians giving their time by offering opportunities to share their skills,
-
●To deliver a series of concerts and programmes that would fulfil the charity’s principal objective of advancing Christian religion through both providing a platform for the message and opportunity for the churches to work together in the community - in the UK and internationally.

●To begin to preparation towards the 2021 Prom Praise for Schools project with the London event fulfilling this area of the charity’s overall objectives and All Souls strategy to support the community and the wider church. Particularly to undertake to raise substantial funds to support the project.

●To further increase regular donor support and find new avenues in the challenging financial climate,
-
●To further develop sharing resources with the wider community through publishing arrangements online
-
●To continue to pursue closer relationships for the Trust with All Souls Church charity - including establishing the new Senior Music Minister, Michael Andrews.
In preparing their statements on public benefit, contained within this trustees annual report, the Trustees have had regard to the guidance issued by the Charity Commission on public benefit
2020 was obviously an exceptional year in every way - lockdown in the UK causing all of the planned live events to be cancelled.
Despite the obvious challenges, the All Souls Music team whilst working from home and moving to online and virtual productions, continued to provide an excellence of music support to All Souls Church - with many hours of work going into producing music for online services throughout the whole year upto Christmas. The team also worked closely with the Children and Youth team to support the regular contribution of all-age material into these services. In addition, the team worked to find ways to support the community of musicians while remote and many unable to participate.
The Prom Praise flagship annual visit to the Royal Albert Hall which was scheduled to take place in May was cancelled by the venue - but the team turned around the plans to produce the first Virtual Prom Praise which to date has received over 141,000 on the Youtube channel, with many from all parts of the world. This led to other virtual projects, including ‘Interval’ in July and culminating in ‘The Christmas Story’ in December, which broadcast live as London went into the 3rd lockdown and as a result was able to offer a timely message of comfort and challenge. All of these placed considerable demands on the Productions team as they needed to learn new methods of broadcasting techniques.
The combined effect of all these activities extended the All Souls Music presence on social media platforms - which we hope to build on in future years.
Another casualty of the lockdowns was the plans for Prom Praise for Schools - due in March 2021. As it became obvious that the live event was not going to be possible, the team developed a special song going out to schools to create a virtual Mega Choir - which will come together in Summer of 2021.

The place of music in well-being of many has been a significant driver in all the charity’s activities in this year through producing a Festival of Hope in Virtual Prom Praise early in the crisis; a song of hope to schoolchildren and teachers living through a challenging year; many recorded hymns and songs going online to raise the spirits of those unable to leave their homes; also offering the recordings to other organisations to support their own efforts to lift their communities; offering opportunities to hundreds of players and singers to participate while in lockdown and through this maintain contact with the community.
Financial position at end of the period
The company experienced a surplus of £2,169, compared with the surplus of £28,756 for the previous reporting period to December 2019.
Reserves
This brought the charity reserves to £57,719 (of which £28,910 is unrestricted). The Trustees policy is to aim to hold in unrestricted reserves two months working capital.
Risk assessment policy
The systems of internal control are designed to identify risk. They include:

a strategic plan and an annual budget approved by the board;
-
regular consideration by the board of financial results and variance from budgets;
-
segregation of duties and identification and management of risk.
The major risks to which the charity is exposed, as identified by the trustees, are reviewed on a regular basis. The board seeks to ensure that appropriate systems, controls and procedures are put in place to minimise all risks. The principal risk of the present time concerns the on-going challenges of post-pandemic recovery and on-going uncertainty about the return of live events. The Board is continuing to monitor this area and seeking new funding options.
Principal Sources of funds
The charity is dependent on the following sources:
In this exceptional pandemic year, when no live events were possible, there was no ticket income.
As a result, the Trustees were extraordinarily grateful for the continuing support of many committed supporters - including those in the All Souls Music Partnership who continued their regular contributions. In addition a number of generous individuals made increased donations. Above all, we are particularly grateful to the Stewardship Rapid Response Fund, who made an exceptionally generous donation through their Covid response fund. Through all of these, the charity was able to balance the missing ticket income.
The Trustees would also like to acknowledge the continuing support of All Souls Church PCC through the provision of offices and on-going support.

Langham Arts Trust is a company limited by guarantee, incorporated on 20 November 1996. It is registered with the UK Charity Commission. The company was established under its Memorandum of Association which established the objects and powers of the charitable company and governed its Articles of Association. In the event of the company being wound up members are required to contribute an amount not exceeding £10.
Appointment and induction of Trustees
Trustees are appointed by the Board and at each Annual General Meeting one third of Board Members will retire from office. On retirement Trustees are eligible for re-election. The Articles of Association provides that the number of Trustees shall not be less than three and shall not be subject to any maximum. Trustees are also responsible for the appointment of new members, in line with their understanding of the best interests of All Souls Church. With this in mind, the addendum to the Articles includes agreement that roles of Rector (or Rector’s representative) and Churchwardens (or Churchwardens’ representatives) will always be included.
New Trustees undergo an induction to brief them on their legal obligations under charity and company law, the content of the Memorandum and Articles of Association, the Council and the decision making processes and the recent performance of the charity. They meet key employees and the other Trustees.
Trustees’ & directors’ responsibilities in the preparation of financial statements
The trustees and directors are responsible for preparing the trustees’ annual report and the financial statements in accordance with applicable law and regulations.
The provisions of charity and company law require the trustees and directors to prepare financial statements for each financial year. Under that law, the trustees and directors have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Standards and applicable law). The financial statements are required by law to give a true and fair view in accordance with the United Kingdom Generally Accepted Accounting Practice of the state of affairs of the charity as at the balance sheet date, and of the incoming resources and application of resources, including income and expenditure, for that period. In preparing those financial statements, the trustees and directors are required to:

select suitable accounting policies and then apply them consistently;
-
make judgments and estimates that are reasonable and prudent; and
-
prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue on that basis.
The trustees and directors are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charity, and to enable them to ensure that the financial statements comply with the requirements of the Charities Act 2011 and the Companies Act 2006. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.
The trustees and directors are responsible for the maintenance and integrity of the corporate and financial information on the charity’s website. Legislation in the United Kingdom governing the preparation and dissemination of financial statements may differ from legislation in other jurisdictions.
Organisational structure
The trustees meet approximately every quarter to manage the affairs of the charity and instruct the Senior Music Minister and General Manager. The day-to-day coordination of the charity’s affairs is in the hands of the General Manager who heads the small staff team. To facilitate effective operations, the General Manager has delegated authority, within the terms of delegation approved by the Trustees, for operational matters including finance, employment, approved events and production of products produced by the company’s subsidiary.
The Board is very appreciative of the work done by the small dedicated staff team who not only manage huge events in the Royal Albert Hall and support the events around the country and overseas, but also the music groups who play at three services every Sunday at All Souls and the various other services required by the Parish.

Note 1. BASIS OF PREPARATION
1.1 Basis of accounting
These accounts have been prepared under the historical cost convention with items recognised at cost or transaction value unless otherwise stated in the relevant note(s) to these accounts.
The accounts have been prepared in accordance with:

the Statement of Recommended Practice: Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) issued on 16 July 2014, and with

the Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland (FRS 102), and with
-
the Charities Act 2011.
The charity constitutes a public benefit entity as defined by FRS 102.
1.2 Going concern
There are no material uncertainties related to events or conditions that cast significant doubt on the charity's ability to continue as a going concern
1.3 Change of accounting policy
The accounts present a true and fair view and no changes have been made to the accounting policies adopted in note 2.
1.4 Changes to accounting estimates
There are no changes to accounting estimates have occurred in the reporting period (3.46 FRS102 SORP).
1.5 Material prior year errors
No material prior year error have been identified in the reporting period (3.47 FRS102 SORP).
Note 2. ACCOUNTING POLICIES
