REPORT OF THE TRUSTEES OF NUNEATON & BEDWORTH UNIT 616 OF THE SEA CADET CORPS

The Charity Trustees present their report, together with the financial statements of the charity, for the year ended 31st March 2023. The financial statements comply with both the Charity’s Constitution and the Charities Act 2011.

Aim of the Sea Cadet Corps

The aim of the Sea Cadets Corps is to give young people the best possible head start in life, through nautical adventure and fun, based on the customs and traditions of the Royal Navy. Our aim is to develop young people and support them towards responsible adulthood.

Charitable Purpose

The charitable purpose of the Unit is to promote the development of young people in achieving their physical, intellectual, and social potential as individuals and as responsible citizens. This is achieved by the provision of education and leisure time activities using a nautical theme, based on the traditions of the Royal Navy and in accordance with the principles, ethos, and practices of the Marine Society & Sea Cadets (MSSC).

In furtherance of the Purpose, the Unit offers young people a structured environment in which to develop; provides access to education and training including sailing, rowing, windsurfing, paddle sports, power boating, seamanship, navigation, marine engineering, cooking, music, first aid, drill, piping, and public services; it provides opportunities for young people to obtain a range of qualifications and a wide range of opportunities for community involvement.

Public Benefit

The trustees continue to give regard to the Charity Commission’s general guidance ‘Charities and Public Benefit’ provided by the Unit in relation to the charitable purpose of the Sea Cadets movement as set out in the activities and achievements outlined in this report.

To achieve its aim the Unit encourages recruitment of young people from all backgrounds and abilities including where possible, and within the realms of Health and Safety, those with disabilities and develops their skills and abilities by:

• ➢ Regular structured activities with a nautical theme

• ➢ Enabling young people to take part in activities connected with the wider Sea Cadet Corps

• ➢ Movement such as waterborne activities, events and competitions at district, area, and national levels

• ➢ Availability of formal achievements whilst completing courses to earn badges and promotions

We continue to target recruitment within the local area giving young people opportunities to take part in activities that in many cases would otherwise be unaffordable.

We are only able to do this because we are wholly volunteer led and all funds raised or received are used entirely for the charitable purposes of the Unit.

Chairperson’s Report – Mrs Jemma Vickers

Looking back over the past 12 months at the achievements made by our Ship’s Company is astounding. I am in absolute awe of our Cadet Force Adult Volunteers (CFAV), and even more so of our Cadets. Their resilience, dedication, loyalty, and commitment show how they embody our Sea Cadet values.

There have been several changes in the unit this year, which include personnel changes, but also to the fabric of the building once again whilst our refurbishment program continues. The disabled wet room will be the last of the large-scale construction projects for some time. We will turn our attention to other issues such as heating throughout the building and upgrading some of our older equipment. We shall also focus on being sleepover approved to allow for full weekend activities at the unit.

Over the next year, I, along with the rest of the Command Team, aim to bring a sense of stability back to the unit through strong leadership, direction and by setting the example that we expect from others. We have plans in place for areas of improvement, including the advancement of instructor’s skills and qualifications, and for our cadets too.

Financial stability continues, with grants having been acquired to aid with the purchase of equipment and capital expenditure, along with community fundraising events.

Happily, our cadet and adult volunteer numbers remain stable, with new joiner requests frequently - despite no real advertising. However, we are now at the stage where we are reaching our maximum cadet numbers and will therefore need to have a waiting list in place for new cadet joiners.

Our Unit Management (UMT) has grown by two since the last AGM; we plan to recruit at least one more member to the team over the next year.

There will always be more to achieve, but to have been awarded a Burgee for 2022 is just reward for the hard work and determination that the team, and the entire Ship’s company has put in. With the unit currently being in the strongest position it has been in for the last decade; this feels like the right result for all and was very much needed to maintain motivation.

We’ve had more than our fair share of setbacks this year to contend with; the unit minibus being written off mid boating season meaning we were without transport for 5 ½ weeks, the theft of several kayaks and paddling equipment from our compound late in the boating season, followed by a delay in replacement boats being delivered, an unprecedented heat wave, and an encampment of travelers meaning the unit had to close for a time for safety, all of which added together massively hampered our boating hours. However, the cadets and CFAV were so resilient and patient in allowing the UMT to manage these situations as quickly and effectively as possible. To say that I am grateful to the rest of the UMT for their support and dedication through those times would be an understatement. I feel incredibly privileged to volunteer alongside this team. In particular, the support of my Vice-Chair and Unit Treasurer, Mr. Steve Chadaway and Mrs. Charley Wright, has been an absolute constant as they have both risen to the many challenges of managing a unit.

Finally, a special mention to note PO (SCC) Nick Humber who, despite having 4 children at home, working full-time, and taking on the majority of the building work within our unit, leads our CFAV and Cadets with such determination and commitment. His loyalty to the vision we have created for the unit, the relationship he continues to build with me, the UMT and the Command Team, and all that he does for everyone within the team should be commended. Thank you, Nick.

Commanding Officers Report – Petty Officer (SCC) Nick Humber

I am proud and consider myself extremely privileged to be the Commanding Officer of Nuneaton and Bedworth Sea Cadets, leading our unit for another year. Our Cadets continue to maintain their commitment to Sea Cadets and to our Corps Values. Furthermore, there have been many achievements and many more 'firsts' for TS Vanquisher over the last year that have involved our cadets; they really are the driving force behind our ethos to continue to strive to provide the best possible opportunities for our young people. The unit has continued to maintain a balance between CTP and creating a fun, team-led environment, which has promoted and encouraged motivation and learning, whilst exposing our young people to a huge breadth of knowledge and opportunity, increasing their cultural capital. Our staff work extremely hard to enable this progression. This year, for the first year in many, we have a Petty Officer Cadet. In addition to this, POC Ashryah was the highest scoring candidate on any SWA advancement board in the entirety of 2022, earning her the Martin Henwood's trophy. Recognition indeed for such an excellent example of what it is to be a cadet. Our unit band continues to be active, offering 8-12

hours of band training monthly, greatly enhancing the cadet experience and providing them with additional opportunities. The Command Team collectively continue to manage any challenges with a supportive and constructive approach. This has included managing the First Lieutenant role as external pressures meant our 1st LT stepped down. His proposed successor could not be appointed due to unexpected delays with a transfer request. Currently the 1st LT duties are being carried out by our Unit Coxswain, in line with our unit’s succession plan. However, these situations were managed as quickly and as effectively as possible thanks to the response of the UMT and resilience and patience of the cadets and instructors. With our two most senior cadets very recently joining the RN, and one cadet aging out and becoming staff, we currently have a strong focus on growth and regeneration as we develop the leadership skills of our most senior cadets as they take on more responsibility. Staff continue to upskill with many attending courses throughout the year, which has also increased instructor level qualifications within the unit. I commend all our staff for all of their hard work and dedication and commitment to our young people and to TS Vanquisher. I would specifically like to thank PO (SCC) Dan Thompson, who like me has worn various hats throughout this last year - he has taken on rolls without hesitation and has risen to every challenge for the good of the unit. Thank you for your continued support. I would also like to say a special thank you to our Unit Chairperson Jemma Vickers. The friendship we have formed through Sea Cadets has established an excellent working partnership. Jemma’s wealth of experience, both from the staff side and the committee side, in addition to also having been a cadet herself, means that Jemma really encompasses everything our organisation aims to achieve. Having a chairperson who always listens, and truly understands is rare and I simply could not do my role without a supporting Chairperson like Jemma. Jemma and her team always go above and beyond to ensure we have what we need as instructors to allow us to carry out our role effectively. There have been times where there have been difficult choices to make, and we have shared thoughts and ideas to collaboratively lead the team so that we continue to progress forwards. I also thank our strong Command Team for carrying out their individual roles so effectively to ensure the efficiency of our unit. We were thrilled to have been awarded a Burgee for 2022 following the hard work and determination that all the team, and the entire Ships Company put in. Nevertheless, there will always be more to achieve, and I look forward to our journey of 20232024.

Post Covid-19 and the Cost-of-Living Crises

The post Covid 19 effects, and now the cost-of-living crises are still being felt throughout the unit, with some families struggling to meet unit subscription fees. These are managed on an individual basis, and thankfully, we can assist currently.

The Unit Management Team work to keep running costs and overheads to a minimum where possible, and work with the Commanding Officer and the Uniformed Staff to plan for expected expenditure wherever possible so that there is time to source funding to cover the costs. A unit bursary fund, The Hibbert Family Bursary fund, was also launched this year to help with course costs for those that are not able to meet the costs themselves. This has already been utilised and has been a much-welcomed addition to meet the needs of our cadets.

Achievements and Performance 2022-23

It’s safe to say that adults and cadets alike have very much enjoyed an array of courses and competitions, including returning home with medals for the first time for many of our cadets! Unit renovations and improvements continued, as well as the purchase of equipment and kit that was required.

Financial Review

Due Process

In accordance with Part 2, 26 of the Sea Cadet Constitution 2017, the charities income and expenditure accounts were approved by the Trustees (Unit Management Team) at their meeting on 4[th] April and are presented to the charity members for consideration and adoption.

Basis of Accounts

Nuneaton & Bedworth Sea Cadets is a registered charity and prepares its accounts on a Receipts and Payments basis, this is the simplest of accounting methods and is adopted by small charities with an annual income of £250,000 or less. All income and expenditure are recorded at the time the funds are received or paid.

Performance for the Financial Year

We are pleased to report that the accounts have remained stable. Fundraising through community events and grants have resulted in us again requiring an Independent Inspection of accounts for the 2022/23 year, the third consecutive year. Full details are included in the notes to the accounts.

Areas for Improvement

The Trustees will prioritise for 2023/2024

• ➢ Improve and monitor collection of cadet contributions

• ➢ Develop a fundraising strategy to ensure the upkeep of the renovated facilities through community fundraising and grant applications.

Our fundraising efforts this year have centred around the continuation of our refurbishments and replacing or purchasing equipment to deliver more training opportunities to our young people. There have been some challenges, but we have overcome them and are looking forward to a positive future.

Reserves Policy

The trustees continue to review the charity’s requirements for reserves, considering the main risk to the organisation, that being a reduction of income. The trustees have established a policy whereby the reserves in total that are not invested in tangible fixed assets held by the Unit, should be up to the equivalent of 6 months' overhead costs of the charity.

The level of these reserves has been determined by the need to meet the working capital requirements of the charity and for the charity to carry out of its legal obligations. At the end of March 2023, the total of the charity’s unrestricted reserves stood at £966.27, and a further £192.10 in restricted funds.

Whilst the balance at the year-end is very close to our reserve level, the trustees are aware that expenditure during 2023/24 is likely to be significantly lower than the previous 2 years due to the building works coming to an end now the refurbishment is almost complete.

Structure, Governance and Management

Units of the SCC are formed and operated entirely by volunteers in local communities. Each Unit is a self-supporting youth organisation and an independent charity with a central support management and training structure provided primarily by the Marine Society and Sea Cadets (MSSC). The unit becomes a part of the SCC by virtue of its affiliation to the MSSC, the parent body of the SCC. In accepting this affiliation, the unit undertakes to comply with all regulations issued by, or on behalf of, the MSSC Council.

The Unit was registered as an unincorporated charity on 12th November 1996 and is governed by a constitution approved by the Charity Commission of England and Wales. A revised constitution issued by the Marine Society and Sea Cadets was ratified by the Board of Trustees at its meeting in December 2017.

Recruitment and Appointment of the Trustees

Trustees serve and are re-elected on an annual basis. A minimum of 4 office holders: Chair, Secretary, Treasurer and Commanding Officer. UMT office holders are elected at the first meeting following the Annual General Meeting (AGM). UMT members are elected from the membership of the Sea Cadets Unit which is drawn loosely as being those with an interest in the unit.

The constitution lays down specific controls for UMT membership and will be observed for all future recruitment.

In the event of a vacancy arising during the year (known as a casual vacancy), the trustees have the power to co-opt new trustees. All trustees will serve until the date of the next AGM, after which the post will be filled by election.

The trustees are represented by a wide range of individuals drawn from the local community. Trustees have the power to appoint additional trustees to act jointly with them for all purposes. A trustee whose term of office has expired can be appointed for a further term of office.

Responsibilities of the Trustees

Charity law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state affairs of the charity and of its financial position at the end of that year.

In preparing those financial statements the trustees are required to:

• ➢ Select suitable accounting policies and apply them consistently.

• ➢ Make judgement and estimates that are reasonable and prudent.

• ➢ State whether applicable accounting standards and statements of recommended practice (SORP) have been followed, subject to any departure disclosed and explained in the financial statements.

• ➢ Prepare the financial statements on a going concern basis unless it is appropriate to presume that the charity will not continue existence.

The trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the financial statements comply with the Charity (Accounts Reports) Regulations 2008. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

No final report would be complete without acknowledging the efforts and dedicated service of the adult volunteers who make the unit a success. For any Sea Cadet Unit to succeed it is fully reliant on its teams to work together. Our uniformed and civilian instructors, management team and unit assistants all have one common aim, that of delivering the best experience for our young people. In this modern age, time is a precious commodity and like with all teachers and trainers there is a lot goes on behind the scenes, outside of parade times and over weekends that is not observed but makes such a big difference.

I report on the financial statements of Nuneaton and Bedworth unit 616 of the Sea Cadets Corp. for the year ended 31[st] March 2023 which are set out on pages 20-24.

Respective responsibilities of trustees and examiner

The charity’s trustees are responsible for the preparation of the financial statements. The charity’s trustees consider that an audit is not required for this year (under Section 144(2) of the Charities Act 2011 (‘the 2011 Act’) and that an independent examination is required.

It is my responsibility to:

• Examine the accounts under Section 145 of the 2011 Act 2011

• To follow the procedures laid down in the General Directions given by the Charity Commission (under Section 145(5)(b) of the 2011 Act); and

• To state whether any particular matters have come to my attention.

Basis of independent examiner’s report

My examination was carried out in accordance with the General Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and seeking explanations from you as the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently no opinion is given as to whether the accounts present a ‘true and fair’ view, and the report is limited to those matters set out in the statement below.

In connection with my examination, no matter has come to my attention:
