The Trustees present their Report and Financial Statements for the year ended 30 June 2021. 

The Financial Statements have been prepared in accordance with the accounting policies set out in Note 1 to the Accounts and comply with the Charity’s trust deed, the Charities Act 2011 and Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland published on 16 July 2014. 

## **Structure, Governance and Management** 

KINOE is a charity registered with The Charity Commission in England and Wales and is constituted by a Trust Deed signed on 19 August, 1996. Trustees are appointed by a resolution of the Trustees. 

The Trustees who served during the year or prior to the signing of this Report were:

Trustees hold a minimum of 2 meetings annually as required by the Trust Deed.  Decisions at Trustee meetings are taken by majority vote. These include fundraising strategies, allocation of funds, oversee reserves and risk management. Individual Trustees take responsibility for different aspects of the Charity’s administration but report on all aspects of their work to the full Trustee board. Urgent matters which occur between Trustee meetings are dealt with by email or telephone.  All Trustees give their time freely and no Trustee received remuneration during the year. 

The Trustees are currently not supported by an administrator but plan to appoint one soon. Fund raising events are usually organised by all the Trustees together with the Associate board and volunteers. Grants are usually applied for by the Trustees. 

New trustees are recruited by the existing Trustees based upon their experience, personal or professional qualifications, empathy with KINOE’s objectives and ability to further the organisation’s performance and achievements.  Trustees are appointed by a majority vote at Trustee meetings. Upon appointment Trustees are inducted by the Chair of the Trustees and are provided a welcome pack which includes the previous two years of filed annual reports and

accounts, the Trust Deed, and the Charity Commission’s guidance booklet “The Essential Trustee: What you need to know." 

## **Risk Management** 

The Trustees actively discuss the major risks which the Charity faces as part of their ongoing Trustee meetings. The principal financial risks faced by KINOE are reductions in the total of charitable donations received. In order to mitigate this risk, the Trustees have set a reserves management policy detailed below in the “Reserves Policy” section. 

Operational risk is defined as funding disbursed that gives rise to outcomes that are not in line with the KINOE’s objectives. The Trustees use a mixture of independent monitoring and evaluation, structured reporting and regular contact to mitigate against significant risks associated with grant making to small overseas partners. Furthermore, an appropriate financial control framework is maintained. 

## **Objectives and activities for the public benefit** 

KINOE’s objectives as set out in the Trust Deed are the promotion of education and relief of poverty for children and young people of the Indian subcontinent together with such other charitable purposes as the Trustees may think fit. In June 2016, the Trustees decided to extend their support to Africa. 

KINOE also aims to raise awareness of the plight of the disadvantaged children in these areas and the effects that the projects they support have on the children. 

The Trustees confirm they have had regard to the Charity Commission’s guidance on public benefit when reviewing KINOE's aims and objectives and in planning future activities and decision making for grants made during the year. 

KINOE achieves these objectives by supporting educational projects which will have a direct impact on disadvantaged children and young people’s lives by sending the projects funds and raising their profile. In choosing projects to support, the Charity is strongly guided both by the cost-effectiveness of the projects and KINOE’s ability to build an effective ongoing relationship with the project so as to further public benefit. 

Funds are raised by holding fundraising events, receiving general donations from both individuals and businesses and applying to grant making bodies, including both trust funds and businesses. 

## **Achievements and performance during the year** 

During this year, after deducting all fundraising and other costs, £32,700 (2020: £10,168) was raised from private donations and grants obtained from charitable grant making trusts. Grants of £38,000 (2020: £41,436) were made out of funds raised in the year and brought forward from earlier years, which were made to KINOE’s project partners who work to educate children in great need in the Indian subcontinent and Africa.

## **Summary of projects supported and grants approved during the year** 

## **Akanksha** 

Since KINOE’s inception in 1996, it has been a supporter of The Akanksha Foundation, both through its own fund-raising events and by obtaining grants and donations. The Akanksha Foundation (www.akanksha.org) is an NGO based in Mumbai with a mission to create high performing public schools that redefine what is possible for children from low-income communities. Akanksha was founded in 1991 and currently serves over 9,300 children across 21 public schools and supports a network of 3,100 alumni. The Akanksha Foundation focuses on holistic development for all its children by strengthening their foundation in three key areas: Academic Achievement, Youth Development and Community Engagement. Through this model, Akanksha aims to equip every child with the knowledge, skills and character they need to lead empowered lives. 

£Nil (2020: £3,955) was raised for the Akanksha fund from private donations (no direct expenses were incurred). 

During the year, grants of £30,000 (2020: £30,000) were made to Akanksha, which was fully paid out of National Grid 2018. The funds were used to partially fund the Mahatma Jyotibha Phule Mumbai Public School located in Masjid Bandar, Mumbai for the 2020/21 school year. The students are from low socio-economic backgrounds and receive a high standard of education as compared with a government funded school. 

The Trustees intend to continue supporting Akanksha through funds designated in the National Grid 2018 Fund.  The National Grid 2018 fund is held separately from the main Akanksha fund. 

## **Lo-Kunphen Medical School, Nepal** 

KINOE continues to support Lo-Kunphen Medical School, which is based in the remote district of Upper Mustang in Nepal and now has additional premises in the lowland town of Pokhara for winter classes and more advanced teaching for older students. Over 50 students from poor villages in this marginalised ethnically Tibetan region benefit from a unique education that covers the national curriculum and cultural studies, including Amchi (traditional herbal) medicine, Tibetan language and conservation. Having initially funded the majority of the set-up costs (19992000) and running costs in the early years, KINOE is now one of several funders supporting this project. 

£Nil was raised during the year (2020: £830) specified for the Lo-Kunphen Medical School.  KINOE transferred £4,000 (2020: £4,551) to the Lo-Kunphen Medical School during the year to support the 2021-22 academic year. 

## **Teach for India** 

Teach for India (TFI) is a not-for-profit organisation that aims to eliminate educational inequity in India. This is achieved by operating a fellowship model by selecting promising leaders from the best universities and workplaces in India for a two-year commitment to teach in low-income and

high needs classrooms. These Fellows are placed in some of the most under-resourced schools in India wherein they not only strive to put their students on a fundamentally different life-path, but also begin to cultivate the knowledge, skills, and mindsets needed to attain positions of leadership in the education system.  The Fellowship program is the foundation that fuels the Alumni Movement, which aspires to build a strong community of inspired Alumni who will mobilize resources and collaborate towards effecting sustainable systemic change in the education space. More than 70% of graduating Fellows continue to remain in the education sector.  At present, TFI has a strong cohort of over 900 Fellows and in excess of 3000 Alumni members impacting around 40,000 students in India directly and indirectly. 

NIL specified donations were received during the year (2020: £NIL), and £NIL grants made (2020: £NIL). 

The Trustees plan to continue to support TFI in the future by combining the balance of the fund as at 30 June 2021 of £1,260 with an amount of £10,518 from the National Grid 2018 Fund which has been designated for TFI in order to provide a conditional grant for full sponsorship of a TFI fellow over a two-year fellowship.  The National Grid 2018 funds are held separately from the main TFI fund, and the amount has not been accrued for as there is no binding commitment or contractual agreement as at 30 June 2021. 

## **Teach for Nepal** 

Teach for Nepal (TFN) was launched in 2013 and is affiliated with the “Teach for All” global network. Highly motivated Nepali graduates and professionals are recruited and trained as fellows to teach for two years in government secondary schools serving disadvantaged rural communities. As of 30 June 2021, in excess of 100 fellows were working in over 60 schools scross Nepal, impacting around 10,000 children.  Fellows receive six weeks of in-service training, with regular ongoing coaching and support, ensuring their classes are stimulating and foster creativity, a spirit of enquiry and confidence among students, rather than the prevailing rote learning approach in Nepal.  TFN has over 250 alumni who have completed at least 2 years of teaching. Over 60% of these have continued working in education and/ or development, building on their experience with TFN. 

Once again students taught by TFN fellows achieved results at SLC (GCSE equivalent) above the national average, this is significant since TFN supported schools are rural state schools, whereas the national average also covers urban and private schools, where resources and therefore results are much higher. 

In a wake of the pandemic, TFN had to find other ways to ensure that students in public schools were not left behind. Over these months, TFN has been able to reach to students through phone call, SMS, social networking platforms, radio, worksheets, video lessons on a pen-drive etc. Our Fellows have checked in the wellbeing of students, supported families to help them to cope and learn, ensured that students know about the pandemic and brought them back to learning. 

£Nil was granted to TFN during the year (2020: £1,000).

## **ABC Nepal** 

ABC Nepal (www.abcnepal.org.np) works to defend the rights of women and girls, with a special focus on prevention of all forms of exploitation, including trafficking and domestic abuse. Their activities include rehabilitation of victims and awareness raising through school talks and street theatre, to ensure girls and women recognise and understand the risks they may face and are empowered to avoid or report abuse.  ABC Nepal runs two hostels where survivors of abuse receive counselling and medical care, with accommodation, food, clothing and schooling for as long as is needed. The ultimate aim is to repatriate the girls to their families and communities. ABC Nepal also runs skills training for young women to enable them to become economically independent, either through jobs or starting small businesses. 

KINOE transferred a total of £4,000 to ABC Nepal during the year (2020: £3,750). 

## **Chhahari Nepal** 

Chhahari is a small Nepali NGO that helps very impoverished people affected by mental illness and distress, who are excluded from mainstream society as a result of their mental illness. Chhahari provides practical support to clients found living on the streets in Kathmandu valley, with referral for medical treatment and social support where appropriate. They aim to re-unite them with their families where possible and work with them to manage the mental illness. 

During the year KINOE’s funds have been used for the educational support of three beneficiaries and monthly workshops at the Welcome Centre for caregivers and clients. £Nil was granted to Chhahari during the year (2020: £250). 

## **Three 2 Six** 

The Three2Six programme is run at the Sacred Heart College, Johannesburg, South Africa. 

The programme is an educational bridging project providing after-hours education to refugee children in Johannesburg to get them ready for mainstream schooling. Although there were no grants made during the current year (2020: £NIL), the Trustees do intend to support the project in the future. 

## **Funds Raised** 

During the year, £NIL, was received in respect of specific funds. 

## **Financial Review** 

In summary KINOE raised £32,700 (2020: £10,168) and expensed £41,672 (2020: £47,427). £38,000 (2020: £41,436) was spent on the direct promotion of education with the balance being costs of fund-raising and governance. The net outgoing resources of £8,972 were deducted from reserves (2020 net outgoing resources of £37,759). 

The year closed with £34,624 of general unrestricted funds (2020: £13,596) and restricted funds held of £92.669 (2020:  £122,669).

## **General Fund** 

Ongoing donations, gift aid and interest enabled us to raise £32,700 for our general fund (2020: £4,705). There were no fundraising events held in the current year (2020: None). 

Grants of £8,000 (2020: £12,210) were made from General Funds in the year, being £4,000 to each of The Lo-Kunphen Medical School and ABC Nepal. 

As no events were held, no fundraising costs were incurred (2020: £NIL).  The general fund closed the year with £34,624 (2020: £13,596). 

## **Designated funds** 

There are no unrestricted funds designated as at 30 June 2021 (2020: £NIL). 

## **Funds held as a custodian trustee on behalf of others** 

## **Muktangan School - Sound of Mumbai Project, India** 

Film-maker Sarah McCarthy filmed the making of a production of the Sound of Music performed by disadvantaged children in Mumbai. She has held a number of screenings of the film, ‘The Sound of Mumbai’ and has donated the proceeds from the screenings. 

The aim of the fund is to provide educational assistance for the class of children who star in the film.  The objectives of the fund are: 

- Raise funds for the university education of the children featured in the documentary film 

- Raise funds for the university education of other graduating classes of Muktangan school

- Secure funding for a scripted feature version of the film which will be used to reach a wide audience and raise additional funds for further education of children residing in Indian slums. 

There was £5,162 (2020: £5,162) held as at the year end.  £Nil (2020: £Nil) was spent on administrative expenses.  There were no payments made to Muktangan School during the year (2020: £Nil). 

KINOE has acted as a custodian trustee for the Sound of Mumbai project to help support its efforts to provide educational assistance for the impoverished children who featured in the film. 

KINOE ensures the safe custody and segregation of the funds by keeping a frequently updated funds movement schedule and reconciliations of the funds which are provided to Sound of Mumbai regularly.  KINOE holds the funds in a liquid bank account. 

## **Reserves Policy** 

It is KINOE’s policy to hold in reserve any sums specifically donated to a project which are not yet required by the project plus a general fund to enable us to support new funds or existing funds if required.  These funds are regarded as committed to the projects they are held for, subject to satisfactory ongoing monitoring and evaluation. 

It is KINOE’s policy that unrestricted funds which have not been designated for a specific use should be maintained at a level equivalent to approximately two years of general operating expenses. The Trustees consider that reserves at this level will ensure that, in the event of a significant drop in funding, there will be sufficient time allowed to be able to give consideration to ways in which additional funds may be raised. This level of reserves is held is at the year end. 

## **Volunteers** 

KINOE is grateful to the help of volunteers who help with fundraising and grant applications. 

## **Plans for the future** 

The Trustees believe that money spent on education is more effective at lifting people out of poverty than any other form of aid and aims to continue to focus on assisting young people in great need in the Indian subcontinent and South Africa, attain an education. KINOE plans to continue supporting its innovative and education focused project partners by providing grants for the purpose of supporting the education of impoverished and underprivileged young people. KINOE plans to continue to raise funds by applying for grants from private trusts, pursuing corporate giving, driving sponsorship of students at projects KINOE supports, as well as encouraging donations from individuals. 

## **Trustees’ responsibilities in relation to the Financial Statements** 

The Charity’s Trustees are responsible for preparing a trustees’ annual report and financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).

The law applicable to charities in England and Wales requires the Charity’s Trustees to prepare financial statements for each year which give a true and fair view of the state of affairs of the Charity and of the incoming resources and application of resources, of the Charity for that period. 

In preparing the Financial Statements, the Trustees are required to: 

- select suitable accounting policies and then apply them consistently; 

- observe the methods and principles in the applicable Charities SORP; 

- make judgements and estimates that are reasonable and prudent; 

- state whether applicable accounting standards have been followed, subject to any material departures that must be disclosed and explained in the Financial Statements; 

• prepare the Financial Statements on the going concern basis unless it is inappropriate to presume that the Charity will continue in business. 

The Trustees are responsible for keeping sufficient accounting records that disclose with reasonable accuracy at any time the financial position of the Charity and enable them to ensure that the accounts comply with the Charities Act 2011, the applicable Charity (Accounts and Reports) Regulations and the provisions of the Trust Deed. They are also responsible for safeguarding the assets of the Charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

I report to the trustees on my examination of the accounts of the above charity (“the Trust”) for the year ended **30/06/2021** . 

**Responsibilities and** As the charity's trustees, you are responsible for the preparation of the **basis of report** accounts in accordance with the requirements of the Charities Act 2011 (“the Act”). 

I report in respect of my examination of the Trust’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination, I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.

## **1 Accounting Policies** 

## **a) Basis of Accounting** 

The financial statements are prepared under the historical cost convention with items recognised at cost or transaction value. The accounts have been prepared in accordance with the Statement of Recommended Practice: Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) issued on 16 July 2014, and the Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland (FRS 102) and with the Charities Act 2011. KINOE is a Public Benefit Entity as defined by FRS 102. 

At the time of approving the accounts, the Trustees consider that there are no material uncertainties about the KINOE’s ability to continue as a going concern. The Trustees have a reasonable expectation that KINOE has adequate resources coupled with fundraising strategies to continue in operational existence for the foreseeable future. Thus, the Trustees continue to adopt the going concern basis of accounting in preparing the accounts. 

## **b) Grants** 

Grants are recognised in the Statement of Financial Activities (SOFA) on a received basis. 

## **c) Donations, Other Income, Fundraising and Gifts** 

Donations, other income, fundraising and gifts are recognized in the accounts on a received basis. ‘Gifts in kind’ are valued at their value to the Charity. 

## **d) Expenditure and Support Costs** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the Charity to that expenditure, it is probable that settlement will be required and the amount of the obligation can be measured reliably. All expenditure is accounted for on an accruals basis. 

## **2 Trustees** 

None of the Trustees were remunerated either directly or indirectly. During the year, no Trustee received any expenses (2020 – Nil).
