Trust; Provid8 addltlonal resources to fund over and above those that are normally funded by the NHS
Foundation Trust,. Purchase equipment, improve facllilles in whlch patients are treated & fund staff

Structure, Governance and Management
The Deeds of the Charlty oulllnlng Ils structure are held by Chrls Hand the Group Chlef Flnance
Officer of North Tees & Hartlepool NHS Foundation Trusv the Corporate Trustee. The Charity was
formed by dlrectlon of the Charlty Commlsslon by vlrtue of the provlslons of Section 98 of the
Charilles Act 2011. In 1999 two charltles, tha North Tees Health NHS Trust Charltable Fund and the
Hartlepool and East Durham NHS Trust Charllable Fund, merged lo form the North Tees and
Hartlepool NHS Foundallon Trust General Charitable Fund.
A Charllable Funds Commlttee w8s establlshed In 2009, The membershlp comprl$g8 the Chalrman,
Managlng Dlreclor, Chlef Flnance Offlcer and two Non-axecutlve Dlrectors. The Commlttee meets
twlce a year.
The recrultrnanl process for appolnllng the members of the Board who seN8 as agents for the
Corporate Trustee follows Trust proceduras.
The Charity unreslrlcled fund was eslabllshed uslng the model declaratlon of trust and all funds held
as al the dale of reglslratlon were ellher part of Ihls unreslrlcted fund or reglstered 83 separate
restrlcted funds under the maln Charlty.
The Corporate Trustee fulflls Ils legal duty by ensurlng that funds are spent In accordance wllh th8
oblecllves of each fund by deslgnallng funds, the Corporate Trustee respects the wlshes of the donor,
lo benefll patlent care and Improve the health and welfare of pallents and staff.
The Charllable Funds avallable for spendlng are allocated to speclalllles wlthln the NHS Foundatlon
Trust's managernent structur8 accordlng to the donorfs wlshes. Each fund Is managed by a
member(s) of staff (th8 Fund Manager) and overseen by the General Manager of the Speclallty.
Where funds have been received whlch have spaclflc rastrlcllons set by the donor, a reslrlctad fund Is
establlshed. At 31 March 2025 there were 62 (2024.. 62) such funds,
The Charlty has one unreslrlcted fund, the General Purposes Fund.

The accounting records and day lo day administration of the funds are dealt with by the Flnance
Department of the North Tees and Hartlepool NHS Foundallon Trust, located at the Unlversity
Hospital of North Tees, Hardwlck, Stockton on Tees.
The Charltable fund has NHS Foundatlon Trust wlde objectlves as follows..
The Corporate Trustee shall hold the Charltable Fund upon trust to apply the Income,
and at Ils, or It8 agent's dlscretlon. so far as may be permlsslble, the capltal, for any
charllable purpose or purposes relatlng lo the Nallonal Health SeNlce.
The Charlty wlll contlnue to further Improve the provlslon of hlgh quallty patlent care
throughout the Trust focusing on areas not covered or fully supported by central NHS
Foundatlon Trust funds.
The future plans for the Charity are dependent on the future dlrectlon of th8 NHS and the strateglc
plan of the Trust,

The major rlsks to whlch the Charlty Is exposed have been Id8nllfied and systems put In place to
mlllgate them.
The major extern81 rlsk to whlch the Charlty Is exposed Is a Sudden fall In the valua of the
Investment portfollo. However, th8 Corporate Trustee Invests over the longer term lo ensure that
the greatesl returns are achleved. Hlslory has shown that over sny 10 year perlod In the last
cenlury, Investment In a wlde range of equlty based investments wlll add greater value when
compared to a flxed Interest based portfollo.
The Corporate Trustee has re-appolnted professlonal lund managers, CCLA for Charllles. to
manage the Charlty Investments from 1st Aprll 2023. There are procedures In place to revlew the
Investment pollcy and monltor Ils performance.
To mlllgate exposure to rlsk In thls area. the Charlvs Investment Managers, CCLA for Chartlles,
have adopted an Investment pollcy that spreads the rlsk over a wide range of Investments.
The Charity is audlled by the North Tees and Hartlepool NHS Foundatlon Trust's Internal audltors,
Audit One who revlew and test systems, and the Trust's external Independent auditors, Robson
Laldler Accountants, who Independently audit the Charivs Annual Flnanclal Slalements and

The Corporate Truslee requests that the cash balance al any one Ilme should not fall below £100.000. The
Charlty has the faclllty lo wlthdraw funds as and when requlred from CCLA for Charilles, lo enable the
Charlty's alms lo be protected In the event of axpendilure exceedlng Income In a glv8n year. By provldlng a
buffer, the Corporate Trustee has the ablllty lo reduce dlscretlonary grants and Implement plans to Increase

Th8 Corporate Trustee Invests the charitable funds in Ilne with its investment pollcy with a vlew lo
obtalnlng a relum higher than through cash deposits. The Investment policy Is reviewed on an ongolng
basls by th& Corporate Trustee.
The portfollo was managed by CCLA for Charltles and comprlsed Investments In a global charlty multl-
asset fund and cash.
Funds are invested ethlcally In relallon lo achlevlng carbon n8Utr81 targets. There Is no Investment In
companle$ Involved In tobacco products. The performance of the Investments Is monitored by the
rinance department of the North Tees and Hartlepool NHS Foundallon Trust and reported to the DlreGlor
of Flnance.

in-year appllcallons lo the fund, has no future commltments to dlscharg8,
The r8turn on Investments, donatlons and legacles have decreased over the prevlous year. The
expendlture of the Charlty Is dlscrellonal and tha Corporate Truste8 wlll ensura expendlture18 affordable
to malntaln flnanclal sustalnablllty.
Afler maklng enqulrles, the Corporate Trustee expects that the Charlty has adequate resources to
contlnue In operatlonal exlstence for at least 12 months from the dale of slgnlng. For thls reason. they
contlnue lo adopt th8 golng concern basis In preparing the Annual Report and Flnanclal Statements.
