Trustee's Annual Report
The North Tees and Hartlepool NHS Foundation Trust General Charitable Fund, registered Charity
Number 1057682, was entered on the Central Register of Charities on 1st May 1996. The Charity was
established to administer charitable funds received from donations and bequests.
Charitable Funds received by the Charity are accepted and adminislered as funds and property held on
trust for purposes relating to the health service in accordance with the National Health SeNice Act 1977
and the National Health Service and Community Care Act 1990 and these funds are held on trust by the
corporate body.
The Charitable Fund is registered with the Charity Commission (Charity Number 1057682) in accordance
with the Charities Act 2011.
The Charity ha$ a Corporate Trustee, the North Tees and Hartlepool NHS Foundation Trust, with the
members of the Board of Directors responsible for ils governance as per the law applicable to Trusts,
principally the Trustee Act 2000 and the Charities Act 2011.
Members of the Board of Directors are not individual Trustees under Charity Law but act 8s agents on
behalf of the Corporate Trustee.

The aim of the Charity is to improve patient care for the local population served by the Foundation
Trust,. Provide additional resources to fund over and above those that are nomially funded by the NHS
Foundation Trust,. Purchase equipment, improve facilities in which patients are treated & fund staff
training to enhance modern techniques in Iheir specialty.
Structure, Governance and Management
The Deeds of the Charity outlining ils slructure are held by Kate Hudson-Halliday the Director of
Finance of North Tees & Hartlepool NHS Foundation Trusv the Corporate Trustee. The Charity was
formed by direction of the Charity Commission by virtue of the provisions of Section 96 of the
Charities Act 2011. In 1999 two charities, the North Tees Health NHS Trust Charitable Fund and the
Hartlepool and East Durham NHS Trust Charitable Fund, merged to form the North Tees and
Hartlepool NHS Foundallon Trust General Charitable Fund.
A Charitable Funds Committee was est8blished in 2009. The membership comprises the Chairman,
Chief Executive, Director of Finance and two Non-executive Direclors. The Committee meets twice a
year.
The recrultment process for appointing the members of the Board who serve as agents for the
Corporate Trustee follows Trust procedures.
The Ch8rily unrestricled fund was establlshed uslng the model declaration of trust and all funds held
as at the date of registration were either part of this unrestricted fund or reglstered as separate
restricted funds under the main Charlty.
The Corporate Trustee fulfils ils legal duty by ensuring that funds are Spent in accordance with the
objectives of each fund by designating funds, the Corporate Trustee respects the wishes of the donor,
to benefit patient care and improve the health and welfare of patients and staff.
The Charitabl& Funds avallable for spending are allocated to speclalitles wlthln the NHS Foundation
Trust's management Structure according to the donor's wishes. Each fund is man8ged by
member(sl of stsff (the Fund Manager) and overseen by the General Manager of the Speclalily.
Where funds have been received which have specific restriclions set by the donor, a restricted fund Is
established. At 31 March 2024 there were 62 (2023.. 62) such funds.
The Charity has one unrestricted fund, the Gener81 Purposes Fund.
The Corporate Trustee of the North Tees and Hartlepool NHS Foundation Trust General Charitable
Fund delegates responsibility for the operational running of the Charitable Funds to Kate Hudson-
Halliday the Director of Finance who is required to..
Maintain such accounts and records, as necessary, to record and protect all funds in trust.,
Control, manage and monitor the use of the fund resources.,
Provide support and advice for all of its income raising actlvilies.,
Ensure that best practice is followed in the conduct of its affairs fulfilling all of its legal
responsibilities;
Ensure that the approved investment policy is adhered to and that performance is continually
reviewed., and
Keep the Board of Directors fully informed on the performance, activity and risks of the Charity.

The training needs of the members of the Board who seNe as agents for the Corporate Trustee are
assessed on an ongoing basis and all training complies with the policies of the Foundation Trust.
The accounting records and day to day administration of the funds are dealt with by the Finance
Department of Ihe North Tees and Hartlepool NHS Foundalion Trust, located at the University
Hospital of North Tees, Hardwick, Stockton on Tees.

The Corporate Trustee shall hold the Charitable Fund upon trust lo apply the income, and
al its, or its agent's discretion, so far as may be permissible, the capital, for any charitable
purpose or purposes relating to the National Health Service.
The Charity will continue io further improve the provision of high quality pallent care
throughout the Trust focusing on areas not covered or fully supported by central NHS
Foundation Trust funds.
The future plans for the Charity are dependent on the future direction of the NHS and the strategic
plan of the Trust.
Rlsk Management
The major risks to which the Charity is exposed have been identified and systems pul in place to
mitigate them.
The major external rlsk 10 whlch the Charity is exposed is a sudden f811 in the value of the investment
portfolio. However, the Corporate Trustee invests over the longer term lo ensure that the greatest
returns are achi8ved. History has shown that over any 10 year period in the last century, investment in
wide range of equity based Investments will add greater value when compared lo a flxed interest
based portfolio.
The Corporate Trustee has re-appointed professional fund managers, CCLA for Charltles, to manage
the Charity Investments from 1st April 2023. There are procedures in place lo review the investment
policy and monltor its performance.
To mitigate exposure to risk in this area, the Charity's Investment Managers, CCLA for Charities, have
adopted an investment policy that spreads the risk over 8 wide range of investments.
The Charity IS 8udited by the North Tees and Hartlepool NHS Foundation Trust's internal auditors,
Audit One who review and test systems, and the Trust's external independent auditors, Deloitte LLP,
who independently audlt the Ch8rity's Annual Financlal Slalements and Report.

The Chanty relies on donations, legacies and Investment Income as the main source of Income.

The Charity has received 90 /0 of the Greener Communities fund Grant managed by NHS Charities
Together in partnership with Starbucks and Hubbub of £134,730, during 2023124 and this has been
used to create a Kaiedostroke therapy garden to be used for Stroke and Therapy patients rehabililatlon.
The Charity has contributed £5,000 (2022123: £15,000) to refurbishments 8nd IT equipment purchases
in North Tees and Hartlepool NHS Foundation Trust.
The Charlty has spent £76,000 (2022123.. £97,000) on staff welfare, representing a significant
contribution to 81aff training and development to provide high quality health care within the Foundation
Trust.

Investments
The Corporate Trustee invests the charitable funds in line with its investment policy with a view lo
obtaining a return higher than through cash deposits. The investment policy is reviewed on an ongoing
basis by the Corporate Trustee.
The portfolio was managed by CCLA for Charities and comprised investments in a global charity multi-
asset fund and cash.
Funds 8re invested ethically in relation to 8chieving carbon neutral targels. There is no investment in
companies involved in tobacco products. The performance of the investments is monitored by the
finance department of the North Tees and Hartlepool NHS Foundation Trust and reported to the Director
of Finance.

The market value of the portfollo of investments as at 31 March 2024 showed an increase In v81ue of
£131,000 {compared to a decrease of.. £55,000 at 31 March 2023). Th18 is disclosed as an unreallsed
gainlloss in the Statement of Financlal Activities.
The investment objective of the fund is real long-term growth in capital values and a reliable income
dlstrlbulion within a clear risk control framework. There Is a bias towards real assets, predominantly
global equities but also property and infraslructure. Individual stocks are selected on businesses,
fundamental chafacterislics Sncluding environmental, social and governance risks.
Apportlonment of Investment Income
Dlvidend income from Investments has been apportioned on a pro-rata basis to funds with an 8verage

Golng Concarn
The Charity's activities, together with the factors likely to affect its future development, perfomiance and
position are set out on pages 1-10.
The Charity has significant financial resources and due to ils long standing policy of only funding one-off
in-year applications to the fund, has no future commitments to discharge.
The return on invesiments, donations and legacies have increased over the previous year. The
expenditure of the Charity is discretional and the Corporate Trustee will ensure expenditure is affordable
to maintain financial sustainability.
After making enquiries. the Corporate Trustee expects that the Charity has adequate resources to
continue in operational existence for at least 12 month5 from the date of signing. For this reason, they
continue to adopt the going concern basis in preparing the Annual Report and Financial Statements.

## Report on the audit of the financial statements 

## Opinion 

In our opinion the financial statements of North Tees and Hartlepool NHS Foundation Trust General Charitable Fund (the ‘charity’): 

- give a true and fair view of the state of the charity’s affairs as at 31 March 2024 and of its incoming resources and application of resources for the year then ended; 

- have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice, including Financial Reporting Standard 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland”; and 

- have been prepared in accordance with the Charities Act 2011. 

- We have audited the financial statements which comprise: 

- the statement of financial activities; 

- the balance sheet; 

- the statement of cash flows; and 

- the related notes 1 to 19. 

The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” (United Kingdom Generally Accepted Accounting Practice). 

## Basis for opinion 

We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the auditor's responsibilities for the audit of the financial statements section of our report. 

We are independent of the charity in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the Financial Reporting Council’s (the ‘FRC’s’) Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion. 

## Conclusions relating to going concern 

In auditing the financial statements, we have concluded that the trustee’s use of the going concern basis of accounting in the preparation of the financial statements is appropriate. 

Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the charity’s ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.

## Responsibilities of trustees 

As explained more fully in the trustee’s responsibilities statement, the trustee is responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the trustees determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error. 

In preparing the financial statements, the trustee is responsible for assessing the charity’s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the trustee either intends to liquidate the charity or to cease operations, or has no realistic alternative but to do so. 

## Auditor’s responsibilities for the audit of the financial statements 

We have been appointed as auditor under section 149 of the Charities Act 2011 and report in accordance with the Act and relevant regulations made or having effect thereunder. 

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor's report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.

Extent to which the audit was considered capable of detecting irregularities, including fraud Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below.

We considered the nature of the charity’s industry and its control environment, and reviewed the charity’s documentation of their policies and procedures relating to fraud and compliance with laws and regulations. We also enquired of management and the trustee about their own identification and assessment of the risks of irregularities, including those that are specific to the charity’s business sector. 

We obtained an understanding of the legal and regulatory framework that the charity operates in, and identified the key laws and regulations that: 

- had a direct effect on the determination of material amounts and disclosures in the financial statements, being the UK Charities Act, Charity (Accounts and Reports) Regulations 2008; and 

- do not have a direct effect on the financial statements but compliance with which may be fundamental to the charity’s ability to operate or to avoid a material penalty under Charity Commission regulations. 

We discussed among the audit engagement team regarding the opportunities and incentives that may exist within the organisation for fraud and how and where fraud might occur in the financial statements. 

As a result of performing the above, we identified the greatest potential for fraud in the following area, and our procedures performed to address it are described below: 

- Revenue recognition: We presume a risk of material misstatement due to fraud related to revenue recognition and evaluate which types of revenue, revenue transactions or assertions give rise to such risks. We have attached the risk of fraud to donation and legacy income, in particular the cut-off assertion of both income streams. In addressing this risk, we performed detailed testing of donation and legacy income through testing a sample of items selected from post year end cash receipts and tracing these samples to source documentation to determine the correct period of recognition. 

In common with all audits under ISAs (UK), we are also required to perform specific procedures to respond to the risk of management override. In addressing the risk of fraud through management override of controls, we tested the appropriateness of journal entries and other adjustments; assessed whether the judgements made in making accounting estimates are indicative of a potential bias; and evaluated the business rationale of any significant transactions that are unusual or outside the normal course of business. 

- In addition to the above, our procedures to respond to the risks identified included the following: 

- reviewing financial statement disclosures by testing to supporting documentation to assess compliance with provisions of relevant laws and regulations described as having a direct effect on the financial statements; 

- performing analytical procedures to identify any unusual or unexpected relationships that may indicate risks of material misstatement due to fraud; 

- enquiring of management concerning actual and potential litigation and claims, and instances of non-compliance with laws and regulations; and 

- reading minutes of meetings of those charged with governance.

Basls Of Preparatlon
The preparation of financi81 statements requires the use of certain critical 8ccounting
estimates. It also requires management to exercise ils judgement in the process of applying
the Charity's accounting policies. There are no critical accountlng judgements and there are no
key sources of estimation uncertainty.
The financial statements have been prepared on a going concern basis and under the historic
cost convention, with the exception of investments which are included at fair value. The
financial statements have been prepared in accordance with Accounting and Reporting by
Charities.. Statement of Recommended Practice applicable to charilies preparing their financial
statements in accordance with the Financial Reporting Standard applicable in the UK and
Republlc of Ireland {FRS 1021 (effective 1 January 2019) and the Charities Act 2011.
The Charity meets the definition of a public benefit entity under FRS 102. Assets and liabilities
are Initially recognised at historical cost or transaction value unless othemise stated in the
relevant accountlng pollcy noie(sl.

Funds Structura
Restricted funds are funds which are to be used In 8ccordance wlth specific restrictions
imposed by the donor. Unrestricted income funds comprise those funds which the Corporate
Trustee is free to use for any purpose In furtherance of the charitable objectives. Funds which
are not legally restricted but which the Corporate Trustee has chosen to earmark for set
purposes are designated funds. Funds where the capital is held to generate income for
charitable purposes and cannot itself be spent, are accounted for as endowment funds. No
endowmenl funds are currently held by the charity.
The major funds held in esch of these categories are disclosed In note 19.

Incomlng Resources
All incoming resources 8re recognlsed and Included in full in the Statement of Financial
Actlvlties as soon as the following factors are met,.
entitlement - arlses when a particular resource is receivable or the Charity's right

future development of the Charity and comprSse of administration, independent audltors,

The North Tees and Hartlepool NHS Foundation Trust is the sole beneficiary of the Charity. The Charity
has provided fttnding lo the NHS Foundation Trust for approved expenditure under the Trust's Scheme of

The Charity is a wholly owned subsidiary of North Tees and Hartlepool NHS Foundation Trust, an
NHS Foundation Trust registered in England. North Tees and Hartlepool NHS Foundation Trust is
