The directors present their report and financial statements for the year ended 31 March 2025.
The financial statements have been prepared in accordance with the accounting policies set out in
note 1 to the financial statements and comply with the charity's deed of trust, the Companies Act
2006 and Accounting and Reporting by Charities" Statement of Recommended Practice applicable
to charities preparing their accounts in accordance with the Financial Reporting Standard applicable
in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015)"
Objectives and activities
The company's principal activity during the year continued to be that of promoting the advancement
of the education of the public in the history and archaeology of the Roman period. The trustees,
who meet at least four times a year to manage the affairs, run the charity. The trustees carry out
their work on a voluntary basis and are assisted by volunteers, whose help is greatly appreciated.
The Trustees have paid due regard to guidance issued by the Charity Commission in respect to
public benefit in deciding what activits-es the charity should undertake.
More details of our activities are given in the attached statement of Financial Activities and in the
Notes. The Treasurerfs Report also details a review of the financial performance and provides
details as to the future plans for the charity-
Achievements and perfonnance
Full details of the achievements and perfomiance of the association in the year to 31 March 2025
are provided in the Chairman's report and the Treasure¢s report which are attached to the accounts
presented to the members for approval.
Significant achievements, noted in those reports include=
The publication of Iwo issues of ARA News and one Bulletin.
The organisation of a three UK study tours, to Hadrian's Wall in June 2024, to Littlecote Villa
& Devizes Museum (July 2024) and Kent (Lympe & Folkestone) in August 2024.
Two overseas study tours, Turkey-2 to Istanbul & Troy in May 2024 and Turkey-3 to the
Lycian Coast in October 2024.
The Association made donations and grants to support excavation projects, educational
events, individual research. museums and publications. These are detailed in note 7.

Financial review
This year, the ARA has benefited from substantial donations and bequests resulting in a surplus
being recorded. This was despite the substantial cost of postage for the Villas volume which was
provided for free for all member households.
It is the policy of the charity that unrestricted funds which have not been designated for a specific
use should be maintained at a level equivalent to a yearfs expenditure. The Trustees consider that
reserves at this level will ensure that. in the event of a significant drop in funding, they will be able to
continue the charity's current activities while consideration is given to ways in which additional funds
may be raised. This level of reserves has been ex￿eded throughout the year.
The Trustees have assessed the major strategic. business and operational risks which the charity is
exposed, and are satisfied that systems are in pla￿ to mitigate exposure to the major risks.

Structure, governance and management
The charity is a company limited by guarantee and is controlled by its governing document, a deed
of trust.

Each year, the Trustees who have been longest in Offi￿ since their last election shall retire and
may offer themselves for re-election
None of the Trustees has any beneficial interest in the company. All of the Trustees are members
of the company and guarantee to contribute £1 in the event of a winding up.
There are no employees of the charity and it is run by the Board of Trustees.

The company is entitled to the exemption from the audit requirement contained in section 477 of the
Companies Act 2006, for the year ended 31 March 2024. No member of the company has
deposited a notice, pursuant to section 476, requiring an audit of these financial statements.
The Trustees responsibilities for ensuring that the charity keeps accounting records which comply
with section 386 of the Act and for preparing accounts which give a true and fair view of the state of
affairs of the company as at the end of the financial year and of its incoming resources and
application of resources. including its income and expenditure. for the financial year in accordance
with the requirements of sections 394 and 395 and which otherwise comply with the requirements of
the Companies Act 2006 relating to accounts. so far as applicable to the company

1 Accounting policies
Charity information
The Association for Roman Archaeology Limited is a private company limited by guarantee
incorporated in England and Wales. The registered Offi￿ is 75 York Road, Swindon, Wiltshire,
SN12JU.
Accounting convention
The financial statements have been prepared in accordance with the charity's governing
document, the Companies Act 2006 and "Accounting and Reporting by Charities: Statement of
Recommended Practice applicable to charities preparing their accounts in accordance with the
Financial Reporting Stsndard applicable in the UK and Republic of Ireland (FRS 1021" (as
amended for accounting periods commencing from 1 January 2016). The charity is a Public
Benefit Entity as defined by FRS 102.
The charity has taken advantsge of the provisions in the SORP for charities applying FRS 102
Update Bulletin 1 not to prepare a Statement of Cash Flows.
The financial statements are prepared in sterling. which is the functional currency of the charity.
Going concem
At the time of approving the financial statements, the Trustees have a reasonable expectation that
the charity has adequate resources to continue in operational existence for the foreseeable future.
Thus the Trustees continue to adopt the going con￿rn basis of accounting in preparing the
financial statements.
Charitable funds
Unrestricted funds are available for use at the discretion of the Trustees in furtherance of their
charitable objectives unless the funds have been designated for other purposes.
Restricted funds are subject to specific conditions by donors as to how they may be used. The
purposes and uses of the restricted funds are set out in the notes to the financial statements. No
restricted funds are currently held.
Income
Income is recognised when the charity is legally entiyed to it after any performance conditions
have been met, the amounts can be measured reliably, and it is probable that income will be
received.
Cash donations are recognised on receipt. Other donations are recognised once the charity has
been notified of the donation, unless performance conditions require deferral of the amount.
Income tax recoverable in relation to donations received under Gift Aid or deeds of covenant is
recognised at the time of the donation.
Legacies are recognised on re￿Ipt or otherwise if the charity has been notified of an impending
distribution, the amount is known, and receipt is expected. If the amount is not known, the legacy
is treated as a contingent asseL
Trading income is recognised when the good or service is provided. Where only the net income is
recognised, income is recognised when a full account can be made of the income and expenditure
of a particular tour or event.

Expenditure
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing
the charity to that expenditure, it is probable that a transfer of economic benefits will be required in
settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on
an accruals basis and has been classified under headings that aggregate all costs related to the
category. Where costs cannot be directly attributed to particular headings they have been allocated to
activities on a basis consistent with the use of resources.
Tangible fixed assets
Tangible fixed asses are initialty measured at cost and subsequently measured at cost or valuation, net
of depreciation and any impaimient losses.

The gain or loss arising on the disposal of an asset is determined as the difference be￿een the sale
proceeds and the carrying value of the asset. and is recognised in net income/(expenditure) for the year.
Impairment of fixed assets
At each reporting end date, the charity revIev￿ the carrying amounts of its tangible assets to determine
whether there is any indication that those assets have suffered an impairment loss. If any such indication
exists, the recoverable amount of the asset is estimated in order to determine the extent of the
impairment loss lif any)-
Cash and cash equivalents
Cash and cash equivalents include cash in hand, deposits held on call with banks, other short-term liquid
investments with original maturities of three months or less and bank overdrafts. Bank overdrafts are
shown within borrowings in current liabilities.
Basic financial assets
Basic financial assets, which include debtors and cash and bank balances, are initially measured at
transaction price including transaction costs and are subsequently carried at amortised cost using the
effective interest method unless the arrangement constitutes a financing transaction, where the
transaction is measured at the present value of the future receipts discounted at a market rate of interest.
Financial assets classified as receivable within one year are not amortised.

Basic financial liabilities
Basic financial liabilities, including creditors and bank loans are initialty recognised at transaction price
unless the arrangement constitutes a financing transaction, where the debt instrument is measured at
the present value of the future payments discounted at a market rate of interest. Financial liabilities
classified as payable within one year are not amortised.
Derecognition of financial liabilities
Financial liabilities are derecognised when the charity's contractual obligations expire or are discharged
or cancelled.
