Page 1 **MUSIC FOR ALL** **REPORT OF THE TRUSTEES FOR THE YEAR ENDED 31ST MARCH 2022** The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31st March 2022. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). ## **Objectives and activities** ## **Objectives and aims** Music for All's mission is to enable and inspire everyone, regardless of circumstances, to discover the mental, social and physical benefits of making music. The key aims and objectives of Music for All are to: - Donate physical instruments, and award grants towards the purchase of instruments and music tuition, to meet the musical needs of disadvantaged community groups, educational establishments, and individuals. - Advocate for, and promote the life-changing benefits of making music via media and events, and in collaboration with organisations with aligned purposes across the music and charity sectors - Bring free 'Learn to Play' experiences to people of all ages and backgrounds - Support and promote other like-minded events such as Make Music day - Support and organise fundraising events, activities and campaigns ## **Public benefit** Music for All's charitable purpose to to advance education for the public benefit, with particular reference to public participation in making music in all its forms, within all communities, including promoting understanding of, and advocating for, the benefits of making music. The benefits of making music are proven and wide-ranging. They apply to both individuals and groups and include enhanced health and mental well-being, educational attainment, development of social skills, creativity, confidence and self-esteem, reduced stress and anxiety and alleviation of degenerative conditions. All these outcomes potentially benefit not just those experiencing music making, but also their families, friends and wider circle of contacts, spreading out into the community and contribution to national social good. Page 2 **MUSIC FOR ALL** ## **REPORT OF THE TRUSTEES FOR THE YEAR ENDED 31ST MARCH 2022** ## **Achievement and performance** ## **Charitable activities** During 2021/22 the charity continued to develop its operations, building on the introduction of the new approach to grant applications during 2020/21 and increasing the number of award sessions held during the year.These awards were focused on the groups of need identified in the business plan which included groups using music making to support health and wellbeing, music education plus music making groups and individuals from deprived and/or minority communities. Despite the challenges of Covid, the charity managed to maintain its award level due to a substantial instrument donation and continuing donations from a wide range of sources. The charity awarded 39 grants with a value of over £70,000, mainly to community groups and education establishments. We also created our first named award, due to the generosity of the Hughes family who wanted to recognise their father’s love of music and the piano. The David Hughes Piano/Keyboard Award benefited its first recipients, the Woolwich Music Club and young player Lucy Munro, in November 2021. ## Over this period the charity also: - Recruited new Trustees bringing new skills to the Board, particularly in the areas of education and fundraising - Recruited new Ambassadors to broaden and diversify the range of music making and communities we engage with and support - Commenced the recruitment of a General Manager to oversee the charity’s operations - Held Learn to Play ’21 with a new look and approach. Over 35 venues signed up to take part and despite the challenges of both the Covid restrictions and an on the day petrol crisis, the event took place and was well received by venues and participants. - Launched a new YouTube online tutorial series of videos to accompany Learn to Play, increasing our YouTube subscriptions from 2 to nearly 200 over the year and further promoting the work of the charity. - Continued to support Make Music Day UK, a nationwide celebration of music making - Produced a second Annual Report with a full breakdown of award volume and value - Began a partnership with Black Lives in Music to ensure the charity remains inclusive and can support diverse communities ## **Financial review** ## **Principal funding sources** During the year our donations increased considerably due to a substantial legacy. We are very grateful to the donor and their family for this donation and appreciate the support this will provide to the work of the charity over the coming years. We continued to receive the generous support of NAMM, the US musical instrument trade association, and this support allows us to continue to hold our yearly flagship event - Learn to Play. Learn to Play '22 will take place on 8 & 9 October 2022 and we are already seeing a large increase in registrations for venues wanting to take part. We were also very pleased to accept several additional awards from foundations and trusts alongside a steady stream of donations from individuals, in memory events, online giving websites, online purchases, fundraising events and of course from our members. Page 3 **MUSIC FOR ALL** ## **REPORT OF THE TRUSTEES FOR THE YEAR ENDED 31ST MARCH 2022** ## **Financial review** ## **Reserves policy** The reserves of the charity can vary greatly during the course of a year, depending on the timing of donations received. Funds not needed for the day-to-day running of the charity are invested in interest bearing accounts, and arrangements are currently being put in place to invest in longer term accounts in order to maximise interest receivable. When large donations are received, it is the normal policy to spread the distribution of such funds over two or more years in order to benefit as many recipients as possible. ## **Future plans** Despite all the continued challenges presented by the Covid pandemic, Music for All continues to create strong foundations for growth as an independent charity. A new business plan has identified several strategic objectives for charity including: - Securing a higher level of income through donations and contributions, including from areas of fundraising currently underexploited - Establishing a sustainable staff resource that includes focused support for fundraising activities, whilst keeping administrative costs as low as possible as a proportion of income - Creating a strong, consistent, diverse and sustainable instrument supply by developing our existing and new manufacturer relationships - Engaging a wider audience through campaigns that promote the benefits of music to health and well-being - Measuring our impact more effectively to ensure the maximum benefit for award recipients and amplify a clearer message to funders when pitching for support - Broaden and deepen expertise on the board, including in the areas of music education and fundraising, whilst also diversifying the perspective of the board ## **Structure, governance and management** ## **Governing document** The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006. ## **Trustee directors' recruitment and appointment** The directors of Music for All are also charity trustees for the purpose of charity law. The directors may from time to time co-opt a director, either to fill a vacancy or as an additional director, until they are formally appointed, or otherwise, at a general meeting. In addition, the directors shall retire by rotation at each AGM. They shall, if willing to act, be deemed to be reappointed unless at the meeting it is resolved not to fill their vacancy, or unless a resolution for the reappointment of the director is put to the meeting and lost. In addition to the one full-time employee, the charity is recruiting a part-time General Manager who will be responsible for the charity's day-to-day operations and will manage the Charity Administrator and part-time Donations and Fundraising / Learn to Play Project Coordinator. The charity also greatly benefits from the work of an unpaid volunteer who assists in our approach to Trusts & Foundations. This developing staff structure alongside the development of policies and procedures, represents the sure footing the charity needs to operate successfully and enables the Trustees to focus on governance responsibilities and strategic objectives. Additional staff resources may be required as the charity grows and expands its operations due to the new skills and capabilities brought by new staff and Trustees. ## **Governance** - The charity is registered for Gift Aid. - The charity is registered with the Fundraising Regulator. - VAT registration has been considered but not deemed appropriate at the current time (advice from our accountants). - The Trustees recently reviewed the Articles of Association regarding any required amendments. No changes were deemed to be required at this point in time. - Liability insurance remains at £10m. - A safeguarding policy has been written. - The Trustees have returned to quarterly board meetings, with an annual away day and AGM, and are creating a number of sub-committees to scrutinise key aspects of the charity including income, awards, finance and risk - The Trustees have undertaken a comprehensive Risk Assessment from which it will maintain and update a Risk Register for the charity This report has been prepared in accordance with the special provisions of Part 15 of the Companies Act 2006 relating to small companies. ## 21/11/2022 Approved by order of the board of trustees on ............................................. and signed on its behalf by: ................................................................. A P Followell - Trustee Page 5 **INDEPENDENT EXAMINER'S REPORT TO THE TRUSTEES OF MUSIC FOR ALL** ## **Independent examiner's report to the trustees of Music For All ('the Company')** I report to the charity trustees on my examination of the accounts of the Company for the year ended 31st March 2022. ## **Responsibilities and basis of report** As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act. I can confirm that I am qualified to undertake the examination because I am a registered member of FCA which is one of the listed bodies. I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 1. accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or 2. the accounts do not accord with those records; or 3. the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or 4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)). STATUTORY INFORMATION** Music for All is a registered charity and company limited by guarantee, both registered in England and Wales. The charity and company registration numbers, along with the registered office address, can be found within the reference and administrative details on page 1. The presentation currency of the financial statements is the Pound Sterling (£). ## **2. ACCOUNTING POLICIES** ## **Basis of preparing the financial statements** The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. The financial statements have been prepared on a going concern basis and the trustees note no material uncertainties in relation to the charitable company being a going concern. ## **Income** All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. ## **Expenditure** Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. Grants offered subject to conditions which have not been met at the year end date are noted as a commitment but not accrued as expenditure. ## **Inventories** In accordance with FRS102 new donated instruments in stock are valued at retail selling price, and pre-owned donated instruments are valued at £nil. ## **Taxation** The charity is exempt from corporation tax on its charitable activities. ## **Fund accounting** Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.
