The trustees, who are also the directors of the charity for the purposes of the Companies Act, submit their annual report and the financial statements of the charity for the year ended 31 March 2021.

Statement of trustees’ responsibilities

Company and charity law requires the trustees to prepare accounts for each financial year or period that give a true and fair view of the state of the affairs of the company and of the surplus or deficit for that year. In preparing those accounts the trustees are required to:

The trustees are responsible for keeping proper accounting records which disclose, with reasonable accuracy at any time, the financial position of the company and enable them to ensure that the accounts comply with the Companies Act 2006. They are responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

Objectives, principal activity & organization structure

Grimsby, Cleethorpes & District Dial-A-Ride is a company limited by guarantee number 3168259, incorporated on 6 March 1996, and registered with the Charity Commission on 23 April 1996, charity number 1054823.

The charity’s objective, stated in its Memorandum and Articles of Association, is to provide flexible, accessible transport for people who find it difficult to use public transport due to illness, disability or age.

Trustees/Directors

Trustees of the charity are also directors of the company and are appointed at the Annual General Meeting (AGM) with casual vacancies during the year filled by co-option. The names of the present trustees are listed on page 2, which also shows all others who served as trustees/directors during the year being reported. The trustees meet at monthly intervals. The company is limited by guarantee, rather than share capital, so no trustees hold any shares in it. Take up of training courses specifically aimed at trustees is encouraged. Locally such courses are run by Voluntary Action North East Lincolnshire, to which Dial-A-Ride is affiliated.

Review of the year

This year, turned out to be a bittersweet time for Dial-A-Ride (DAR) as the Covid-19 pandemic refused to relax its grip.

April saw us still in a lockdown situation that had commenced in March of 2020. As we had already put systems in place, we decided to carry on implementing them. The biggest difference this time was the slight relaxing of the severity when we went into the second lockdown which meant more of our members were requiring our service. This proved to be quite a challenge as some of our volunteer drivers, for various reasons, decided not to come back and re-join us. This in itself offered up a challenge as it meant we could not operate all of our buses, so we took the brave decision to off-load our oldest buses, which were deemed uneconomical to run and maintain. Currently we now have 9 buses, down from 16, with a complement of 11 drivers.

Office staff wages were boosted by the government furlough scheme and enabled us to keep our staff on the books and also continue to keep them safe. However we were dealt another blow in April when the local council chose to stop our monthly subsidy and only support us for the actual passengers that we carry.

Thanks once again to our dedicated office staff who, when some of the restrictions were lifted mid-year, started selling items through various car boot sales and online market sites

As far as the Board of Trustees is concerned, one of our biggest challenges has been overcoming the difficulties of arranging meetings. Thanks must go to our Office Co-ordinator who managed to keep us all in touch with one another through various means such as group phone calls, video zoom meetings and old-fashioned paper.

We are far from being out of the woods at the moment but feel more hopeful now than at this time last year. The Chair of Trustees offers his personal thanks to all the office staff, volunteer drivers and his fellow trustees for helping to get DAR through a very tough year.

Reserves Policy

The trustees do not consider it necessary or appropriate to set a formal reserves policy at the present time. Dial-A-Ride’s closing unrestricted reserves of nearly £65K, excluding tangible fixed assets, grew by more than 57% over the previous year end. Assuming that activities return to their pre-pandemic level, cash flow should continue to be adequate to meet both the charity’s normal running costs and finance lease obligations.

This report has been prepared in accordance with the special provisions relating to small companies within the Companies Act 2006.

Independent Examiner’s Report

Report to the trustees/directors of Grimsby, Cleethorpes & District Dial-ARide (company number 3168259 & registered charity number 1054823) on accounts for the year ended 31 March 2021 as set out on pages 1 to 11.

I report to the trustees on my examination of the accounts of the above charity (‘the Trust’) for the year ended 31 March 2021

Responsibilities and basis of report

As the charity trustees, you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (‘the Act’).

I report in respect of my examination of the Trust’s accounts carried out under section 145 of the Act and, in carrying out my examination, I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.

Independent examiner’s statement

As for the previous year, the charity failed to hold an Annual General Meeting. Neither the 2018/19 nor 2019/20 accounts have therefore been received by an AGM. Coronavirus restrictions and precautions meant that regular committee meetings were absent for most of the year. The charity’s constitution did not envisage or cater for virtual/online meetings.

Beyond the above observations, I confirm that no material matters have come to my attention in connection with the examination which give me cause to believe that, in any material respect:

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in order to enable a proper understanding of the accounts to be reached.
