proogd with acqulrlng the assets and Ilabllilies of YMCA North London as such a merger was
deemed to b& sn the best Interests ofthe chariti85 obleGls. This b8eame elf8cllve on 9 October
2020. YMCA London City and North's futuie remains shaped by our cote values of Clty YMC
London.
The governing document of Clty YMCA, London remains and the organlsallon is governgd In
accordance wllh Its Memorandum and the Arti¢les of Assoclallon. The Artlcles of Assoclalion
wefe changed via a Special Resolutlon dalgd 4 M2y 2020 and as furth8r amended by a Special
Resolulion dated 22 September 202Q. Thoy weie changed Ic) allow for the expanslon of the
organisation's activities and governance In conneGlion wllh the merg8r in 2020 with YMGA
North London.

YMCAS. The Trustees bellev6 based on Independent advlc8 that this position is correct. HMRC
are argulng a different Irealmenl whlch the chaTity dlspules, and which would negatlvely affeGt
the charity's lulure results and ca8hflow8. However, the Trustees are satisfied the Impact ol Ihls
could be miligal&d 8fleclivety albell Ihoy oonsider thls unllkely lo bg necessary. This matter
went to a First Tier Trlbunal Hearing on 29 Maroh 2021 and the outcom8 Is slill awaltsd al the
approv81 of the FSnanclal Statement.

ReseNes Pollcy
The Trustees are aiming for unresliicled reserves representing between three and six months,
unreslricled expenditure. This would provide sullicienl funds for the maintenance ollhe current
a¢livilies in the event ola significant drop in funding and also provide time lo allow consideration
of change8 in activities or new sources ol funding.
During the current m8jor redevelopment this buffer is not practical bul will be reinstated on
LandAid House becomes operational, with a plan lo bulld up reserves post completion over f1ve
years.
Restricted reservès represent funds raised for the purpose of the redevelopment of Land￿d
House.
