The Trustees are pleased to present the annual report and financial statements for the year ended 31 August 2025.

## **Principal activity of the charity** 

The charity’s main objective is to enable musicians to perform, record and promote music and to promote musical education generally. 

## **Result for the year** 

The result for the year is shown in the attached accounts. 

## **Review of the year** 

The season commenced in September 2024, the orchestra gave four concerts at the orchestra’s regular venue, St. John’s Waterloo. The first concert on 19[th] October included Bartók’s Concerto for Orchestra and Shostakovich’s Second Piano Concerto. The second concert. 14[th] December 2024, included Mahler’s Fifth Symphony. On 1[st] March 2025 the orchestra marked the fiftieth anniversary of Arthur performing his _Colour Symphony_ with Bernstein’s Suite _On the Waterfront_ . The final concert, 3[rd] May included Bruckner’s Symphony no. 9. The orchestras was engaged by the Islington Choral Society for two performances, 23[rd] November 2024 for Haydn’s _The Creation_ and 6[th] April 2025 for Elgar’s _The Kingdom_ . As usual, the Orchestra ended the season with a performance of light music at Langston’s Lakeside, Havering on 8[th] June 2024.

## **Directors’ responsibilities** 

The Directors consider that the company is a small company under the provisions of Section 477 of the Companies Act 2006 and is therefore exempt from the statutory requirement to have an audit. The members of the company have not required the company, under Section 476 of the Companies Act to obtain an audit for the year ended 31 March 2025. 

The Directors acknowledge their responsibilities for ensuring that the charity keeps accounting records which comply with Sections 386 and 387 of the Companies Act 2006, and for preparing accounts which give a true and fair view of the state of affairs of the company as at 31 August 2025 and of its deficit for the year ended, in accordance with Section 396, and which otherwise comply with the requirements of the Act relating to the accounts, so far as they are applicable to the company. 

The Financial Statements have been prepared in accordance with the special provisions of the small companies regime within Part 15 of the Companies Act 2006 and were approved by the board on 30[th] April 2025

## **1) Accounting Policies** 

The accounts are prepared under the historical cost convention and in accordance - with the Financial Reporting Standard for Smaller Entities. They include the results of all activities described in the director’s report. The company has taken advantage of the exemption in Financial Reporting Standard No 1 from producing a cash flow statement on the grounds that it is a small company.

Income and expenditure are accounted for on an accruals basis so that any income received or expense incurred in advance is deferred until the relevant period. 

The Directors have not adopted the Income & Expenditure format prescribed by the Companies Act. The more detailed format adopted has been chosen by the Directors because it provides a fuller description of the company’s activities. 

## **2) Directors and Employees** 

No payments are made to any Director of the company and the company has no employees. 

## **3) Taxation** 

There is no charge to corporate taxation as the company is a registered charity and is not subject to Corporation Tax. 

Tax refunds on Gift Aid and Orchestra Tax Relief are accounted for in the period in which they are received. 

## **4) Pension costs** 

The company has no employees and there are therefore no remuneration or pension costs. 

## **5) Share capital** 

The company is limited by guarantee to the sum of £1 per member. There is no share capital and the company is controlled by the members and the appointed directors.
