Structure, governance and management
The charity is a company limited by guarantee and is governed by a memorandum and articles of association dated 5 February 1996 amended by special resolutions dated 24 July 1997, 24 October 1998, 25 November 1999 and 3 December 2013. Also amended certificate incorporation on change of name dated 14 Sep 2003 and 14 Nov 2018. The liability of the members in the event of the company being wound up is limited to a sum not exceeding £1.
Method of recruitment and appointment of trustees
The trustees of the charity are also the directors for the purposes of company law and are are appointed by the members at the AGM.

The Charity’s Object
BHI works towards inequality in education, health and social care to:Advance the education of people from marginalised and disadvantaged minority ethnic groups Advanced and promote the healthy lifestyle choices and behavioural changes amongst marginalised, disadvantaged minority communities.
Support individuals who have been affected by health issues that disproportionately affect people from marginalised, disadvantaged, miniority communities and their families through the provision of advice, counselling and other support services.
Objectives and activities
The charity's main activities
BHI is a community Engagement Organisation which works to supply equality of access to health and social care provisions within Leeds, the Yorkshire Region and nationally for disadvantaged and marginalised and marginalised communities.
BHI runs projects under the umbrella of Health and Wellbeing:
Teenage Health and Wellbeing – is a project that aims to keep young people up to date with information about their health. We engage and motivate our service users regarding education and work with them to develop healthy lifestyle choices. These programmes are broken down into four main areas which are social, emotional, educational and physical health.
Men’s Health and Wellbeing project
provides physiological, psychological and practical support to predominantly African, Caribbean and Dual-Heritage men who suffer from the effects of social, cultural or African envoirnment factors that have a specific impact on men’s emotional and physical well-being.
Women’s Health and Well-being encourages women to communicate with each other about health issues that affect them, support the development of health focussed activities with the aim to raise self esteem, encourage participation in making informed decisions about their health treatments and improve women's health and well being citywide.
Counselling and Mental Health Wellbeing which works with UKCP and BACP counsellor/psychotherapy specialists trained specifically to work with the African, African Caribbean and Dual Heritage client group. We strongly believe that early intervention addresses the psychological and emotional difficulties peoples are experiencing and may reduce the risk of later mental health issues/crises occurring.

Public benefit statement
In setting our objectives and planning our activities our trustees have given serious consideration to the Charity Commission’s general guidance on public benefit and in particular equality in Education Health and Social Care. We aim to do this by working in activity and productive partnership with statutory bodies, large charities and the private sector.
Achievements and performance
Continued to support service users across all key areas with a focus on mental health and further developed the community kitchen.
Successfully delivered the Black Music Festival August 2022.
Received the Queen's Award for Voluntary Service from the Lord Lieutanent at the Annual General Meeting in February 2023.
Financial review
The net expenditrue for the year was £29,248, including net Income of £68,220 on unrestricted funds and net expenditure of £38,972 on restricted funds after transfers.
Reserves policy
The charity's free reserves, excluding fixed assets, at the year end were £38,679 Black Health Initiative aims to keep reserves of up to 3 months equivalent trading. This has been lowered to reflect the monthly outgoings which have decreased since the last financial year. The reserve policy remains the same.

These accounts have been prepared in accordance with the micro-entity provisions and have been delivered in accordance with the provision applicable to companies subject to the small companies regime. For the financial year in question the company was entitled to exemption under section 477 of the Companies Act 2006 relating to small companies. No members have required the company to obtain an audit of its accounts for the year question in accordance with section 476 of the Companies Act 2006.
The directors acknowledge their responsibility for complying with the requirements of the Act with respect to accounting records and for the preparation of accounts.

1 - Accounting Policies
Basis of accounting
The accounts have been prepared under the historical cost convention with items recognised at cost or transaction value unless otherwise stated in the revevant note(s) to these accounts. The financial statements prepared in accordance with the Statement of Recommended Practice:
Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015) and with the Charities Act 2022.
The charity constitutes a public benefit entity as defined by FRS 102.
Reconciliation with previous Generally Accepted Practice in preparing the accounts.
The trustees have considered whether in applying the accounting policies required by FRS 102 and the restatement of comparative items was required. They have determined that no such restatement is required. As a consequence, there has been no change to the accounting policies since last year. No change have been made to the accounts for previous years.
Incoming resources
All incoming resources ae included in the Statement of Financial Activities (SOFA) when the charity becomes entitled to the resource, the trustees virtually certain they will receive the resources and the monetary value can be measured with sufficient reliability.
Grants & donations
Grants and donations are only included in the SOFA when the charity has unconditional entitlement to the resources.
Where grants are related to performance and specific deliverable, they are accounted for as the charity earns the right to consideration by its performance.
Expenditures and liabilities
Expenditures are recognised on an accrual basis as a liability incurred. Liabilities are recognised as soon as there is a legal or constructive obligation committing the charity to pay out the resources.
Taxation
As a charity the organisation benefits from rates relief and generally exempt from income tax and capital gain tax but not from VAT. Irrecoverable VAT is included in the cost of those items to which it relates.
Tangible fixed assets
Tangible fixed assets costing more than £1,700 are capitalised and included at cost including any incidental expenses of acquisition. Gifted assets are shown at the value to the charity on receipt. Depreciation is provided on all tangible fixed assets at rates calculated to write off the cost on a straight line basis over their expected useful lives.
Pensions
The charity operates a defined contribution scheme for the benefits of its employees. The costs of contributions are recognised in the year they are payable.
Fund accounting
Unrestricted funds are available for use at the discretion of the trustees in furtherance of the general objectives of the charity.
Restricted funds are subjected to restrictions on their expenditure imposed by the donor or through the terms of an appeal.

Independent examiners report to the trustee of Black Health Initiative
I report to the charity trustees on my examination of the accounts of the charitable company for the year ended 31 March 2023, which are set out in the attached report
Responsibilities and basis of report
As the charity's trustees of the charitable company (and also the directors for the purpose of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act')
Having satisfied myself that the accounts of the charitable company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination. I report in respect of my examination of your charity's accounts as carried out under section 145 of the Charities Act ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commissionunder section 145(5)(b) of the 2011 Act.
Independent examiner's statement
I have completed my examination. I confirm that no material matters of concern have come to my attention in connection with the examination giving me cause to believe that in any material respect:

accounting records were not kept in respect of the company as required by section 386 of the 2006 Act; or
-
the accounts do not accord with those records; or
-
the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a 'true and fair view' which is not a matter considered as part of an independent examination; or
-
the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities [applicable to charities preparing their accounts in accordance with th Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)].
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.
