Agenda
The Scout Group holds an AGM every year, to report the activities of the past year and plans for the future. We also formally report the finances and membership of the Group and reports are presented by each Section. You are very welcome and are encouraged to come to hear how the group is being managed. We also welcome questions if you wish, and to raise subjects of interest to you. You may wish to help group activities or be on the Committee of volunteers, in which case we would be happy to discuss this too. There will also be BBQ at Jacks Shelter and decking behind the Centre.

We have a current Constitution (adopted in 2000) which has now been updated to bring it into line with the current Scout Association model constitution whilst retaining the essential contents of the previous adopted one.

| Ken presented his Financial Report (previously circulated). Financial Report for the year ended 31st March 2021: RECEIPTS During unprecedented circumstances membership numbers reduced from 88 to 78, with the Group’s make-up closing at 24 Beavers, 17 Cubs and 37 Scouts This, and Lockdown restrictions prompting the Executive Committee to suspend Subscriptions for much of the year, has seen core revenue tumble from £ 9,386 to just £ 1,339 Offsetting this in part has been the increase in rental income, £ 3,325 up from £ 2,080, where careful adaptation of our premises has been welcomed in particular by WECAN and Cygnet Healthcare Most significant, however, has been the support from Government where Northumberland County Council granted the Group £ 23,303 in total (2020: Nil) £ 1,000 of this related to Sports Equipment and another £ 1,000 was paid via the Community Chest, however the bulk was received in tranches in response to invited applications for help under Covid 19 ‘Business Interruption’ and ‘Local Restrictions Support’. As detailed below, some of the funds have been spent wisely and a sizeable proportion retained in our Savings a/c Donations have increased from last year’s £ 1,679 to £ 2,556 where we are especially grateful to Links Housing, Hexham Rotary and the Henry Bell Trust, together with sundry others. Tynedale Lions and Round Table regretted being unable to contribute but this was due to cancellation of their own event programmes During the second half of the year we signed up to the Northumberland Lottery, raising £ 286 with annual potential for up to £ 832 from current Supporters Finally, linked to 2019/20 Subscriptions, HMRC Gift Aid generated £ 1,644 (the claim for 2020/21 will be heavily impaired by the commensurate reduction in income) PAYMENTS Membership Fees at £ 3,646 have benefitted from District waiving their share because of Covid |

HQ-related expenses have increased from £ 4,403 to £ 6,317 with opportunity
taken during Lockdown to improve and upgrade lighting and alarm systems
Minibus insurance fell from £ 835 to £ 370, Fire & Theft only because the vehicle
has been laid up (we also received £ 110 by way of Road Tax refund), whilst nothing
has been needed under maintenance
Group Expenses (Badges etc. and Camping & Activities) significantly reduced at £
629, down from £ 3,746 again because of circumstances
Under Capital Projects, work has started to construct additional Decking platforms
adjacent to Jack’s Shelter, whilst catering facilities (pizza and tandoor ovens) have
been installed alongside – to date £ 5,574 has been spent (£ 1,000 via NCC
Community Chest fund) with c. £ 3,100 due upon completion
Finally new archery equipment has been purchased, almost fully funded by above
Sports Equipment grant
STATEMENT OF CASH FUNDS HELD
Our Savings Account comprises contingency funds covering Property Maintenance
£ 1,002, Minibus £ 5,796 and Capital Projects – Decking £ 544, with £ 14,659
retained separately under NCC Grants
All of this together with the Current a/c’s £ 765, means Year End Cash stands at a
healthy £ 22,767
The circulated and posted accounts for FY end 31-3-20 were duly approved

4. GSL Report Stuart Ford ASL (Provisional GSL awaiting District confirmation)
2020/21 had been a challenging year due to the effects and dsisruption and
restrictions as a result of Covid.
However, Sections had risen to the challenge and virtual and some outdoor
meetings had been possible, with some indoor meetings now possible.
Lee Chambers was welcomes as new ASL.
Dave Hawkins had stepped down (but had offered to continue on the
Committee)- thanks were expressed for his long and dedicated service to
Hexham Scouts.
Malcolm Coulthard had stepped down and Matt Shaw and Christophe Atkins
had taken his place; Wayne Allen, Niels Van Der Brant and Any Turner
continued their involvement.
Adam Murphy (GSL) had stepped down in April and thanks was expressed
for his input, and thanks also to helpers and for Committee support. All Noted
5. Scouts: Stuart Ford (ASL)

Virtual meetings had continued over most of the past year with 21 taking
p[art in camp at Home. The work day had also been very successful, as well

The Chief Scouts Award had been made to Elliott Ford.
Stuart thanked all who had helped and participated over the last year.
6. Cubs: Christoph Atkins
Cubs had shutdown during lockdown.
At home activities has re-started with participation with Virgin Galactic and All Noted
Astronomer badge activities.
7. Beavers: Wayne Allen.
Zoom meetings had continued successfully with badges being completed
with home activities (including Virgin galactic).
A parent helper had become a potential leader; if this progresses there will Being
actioned
potentially be 4 leaders which is excellent.
8. Elections
It was proposed that the existing Committee would be re-elected en-bloc, and
all had confirmed that they were willing to stand.

We have also received some substantial grants for Capital Projects, thanks to the efforts of Stuart Ford, including £8,526.00 to go towards new Solar Panels as well as securing funding for the kitchen to be re-developed which we should see in the next FY. Donations have increased from last year’s £ 2,556 to £ 3,010. We are especially grateful to Stephen Irish and the Henry Bell Trust, together with sundry others. During the second half of the year we signed up to the Northumberland Lottery, raising £ 693.50, up from last year’s £286. As predicted, the HMRC Gift Aid generated was heavily impaired in 2020/21 with a reduced income of £237.62, down from 2019/20 income of £ 1,644. PAYMENTS Capitation fees for Hadrian District were £ 4,623. HQ-related expenses have reduced slightly from £ 6,317 to £ 5,361.87 including new signage, servicing of the fire extinguishers and the fitting of alarm panels. Minibus insurance increased slightly on the FY19/20 from £ 835 to £ 873.59. Maintenance, including the MOT, Road Tax, Insurance and a diagnostic check on the battery came to £ 533.42. Acting Chairmans Address and GSL Report. Stuart Ford. May 2022
Since May of last year we have slowly been returning to normality as a group and are seeing our sections get back to the adventurous activities we like to offer. We have new members young, and not so young, but all are very welcome. We still have a very large waiting list of nearly 100 young people and are keen to hear from anyone who would be interested in helping open a new Beaver Section or Cub Section to allow more young people get the adventure they deserve.
We have recently seen an Explorer Scout Unit open operating out of the Lookwide Centre in partnership with the Scout Group. Lookwide Explorers, as it is known, is the next step in the journey for young people to move to after Scouts. We hope this unit thrives.
A huge thank you to all the Section Leadership teams who volunteer their free time to provide fun and adventure to all our youth members, they are a truly inspirational group of people who we are very lucky to have.
As is usual with 1[st] Hexham the group has not stood still over the last year and our committee has managed to get funding for a new kitchen, serving hatch and fire shutter to improve useability of the Lookwide Centre for the group and hirers, they have also secured funding to install Solar panels and a 5kw battery to reduce our costs. On top of this they secured £1000 from the High Sherriff of Northumberland to go towards our planned campfire circle area. The kitchen and solar panels will all be done before the Summer holidays, and then we will concentrate on the campfire area. Following that we have other plans, but that’s for next years AGM.
I would like to thank Tim Elliott for 25 years service to the group, Tim is standing down as Secretary and the group is very grateful to Tim for all his years on the committee and especially his role as part of the sub-committee responsible for providing this fantastic building.
As 2022 marks 20 years since the Lookwide Centre opened we had hoped to get the committee back together, unfortunately it hasn’t been possible, but on behalf of all the members who have had the privilege to use the building and its facilities over the last 20 years I’d like to pass our gratitude onto Tim, Dave Newman, David Hefferin, Robin McCauslin, Graham Shore, and George Gray as well as the architect Tony Nicholson. We look forward to the next 20 years.
Thanks also to our Treasurer, Emma and committee members Chris Payne, Dave Newman, David Hefferin (Heff), and Dave Hawkins for their efforts, dedication and hard work over the last 12 months. The group would not be in the position it is without them.
Scouts: Stuart Ford (ASL) May 2022
As we currently have no Scout Leader, I’ll quickly give an update on the Scout Section.
The Scout section has really started to get the programme back on track after Covid including activities and camps outside of the weekly programme. We had a very successful joint paintballing adventure with Corbridge, Stocksfield, and Haydon Bridge. Heff organised an inter troop shooting competition, and we have the District Back to Basics camp to look forward to in June and, fingers crossed, our trip to Austria. We had our first camp at the end of April attended by 28 Scouts who, apart from getting up at 5am on the Saturday, were all amazing and did fantastically well.
Our 2024 adventure abroad is already in the early stages of planning
Cubs: May 2022
No specific report but all going well.
Beavers: Wayne Allen. May 2022
The Beaver colony is doing very well and we have had a great year. At present our colony is running at 20 Beavers with more potentially joining over the next few weeks, as some of our current Beavers move on into Cubs. The waiting list is still quite large; however, we have a couple of people who volunteer regularly, and we are looking to see if we can formalise this so that we can increase numbers. Over the last twelve months, some of our activities have included focusing on enabling the Beavers to achieve badges such as their Cook badge by cooking on open fires at Dilston and using the fire pits at the Scout Centre. They have also been able to work towards their Adventure badge by attending the District Fun Day at Dukeshouse, where they were able to try some new activities and test their height skills!!
We have tried to put together a programme which, weather permitting, enables us to be outside as much as possible. Other activities that we have completed recently have included a hike through Dukeshouse woods; building rafts at Dilston; building shelters at the Lookwide Cairn; a Water Safety night at Tyne Green and a games night at the Sele Park. We have also arranged some indoor activities and these have included indoor archery, lego building competitions and completing an indoor obstacle course at the Scout Centre.
The parent helper situation is good. We have several parents who are happy to help us out when they can and to ask us if we would like any help before they leave, after dropping off their Beavers. This is something which is always very much appreciated. As mentioned, the colony is doing well
and all of the Beavers who come along are very keen to get involved in the activities that we arrange and are enjoying the opportunities that are offered to them.

Jill Scott remarked that at Dilston, District had been required by TSA and the Charity Commission to have a separate Constitution for the site and a separate Committee, and suggested that this might be the case for Hexham 1st/Lookwide- it was agreed that the proposed updated Constitution would be approved by the AGM and this issue would be looked-into, in due course by the new Committee in time to report at the next AGM. |
The updated May 2022 Constitution was approved unanimously and was signed by Stuart Ford (acting Chair) and Tim Elliott (Secretary).

CONSTITUTION OF THE 1ST HEXHAM SCOUT GROUP

NAME:
The name of the Group shall be the 1st Hexham Scout Group. The Group is a registered charity. Registration number: 1050271
AIMS & OBJECTIVES:

a. In accordance with the aims of the Scout Association to promote the development of young people in achieving their full physical, intellectual, social and spiritual potential, as individuals, as responsible citizens and as members of their local, national and international communities. The method of achieving this aim is by providing an enjoyable and attractive scheme of progressive training, based on the scout promise and law and guided by adult leadership.

b. The Lookwide Centre will be made available for use by the local community for other activities at the discretion of the Group Scout Council and Executive Committee.

c. To accommodate members of the community, giving equal opportunities to all, regardless of age, gender, ability or race in the pursuit of their leisure activities.

d. To encourage all user groups to take a full and active role in the running and management of the Lookwide Centre and to make it possible for all such groups to have representation on the Executive Committee.

The management of the Scout Group shall be controlled and overseen by the Group Scout Council and Executive Committee and these are described below.
a) The Group Scout Council
The Group Scout Council is the electoral body, which supports Scouting in the Scout Group. It is the body to which the Group Executive Committee is accountable.
i. Membership of the Group Scout Council is open to: Ex Officio Members
-
All adult members and associate members of the Scout Group.
-
Scout Patrol Leaders;
-
all parents of Squirrel Scouts, Beaver Scouts, Cub Scouts, and Scouts;
-
all parents of Explorer Scouts and Explorer Scout Patrol Leaders where there is an attached
-
section and suitable agreement;
-
District Commissioner
-
District Chair
Nominated members
-
Other supporters of the Group appointed by the Group Scout Council on the recommendation of the Group Scout Leader and the Group Executive Committee.
-
Representatives of user groups from the community on the recommendation of the Group Scout Leader and the Group Executive Committee.
-
The number of Nominated Members must not exceed the number of Ex Officio members.
-
Nominated members must be appointed for a fixed period not exceeding 3 years. Subsequent reappointments are permitted.
-
ii. The District Commissioner and District Chair are ex-officio members of the group Scout Council.
iii. Membership of the Group Scout Council ceases upon:
-
the resignation of the member;
-
the dissolution of the Council;
-
the termination of membership by Headquarters following a recommendation by the Group Executive Committee.
iv. The Group Scout Council must hold an Annual General Meeting within six Months of the financial year end to:
-
receive and consider the Trustees’ Annual Report and the annual statement of accounts (following completion of their examination by an appropriate auditor, independent examiner, or scrutineer); prepared by the Group Executive Committee,
-
approve the Group Scout Leader's nomination of the Group Chair and nominated members of the Group Executive Committee;
-
elect a Group Secretary and Group Treasurer;
-
elect members to the Group Executive Committee;
-
appoint an auditor, independent examiner or scrutineer as required;
-
adopt (or reconfirm) certain resolutions:
-
agree the quorum for each of meetings of the Group Scout Council, meetings of the Group Executive Committee and meetings of any sub-Committees
-
agree the number of members that may be elected to the Group Executive Committee
-
adopt (or re-confirm the adoption of) the constitution of the Group Scout Council
-
appoint (or re-appoint) any Group Presidents or Vice Presidents
b) The Group Executive Committee
The purposes and responsibilities and structure of the group Executive Committee are as follows:
i. The Executive Committee exists to support the Group Scout Leader in meeting
the responsibilities of their appointment.
ii. Members of the Group Executive Committee must act collectively as charity Trustees of the Scout Group , and in the best interests of its members to:

Comply with the Policy, Organisation and Rules of The Scout Association
-
Protect and maintain any property (including the Lookwide Centre) and equipment owned by and/or used by the Group.
-
Manage the Group finances.
-
Provide insurance for people, and property and equipment owned by and/or used by the Group.
-
Provide sufficient resources for Scouting to operate. This includes, but is not limited to, supporting recruitment, other adult support, and fundraising activities.
-
Promote and support the development of Scouting in the local area.
-
Manage and implement the Health & Safety Policy locally.
-
Ensure that a positive image of Scouting exists in the local community.
-
Appoint and manage the operation of any sub-Committees, which may include a users/community sub-committee including appointing a Chair to lead the subCommittees.
-
Ensure that Young People are meaningfully involved in decision making at all levels within the Group.
-
The opening, closure and amalgamation of Sections in the Group as necessary.
-
The Group Executive Committee must also:
-
Appoint Administrators, Advisers, and Co-opted members of the Group Executive Committee.
-
Prepare and approve the Trustees' Annual Report and Annual Accounts after the examination of the accounts by an appropriate auditor, independent examiner or scrutineer.
-
Present the approved Trustees' Annual Report and Annual Accounts to the Group Scout Council at the Annual General Meeting; file a copy with the District Executive Committee; and if a registered charity, to the appropriate charity regulator if the regulator’s rules require it.
-
Maintain confidentiality with regard to appropriate Executive Committee business.
-
Where staff are employed, act as a responsible employer in accordance with Scouting’s values and relevant legislation.
-
Ensure line management responsibilities for employed staff are clearly established and communicated.
iii. The Group Executive Committee consists of: Ex-officio Members
-
The Group Chair;
-
The Group Secretary;
-
The Group Treasurer;
-
The Group Scout Leader;
-
The Deputy Group Scout Leader;
-
The Explorer Scout Leader (if stated in a Partnership Agreement, and subject to that Explorer Scout Leader expressly indicating to the AGM (in writing or orally at the meeting) that they are willing to perform such a function);
-
The Sponsoring Authority or its nominee;
-
All Section Leaders (i.e. individuals holding a Squirrel Scout leader, Beaver Scout Leader, Cub Scout Leader or Scout Leader role) subject to that Section Leader expressly indicating to the AGM (in writing or orally at the meeting) that they are willing to perform such a function.
Elected Members
-
persons elected at the Group Annual General Meeting;
-
these should normally be four to six in number;
-
the actual number must be the subject of a resolution by the Group Scout Council.
Nominated Members
-
persons nominated by the Group Scout Leader;
-
the nominations must be approved at the Group Annual General Meeting; the number of nominated members must not exceed the number of elected members.
Co-opted Members
-
persons co-opted annually by the Group Executive Committee
-
this may include representatives from user group/the community; each shall be allocated one member each. If the member represents more than one group they shall represent all such groups with one vote only.
-
the number of co-opted members must not exceed the number of elected members.
Right of Attendance
- the District Commissioner and the District Chair have the right of attendance at meetings of the Group Executive Committee.
iv. Additional Requirements for sub-Committees:
-
sub-Committees consist of members nominated by the Committee.
-
The Group Scout Leader and the Group Chair will be ex-officio members of any subCommittee of the Group Executive Committee.
-
Any fundraising committee must include at least two members of the Group Executive Committee. No Section Leader or Assistant Leader may serve on such a fundraising subCommittee.
v. Additional Requirements for Charity Trustees:
-
All ex-officio, elected, nominated and co-opted members of the Group Executive Committee are Charity Trustees of the Scout Group.
-
All trustees and assets of the Scout Group shall be vested in the Scout Association Trust Corporation as the trustees appointed by the Executive Committee following the completion of the Lookwide Centre.
-
Only persons aged 18 and over may be full voting members of the Group Executive Committee because of their status as Charity Trustees (however the views of young people in the Group must be taken into consideration).
-
Certain people are disqualified from being Charity Trustees by virtue of the Charities Acts.
-
Charity Trustees are responsible for ensuring compliance with all relevant legislation including the Data Protection Act 2018.
-
Complete Module 1 Essential Information, Safety, Safeguarding, GDPR and Trustee Introduction training within 5 months of the role start date.
c). The Group Leaders' Meeting
Membership of the Group Leaders' Meeting consists of the Group Scout Leader as chair, all Section Leaders, Section Assistants and Assistant Leaders and the Group Scout Active Support Manager. Explorer Scout Leaders may be included if stated in the partnership agreement.
The role of the Group Leaders' Meeting is to:
-
consider the well-being and development of each Member of the Group;
-
ensure the progress of each Member through the programme;
-
plan and co-ordinate all the Group's activities;
-
to keep the Group Executive Committee advised of the financial and other resource requirements of the training programme.
d). Conduct of Meetings
a) Only members as defined above may vote in meetings of the Group Scout Council and the Group Executive Committee.
b) Decisions are made by a majority of votes cast by those present at the meeting. In the event of an equal number of votes being cast on either side the chair does not have a casting vote and the matter is taken not to have been carried.
c) The Group Scout Council must make a resolution defining a quorum for meetings of the Group Scout Council and the Group Executive Committee and its sub-Committees. Such a quorum shall be not less than six members, two of which must the Chair or Vice Chair and the Group Scout leader. d) Electronic voting (such as email) is allowed for decision making of the Group Executive Committee when deemed appropriate by the Chair. In such instances at least 75% of its committee members must approve the decision.
e) The Group Executive Committee can meet by telephone conference, video conference as well as face to face in order to discharge their responsibilities when agreed by the appropriate Chair f) The Group Executive Committee will meet at least 8 times per year on a monthly basis.
g) Nominations for election to the Executive Committee must be made in writing to the Secretary giving not less than 7 days notice.
h) A special General meeting may be convened at any time by the Executive Committee. Not less than 14 days of the meeting shall be given
WINDING UP
In the event of the Scout Group being dissolved, if after satisfaction of all debts and liabilities, there shall remain any property whatsoever the dame shall (subject to any trusts affecting same) be transferred to the Scout Association Trust Corporation to be used for similar charitable purposes
ALTERERATIONS TO CONSTITUTION
This constitution shall only be altered by resolution passed by a two-thirds majority of a special general meeting. At least 14 days must be given of the proposed amendments.
DISPLAY OF CONSTITUTION
The above Constitution will be displayed clearly in the Centre, so that it can be read by all visitors to the Centre.
FORMAL ADOPTION
The Constitution of the 1st Hexham Scout Group, hereby contained in this document has been discussed amended and approved at the Annual & Special General Meeting of the 1st Hexham Scouts held at Lookwide Centre in accordance with the constitution section above on:
