The Trustees of Southampton Philharmonic Society (the “Society”) present their annual report together with the accounts of the Society for the year ended 31 July 2025. They confirm that the annual report and accounts for the charity comply with the current statutory requirements, the requirements of the charity’s governing document and the provisions of Accounting and Reporting by Charities Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and the Republic of ireland (FRS102) (effective 1 January 2016) (”SORP (FRS102)”).

STRUCTURE, GOVERNANCE AND MANAGEMENT

Constitution

Southampton Philharmonic Society (“the Society”) was established in 1874 and is registered as Charity number 1050107. !tis an unincorporated association govemed by a constitution, which has been amended from time to time. Its assets rest in the Trustees, who ensure that a committee of elected and ex officio officers carries out the management of the Society. The Society will explore the possibility of Incorporated status in the coming year. The Trustees

The Society’s Trustees, under charity legislation, are the elected members of the committee and ex officio chair. They represent interests of the members and have the skills necessary to accept responsibility for the maintenance of the Society’s assets and for the oversight of others, members and non-members, who voluntarily assist the society.

Ex officio appointments are made by the committee, all other committee members are elected by members at the Annual General Meeting. It is anticipated that the committee should have the skills necessary to manage the itfairs of the Societv for the benefit or the musical education of its members and of the wider population -rgund Southampton and Hampshire.

The Musical Director of the Society, David Gibson, and the Deputy Conductor/Rehearsal Accompanist, Paul Spanton, have been ex-officio members of the committee, but are not Trustees. They have both ended their service with the choir at the end of the last season.

OBJECTIVES AND ACTIVITIES

The objectives of the Society as set out in its constitution are to promote, improve, develop and maintain public education in, and appreciation of, the art and science of music in all its aspects by the presentation of public concerts and recitals and by such other ways as the Society through its committee shall determine from time to time.

Activities in the year to 31 July 2025

The Choir held three concerts during the year. In December 2024, we performed a programme of music in the O2 Guild Hall, Southampton, which include Carl Orff's Carmina Burana anda selection from West Side Story. In March 2025, we performed a programme of Baroque music including Vivaldi's Gloria, Bach's Magnificat. and Handel's Silete Venti. Both concerts were accompanied by the Docklands Sinfonia.

In June 2025, we performed a programme of selected pieces on the theme of Reflection, which included Jenkins' choral sui at the Turner Sims Concert Hall in Southampton.

ACHIEVEMENTS AND PERFORMANCE

The membership of the choir was 135 singers during the year.

The first two concerts were performed by the full choir. The third

concert was performed by a smaller number, because of reduced space at the venue. The audience attendances were higher than in the previous year in the first two, but more modest in the summer.

In addition, a group of choir members performed for the Music in the City festival at the beginning of the year.

The choir's finances were subject to continuing uncertainty as attendances still fell below pre-pandemic levels. The first concert was particularly expensive to mount, but attracted a good audience. The second was lower cost but with a smaller audience. The final one was considerably less expensive but with a smaller house.

FINANCIAL REVIEW

The financial position of the Society is set out in the Statement of Financial Activities, Balance Sheet and the related notes. These have been prepared in accordance with the statutory requirements of the Charities Act 2011 and SORP (FRS102). The related notes may assist in interpreting the accounts. All figures are taken from the accounts for the yearto 31 July 2024.

The Society’s main sources of income in the year were members’ subscriptions £22,142 and sales of tickets for concerts £26,193. The main expenditure was on the concert programme, including rehearsals and workshops, totalling £66,233. The Net Movement in Funds for the period of twelve months wasa deficit of £8,270. Reserves (Unrestricted Funds) decreased to £77,139 as at 31°July 2025.

No attempt has been made to record the amount of personal expenses incurred by committee members but for which no claim has ben, or will be, made. These expenses, in effect, are an additional donation to the Society for which the Society is very grateful.

The accounts have been prepared on a going concern basis as in the opinion of the Trustees there are no material uncertainties about the charity’s ability to continue.

The charity's trustees are responsible for the preparation of the accounts. The charity's trustees consider that an audit is not required for this year under section 144(2) of the Charities Act 2011 (the 2011 Act) and that independent examination is naadad

It is my responsibility to: - examine the accounts under section 145 of the 2011 Act

Basis of independent examiner's report

My examination was carried out in accordance with the general directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. it also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required by an audit and consequently no opinion is given as to whether the accounts present a "true and fair view" and the report is limited to those matters set out in the next statement.
