Notes: - The Friends of Wyndham House Surgery is a Non-Incorporated Association regulated by Constitution dated 28 November 2018. 

The Trustees are elected at each Annual General Meeting. The Trustees hold at least four meetings in each calendar year. Decisions are determined by the majority of Trustees present at any meeting who are entitled to vote and a quorum is five members of the committee. 

All Trustees give their time freely and no remuneration to them was made in the year. Also Trustees are required to disclose any conflicts of interest and to withdraw from any decisions where such a conflict may arise. 

The Charity qualifies as a Financial Institution under International Common Reporting Standards, but makes no payments to recipients who are tax resident in CRS reportable jurisdictions. 

The Charity is a grant giving organisation with no employees, and there were 72 members with voting rights at the year end.

The financial effects of the Covid 19 pandemic have tailed off during the course of the year and many of our supported activities are back up and running. However, these accounts are still impacted by reduced activity and we would hope to be back to more normal levels of expenditure during the coming year. Our supporters have continued to be very generous, with one very large donation of £10,000 and we have ended the year in a very healthy financial position. 

Income for the twelve months was £32,655 (£22, 980) and expenditure was £13,688 (£8,273) giving an excess of income over expenditure of£18,967 (£14, 708). 

As usual with accounts on a cash basis there are some late costs from the previous year included in these figures, while some expenses for this year have not yet been submitted. Our generous donations included £11,195 (£1,450) that qualifies as Gift Aid and a further £3,545 (£648) in the Gift Aid Small Donations Scheme. 

The value of the Investment Portfolio, professionally managed by Brewin Dolphin Ltd, was £532,594 (£497,775). The income from this provides us with a significant part of our revenue whilst this capital, along with our CCLA deposit fund, acts as a contingency reserve in the years in which expenditure exceeds income. All our funds are unrestricted. 

We were happy to fund the purchase of an Ambulatory Blood Pressure Monitor at a cost of £1,134.37 for the surgery, which would not have been funded by the NHS. 

With continued precautions for Covid 19 protection we manged to keep the Silverton Link Up patient transport scheme and “Bertie” prescription delivery service running for most of the year and the Balance Classes and Over 65’s Keep Fit along with Tai Chi Classes restarted as did the Parent and Baby Weigh and Stay group, which is very successful. The Silverton Memory Café also reopened and we were happy to assist with grants to cover their venue rental. The Wellbeing Coordinator worked hard at keeping in touch by telephone and later with home visits and the Film Club also restarted. The new Digital Social Prescribing project, helping people unfamiliar with modern technology, also continued to give help and advice. 

We are grateful for the receipt of £698.61 from Transport For Your Community, and £692.74 raised from a plant sale organised by Doreen Beer and family with the proceeds being donated to the Friends. As always we are grateful for the generous gifts from all our donors. 

The trustees endeavour to regularly obtain feedback from beneficiaries of the Friends activities. Yet again there was no negative feedback in the current year. 

We would like to welcome Karen Goldby and Lucy Mottram to the Committee and are sad to say goodbye to Molly Luxton after 21 years of service, Lady Sylvia Wakeham after 10 years (6 as Chair) and James Dishman 3 years (1 as Chair) and who retired or moved away during the course of the year. We are very grateful for their unstinted service over the years and wish them well for the future. 

We are grateful to all our trustees, the membership secretary and other participants at committee meetings for their support and to record our thanks to the many volunteers and suppliers who give assistance to all these projects for which we provide grant aid.

## Related Party Transactions 

## In the financial year to March 2022 payments were made: 

Direct to Patricia Jones, who is married to this charity’s Treasurer, for expenses involved to support the role of Wellbeing Co-ordinator for the Wyndham House Surgery in this area, and as agreed and regularly reviewed by all trustees and in line with our policy on “Conflicts of Interest”. Detailed expense claims, which covered a dedicated mobile telephone, travel expenses and ancillary expenses were submitted quarterly and were signed off by the chair of the Friends or other authorised trustee but never by the Treasurer.

## Policies 

The charity has detailed written policies which are reviewed annually, usually at the February meeting. A brief summary follows:- 

## Anti-corruption & Bribery 

## Code of Fundraising Practice 

The charity has initiated a policy reflecting the Code of Fundraising Practice as issued by the Fundraising Regulator, but owing to the small amount of active fundraising taking place (under £1,000), as opposed to unsolicited donations received, the committee voted not to register with the Fund Raising Regulator, but to use its guidelines. 

## Complaints Policy 

The charity has an individual trustee who is tasked to consider any complaints. These should be reported either direct to a trustee or at Surgery reception. 

## Conflicts of Interest 

Trustees declare any conflicts and take no part in discussions or voting unless invited to provide information. A register is kept ofany potential conflicts of interest. 

## Data Protection Policy 

The charity is committed to processing data in accordance with its responsibilities under the GDPR introduced in May 2018. The trustees are also committed to ensuring that personal data is held with integrity and appropriate confidentiality. 

## Financial Control Procedures and Reserves Policy 

The charity has a detailed financial monitoring and controls policy, along with grant making guidelines, control accounts, reserves, tainted donations and internal financial control policies. 

## Fit & Proper Person Declarations 

All trustees are required to sign declarations under Charity Commission Annex A. 

## Health & Safety 

The charity has a comprehensive set of Health & Safety policies to cover its varied activities. 

## Investment Policy 

The charity has a detailed Investment Policy developed with its independent Investment Manager.

## Independent examiner's report to the trustees of 

## The Friends of Wyndham House Surgery 

I report on the accounts of the Trust for the year ended 31 March 2022, which are set out on pages 5 to 6 with notes on page 3. 

## Respective responsibilities of trustees and examiner 

The charity's trustees are responsible for the preparation of the accounts. The charity's trustees consider that an audit is not required for this year under section 144(2) of the Charities Act 2011 (the 2011 Act) and that an independent examination is needed. 

It is my responsibility to: 

examine the accounts under section 145 of the 2011 Act; 

- to follow the procedures laid down in the general Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act; and 

- to state whether particular matters have come to my attention. 

## Basis of independent examiner's report 

My examination was carried out in accordance with the general Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and consequently no opinion is given as to whether the accounts present a ‘true and fair view’ and the report is limited to those matters set out in the statement below. 

## Independent examiner's statement 

In connection with my examination, no matter has come to my attention: 

- (1) which gives me reasonable cause to believe that in any material respect the requirements: to keep accounting records in accordance with section 130 of the 2011 Act; and 

   - to prepare accounts which accord with the accounting records and comply with the accounting requirements of the 2011 Act 

have not been met: or 

(2) to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
