Structure, governance and management

Nature of governing document

Yorkshire Schools Exploring Society (YSES) is a Charitable Incorporated Organisation. The company was established under a Memorandum of Association and Articles of Association in 1964. In the event of the organisation being wound up members have no liability to contribute to its assets and no personal responsibility for settling its debts and liabilities.

Recruitment and appointment of trustees

The charity trustees for the purposes of charity law and under the organisation’s articles are also members of the Committee.

Organisational structure

YSES is a Charitable Incorporated Organisation and the trustees, in accordance with the constitutional document, form the Committee, which is a voluntary body. The charity trustees may create associate or other classes of non-voting membership. Ongoing responsibility for the day-to-day administration is shared between the Chair (in the absence of a Secretary) and Treasurer.

Major risks and management of those risks

The trustees have assessed the major risk factors to which the charity is exposed and are satisfied that systems are in place to mitigate exposure to them. The risk factors have been vastly reduced due to the change in focus of the charity. The society continues to keep up to date with minor and major risks the society may face and feels appropriate systems are in place to mitigate exposure to them.

The annual report was approved by the trustees of the charity on the 7 March 2023 and signed on its behalf by:

Mr I Chappell Trustee
