## **NECHELLS AND OVERSEAS CARE FUND Annual General Meeting. Minutes (Financial year 1st September 2020 to 31st August 2021)** 

The AGM of Nechells and Overseas Care Fund was held via zoom call from 47 Heneage Street B7 4NF on the evening of Monday 18th March 2022. 

Those attending via zoom call were Helen Cullingford, Rob Hooper and Gemma Willis,  trustees, Pete Hill, fund administrator. 

Apologies : No apologies. 

The meeting began with an opening prayer by Rob 

The minutes of the previous AGM were approved. 

## Annual Report 

Gemma provided a breakdown of the annual report and explained that she had used photos in this Annual report in order to contextualize everything she had reported. Gemma explained that in Uganda, Nick will be crowdfunding for new health centers in areas where there are none, but wishes for NOCF to continue funding the current Health centers. Gemma also explained how NOCF’s funds had helped towards the maintenance and upkeep of the current health centers. Covid support had not been needed since NGO’s were providing support to local people for this. Within Sri Lanka and India, the main focus was to donate towards covid relief due to the dire economic situation, although funding was still provided to Sathy (in Sri Lanka) for his ministerial work. Gemma informed the Trustees that many picture proofs were provided by Sathy to this end, and it was an action point that Trustees wanted some pictures to be sent to them to make the recipients of the donations more tangible. Locally, things were not able to proceed as quickly as had previously been hoped for due to Carol’s ill health, however, Peter explained that Live in Carers were on the cards and therefore this would free his time substantially. Gemma explained how Positively More was a success in helping residents of Nechells, and Peter added that it was also an opportunity for Evangelism. Gemma and Peter noted that Hope Chapel and Nechells Hope were both still a focus despite the setbacks. 

Gemma also gave a financial breakdown, informing the Trustees that Gulu, Uganda had been the area where most donations had been given, Sri Lanka second, India third and anything locally was the area where the least amount of finance had been focused. Gemma explained how funds had been used to pay Timothy Bennett for his work as agreed by the Trustees, but due to personal circumstances, could not pursue PAYE and so Peter had reimbursed NOCF. Rob asked what the account balance was currently. The balance is £13,929.33. 

## Actions for future 

After having made links within the community through various ventures such as positively more, Peter had suggested that we approach likely candidates to take up post as Trustees of NOCF. The people that Peter had proposed were Jacqui, Nora and Jan Street from Free@Last. 



Action Point one -  Provide Trustees of pictures every now again of how donations are being used. 

Action Point two - All Trustees agree that Peter will approach Jacqui or Nora or Jan in order to ask whether they would want to be a Trustee of NOCF. 

Action Point three - Gemma to ensure NOCF account balance to be available to Trustees in next year’s AGM

INDEPENDENT EXAMINER'S REPORT TO THE TRUSTEES OF NECHELLS AND OVERSEAS CARE FUND 

I report on the Accounts of the Charity for the year ended 31st August 2022, which are attached. 

## Respective Responsibilities of Trustees and Examiner 

As the Charity's Trustees you are responsible for the preparation of the Accounts; you consider that the audit requirement of Section 43 (2) of the Charities Act 1993 (the Act) does not apply.  It is my responsibility to state, on the basis of procedures specified in the General Directions given by the Charity Commissioners under Section 43(7) (b) of the Act, whether particular matters have come to my attention. 

## Basis of Independent Examiner's Report 

My examination was carried out in accordance with the General Directions given by the Charity Commissioners.  An examination includes a review of the accounting records kept by the Charity and a comparison of the Accounts presented with those records.  It also includes consideration of any unusual items or disclosures in the Accounts, and seeking explanations from you as Trustees concerning any such matters.  The procedures undertaken 

do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the Accounts. 

## Independent Examiner's Statement 

In connection with my examination, no matter has come to my attention: 

1. which gives me reasonable cause to believe that in any material respect the requirements 

. to keep accounting records in accordance with Section 41 of the Act; and 

- . to prepare Accounts which accord with the accounting records and to comply with the accounting requirements of the Act 

have not been met; or 

2. to which, in my opinion, attention should be drawn in order to enable a proper understanding of the Accounts to be reached.
