STRUCTURE GOVERNANCE AND MANAGEMENT
Constitution
The Princess Royal Trust for Carers in Hampshire is a company limited by guarants6 and a reglslered charty
governed by its Memorandum and Artlcles of Association.
The obJ8ctives of the Charlty are Set out in its Memorandum and Articles of Association and are focussed on
supporting people who are caring for others and are themselves in noc8ssitcrt￿ drcumstsnc8s arKI advancing
education concerning carin9 among carers and the public.

companies provhaing Carer support plus those with an interest in Carer issues who have skills. e.g. financlal,
buslnèss, fund raising, which is of us8 to thè Charity.

Prospedive Trustees are introduced to the current Trustees and. rfthey ar8 judged to fit the profile sought, they
ar8 Invit8d to Board meetings. to events and to meetings with e*ntre staff. The new Trustses are requir8d to
attend an inducts'on programme to acquaint thémselves fully with the Trusts cor8 activities.
If, after a p￿0d of time attending Board me8tlngs. staff mèetings and Carer events. the proposed Trustee feels
they are able and have a desire to be involved viith the Charity as a Tnjstee. the Board will decide. based upon
its needs and its view of the proposed Trustee. to invite them to join the Board.
At the F)oint of joining the Board. new Trustees are tharefor8 familiar with Ihe 0￿ratIonS of Ihe Chaiity and
further speciftc training is providod as necessary.

An Insurance policy is in place to indomnfy the Trustees against any negative financial impact resulling from

The Charity is managed by a Board of Trustees. The Board meets quarterly with day-tTrday management
do18gat6d lo the Centre's Chief Executive. RerM)rts from the Chairman and Chlef Executlve are glven at Board
Meetings to enable discussion of any actions to ensure the Chaiity's obj6dives are met. Tha Charity is
auton¢)mous in terms of control and financing bul is a Network Partner of Carers T￿￿t and is affiliated to Corers

across Hampshire (exduding the unitary authorlties of Southampton and Portsmouth) that has grown and
exceeded expectations.

The Prin￿$ Royal Trust for Carers in Hampshire is a local charity dedicated to supporting unpaid wers a¢roB
Hampshir8 {8xcluding the unitary authorities of Southampton, IOW and Portsmoulh). We are a nelwork partner
of Carers Trust, the UK's18ading natifflal chanty for unpaid CArers.
We are a speclallst Carer organisation who have been operating in Hampshire for over 30 years and have
consistently provided support for carers in that timo.
A carer is anyone who offers unpald help to a family mernber, friend or neighbour who would not bè able to
manage without thelr support. Thls Indudes caring for someone wtth 8 physical disabilty, mgntal health
dlfficulty. Issues related to substsnce misuse, long tam h8alth condlllon or fr811ty.
The supp¢)rt we offer Is tailored to the naeds of each individual carer. ourf￿$ ts on giving carers accurate and
u*to4ate infomation cffl anything from dlsability aids to béneffts clalms as well as emotional support and
signposting tr) appropriate services. We run support groups and Carers Hubs. act as carers. advocatss. liaise
with Adult Services. GPS, Hospitals and the Benefits Agency amongst others. Addilionally, we raise awareness
of carers and car8rs issues which helps to identify mc>re carers and build greater understsnding ofearers issues
and ensure Ihat Ihe voice of carer5 is heard both locally and nationally.
Our Work
At ihe start of the year. we were delivering various services which included Em8rg8ncy Planning. Carers Hubs
and Carers dinics within GP surgeries and specialist energy Carers Hvbs.
From 1gl Septemb8r 2024 were delighted to be successful in our bid arKI commissioned to provid8 a more
eomprehensive service to Carers that also incorporated addIt￿nal carer support and we have been delivering
the Hampshire Carer Support service commissioned by Adults Health and Care. Hampshire Cwnty Council
since then.

offersupportvia telephon8 or email. They can slgnpostto appropriate external and internal s8rvice5 and provid8
information on events. training and groups Ihatthe Trust Provides as well as other extemal organisalons events
and training.

Our Carer Support Worker8 provide one to one supp(fft for more CLYnplex issues covering a wide range of
matters. From dealing with a diagnosis. navigating the health and social care systems. benefits. discussing
lasting FX)wer of attomey and future planniro, attending meetings to provide Support. safeguarding. ensuring
the carers voice is heard and participating in various consultations and meetings around lh8 county LK)th with
carers and to represent their voice.

Contlngency and Emerpncy Plannlng.
This is part of the Hampshire Carer Support SeDAc8 wh8re our Effleryon￿ Planning team, work with carers
to plan ahead in case of an 8m8rg8ncy or sudden change. We support carer8 to make an emergency and
contingency plan and to explore and strengthen thèw support nelworks (family, friends and neighbours) should
an occasion aris8. There is a 24 hour 8UPPOrt line that can be accessed In 8v8nt of a crlsls. Thls servlce
provides peace of mlnd for carers.

Home and Well Carer Support Servlce
W8 continued to d8liver this specialist project that Trs funded wleby by SGN. This service is detwered to Carers
in dedi(ated carers hub that provide a wann space for carèts and their loved ones to attend and receive energy
advke on tariffs. fuel poverty. assistance with fuel debt. priority service and CO infomiation as V￿11 as income
m8ximisation guidance. Partner agenaes also attend the hubs so that carers can access a WKle range of
support and inforniation in one place at the sam8 time. Warm path. CO alarms and electric blankets can also
be awessed.

Deliv8red )Aa funding from Frimley ICB thls servic8 provides three elements of Carer Support that the Carers
In North East Hampshire tell u5 they find so beneficial. Carers Hubs are held in various Ioc8tions in North
East H8mpBhiTe and provide specialist Support both from the Trust and partners. A wide range of charities
attend wlth inforrnalion on their services and shara this with carers. There is also a social element that both
the carer and the cared for person enjoys ar¥J whith reduces social i501ation.
Carer support is d81ivered in two surgeries across the region where GP'S can refer carèrs directly to a dinic
within their pracllce for specialist carer support.
Each year ￿rerS are asked about their training needs as many people become carers ovemight or do not
have any gxperience. Carers can be asked to perform tasks that they have no knowledge of and the ICB has
recognised thi5 and provides appropriate training whlch 15 carer led by need. Training has included. diabetes.
Introductlon to becoming a Carer. Hydration and Nutrition. End of Lifa caring, Bereavement and What is
Dementia?

Virtual supwrt groups and events have been offered since 2020 when Covid hit and have been runnlng for
Ilve years now. These groups contlnue to prove popular for carers vtho do not want to attend groups or who
cannot attend due to thelr carlng roles. They help to reduce Isolatlon and hav8 enabled carers to'attend"
when they have not been able to before. We offer Carers Coffee Momings. exercisè class8s, art class6s,
book club. baking. singln9 and group counselllng.

Events were held across the county in Car8rs to glve back to carers. Cream tsas, boat tr¥is. tea danc88

On Carers Rights Day we held infornation stands across the county to infonn and 5UPPOrt carars to ensure
that they und&r5tood their rights.
Tralnlng
Wo provide training on Carers rights.l8gis1a￿n and good practice across the county and farther afield. This
year we have provided four training courses to health professionals in hospitals to ensure that they Ihink
rerf aspecially around the dlscharge process, to GP'S and surgery teams. to social work leams, olher
voluntary sector colleagues and the wider community on carers issues, rights 8nd good practice on provlding
support.
Thg Trust is led by Kerry Hears8y MBE, Chief Executive and an experienced tèam of dedicated professional
staff that ¢￿sIStentlY go above and beyond to support carers. Their ability to provide such a service is reflected
In excellent feedback that Is r8celved from l)oth ¢arers and professionals on a regular basis.

FINANCIAL REVIEW
The Trust reported net Incoma of £528,504 the year to 31 March 2025. As at 31 March 2025, Ihe Trust had
resèrves of £955,661 of whlch £461,366 relates to restrided funds. £16,416 relates to designated funds. and
£477,879 is unrestricted and avai18ble for the general purposes of the Charty.
Rosorveg pollcy
Thè Trustees policy is to maintain free reserves in unrestrictsd funds at 8 level which 9qU8tè8 to approxlmately
six months of running costs bul the aim is to have free reserves in unrestricted fvnd8 at a level which èquates
to twelve monlhs of running costs. The Trust888 conslder that Ihls18vel wlll provlde sufficient funds to maintain
the provision of Charitable activities antj, If necessary, to respond to any changes in Hampshire County Council
fundlng. As at 31 March 2025, the free reserves of £477,879 would be sufficient to COV8r 6 months of
expendiiure and are ther8fore inlin8 with the policy set out above.
Invostmont pollcy and porforniance
The Trustees aim to maxlmlse the amourrt of Inv8Stmenl Income recelved whllst keeplng the Charty's funds
réasonably accesslble, in Bccordance with the Articles of Kssociation. The Charlty does not currentty hold
inveslments other than monies held on deposit.
Prfnclple fundlng
Our princip81 fvnder continues to be Adult Health and Care. Hampshire County Council alongside our SGN
contract and a contract that Is held wlth Frlmley ICB.
This funding gives stability to our core aclivities as well a$ prowding reassurance to Car9rs that support forthem
remains a pricvity both with Statutory bodies and other funders. It allows the Trust to plan ahead for sérvices.
The Board Is awar8 of th8 Importanc8 of contlnulng to seek altematlv6 fundlng str8ams and also maintainlng
8dequate financial reserves.
PLANS FOR THE FUTURE
It Is essential to ensure the contlnuatlon of all corè work of th8 Charity.
The Trust will continue to strengthen relallonships. partnership VKJrk, co-production and collaborative working
wlth both statutory and voluntary organisations both locally and nationally for the benefit of carers.
The Trust will ￿ntinUe to monitor and Imp18m8nt Car8r18glslalknn.
PUBLIC BENEFIT
The Charities objectives to alleviate the condit10r￿ of Ilfe am(ry people who are carlng, to inGT&3S8 access for
carer8 to ¥iformation and advlc8 on sor￿leaS and to increase the access to the s8NIc8s In both urban and rural
locatb)ns and to incr88se the educational. soclal and cultural opportunlties for local carers havè beèn met.
Further objectives of ensuring that local carers ne8ds and objectlves are refl8cted in services and ensuring that
emotlonal support Is off8r8d through 8 range of means continues to be achieved. This report has Set out how.
The Tru8tees confirm that they have complled wlth their duty under see￿on 17(51 of the Charfties Act 2011 to
have du6 regard to th8 Charity Commission's guidan￿ on public benefft when exercising any powers or dutiés
to whlch thls guldance Is relevant.

TRUSTEES, RESPONSIBILITIES IN RELATION TO THE FINANCIAL STATEMENTS
The Trustees, who are also Directors of The Princess Royal Trust for Car8r5 in Hampshire for the purpose of
company law, are responsible for preparing the Trustees report and financial statements in accordance with
applicable law and Unitsd Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting
Practice).
Company law requires the Trustees to prepare financial stat8mants for each financial year. Under that law the
Trustees have elected to prepare the financial statements In accordance with United Kingdom Generally
Accepted Accounting Practice (United Kingdom Accountlng Standards and applicable law). Under company law
the Trust888 musl not approve the financial statements unless they are satisfied that they give a true and fair
view of the state of affairs of the charitable company and the profit or loss for the charitable company for that
period.
In preparing these flnancial statements the Tru8t8es are required to:

Obsérvè the m8thods and principles in the Charities SORP
Make Judgments and e811mates that are reasonable and prudent.,
state wh8th8r applicabl8 UK Accounting Slandards have bean followed, Subject to any mat8rlal
departures disdos8d and explained in th8 financial statements., and
Pr8pare the financlal ststements on a golng concem basls unless It Is inappropriate to pr8sume that the
chadtable company will continue in operation.
The Trustses are responslble for keeping adequate accountlng records ￿Ech dlsclose with reasonable
accuracy at any tlme the financial posltlon of the Charity and enables them to ensurè that th8 financial
ststements COMP￿ wlth the CompanSes Acl 2006, the r8qulrements of the Charity's gov8rning document and
the requlrements of the Charlty SORP. Thèy are also responslble for safeguardlng the assets of th8 Charity
and ￿nce for taking rèasonabl8 stèp5 for the prevention and detection of fraud and olher irregularities.
STATEMENT AS TO DISCLOSURE OF INFORMATION TO AUDITORS
So far as the Tru5t885 ar8 aware:
there is no relevant audrt information (inforrnalion needed by the charitable company's auditors in
eA)nnection with preparing their report) of which the charilable company'5 auditors are unaware. and
each Trustee has taken all the steps that they ought to have taken as a Trustee in order to make
themselves aware of 8ny relevant audit infOrMatt￿ and to estsblish that the charitable CoMpan￿S
audltors are aware of thal informalion.

A resolution will be proposed that Rothmans NAJdit LLP be re8ppointed as auditors to the Chaiity for the ensuing
year.
This report has been prepared in accordance with the provislons of Part 15 of the Companles Act 2006 relating

## **Opinion** 

We have audited the financial statements of The Princess Royal Trust for Carers in Hampshire (‘the charitable company’) for the year ended 31 March 2025 which comprise the Statement of Financial Activities (Including the Income & Expenditure Account), Balance Sheet and Cash Flow Statement and notes to the financial statements, including significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including FRS 102 The Financial Reporting Standard applicable in the UK and Republic of Ireland (United Kingdom Generally Accepted Accounting Practice). 

In our opinion, the financial statements: 

- give a true and fair view of the state of the charitable company’s affairs as at 31 March 2025 and of its incoming resources and application of resources for the year then ended; 

- have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and 

- have been prepared in accordance with the requirements of the Companies Act 2006. 

## **Basis for opinion** 

We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditor’s responsibilities for the audit of the financial statements section of our report. We are independent of the charitable company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC’s Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion. 

## **Conclusions relating to going concern**

Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the charitable company’s ability to continue as a going concern for a period of at least 12 months from when the financial statements are authorised for issue. 

Our responsibilities and the responsibilities of the trustees with respect to going concern are described in the relevant sections of this report.

The other information comprises the information included in the annual report, including the trustees’ report, other than the financial statements and our auditor’s report thereon. The trustees are responsible for the other information contained within the annual report. Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon. 

Our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the course of the audit, or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact.

## **Matters on which we are required to report by exception** 

In the light of the knowledge and understanding of the charitable company and its environment obtained in the course of the audit, we have not identified material misstatements in the directors’ report included within the trustees’ report. 

We have nothing to report in respect of the following matters in relation to which the Companies Act 2006 require(s) us to report to you if, in our opinion: 

- adequate and proper accounting records have not been kept, or returns adequate for our audit have not been received from branches not visited by us; or 

- the financial statements are not in agreement with the accounting records and returns; or 

- certain disclosures of trustees’ remuneration specified by law are not made; or 

- we have not received all the information and explanations we require for our audit; or 

- the trustees were not entitled to prepare the financial statements in accordance with the small companies regime and take advantage of the small companies’ exemptions in preparing the trustees’ report and from the requirement to prepare a strategic report. 

## **Responsibilities of trustees** 

As explained more fully in the trustees’ responsibilities statement, the trustees (who are also the directors of the charitable company for the purposes of company law) are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the trustees determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error. 

In preparing the financial statements, the trustees are responsible for assessing the charitable company’s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the trustees either intend to liquidate the charitable company or to cease operations, or have no realistic alternative but to do so. 

## **Auditor’s responsibilities for the audit of the financial statements** 

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor’s report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists.

The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below: 

Our approach to identifying and assessing the risks of material misstatement in respect of irregularities, including fraud and non-compliance with laws and regulations, was as follows: 

- the engagement partner ensured that the engagement team collectively had the appropriate competence, capabilities and skills to identify or recognise non-compliance with applicable laws and regulations; 

- we identified the laws and regulations applicable to the charitable company through discussions with Trustees and other management, and from our knowledge and experience of the charitable company’s operations; 

- we focused on specific laws and regulations which we considered may have a direct material effect on the financial statements or the operations of the charitable company, including the Companies Act 2006, the Charities Act 2011, employment and health and safety legislation; 

- we assessed the extent of compliance with the laws and regulations identified above through making enquiries of management and inspecting legal correspondence; and 

- identified laws and regulations were communicated within the audit team regularly and the team remained alert to instances of non-compliance throughout the audit. 

We assessed the susceptibility of the charitable company’s financial statements to material misstatement, including obtaining an understanding of how fraud might occur, by: 

- making enquiries of management as to where they considered there was susceptibility to fraud, their knowledge of actual, suspected and alleged fraud; and 

- considering the internal controls in place to mitigate risks of fraud and non-compliance with laws and regulations. 

We identified the greatest risk of material impact on the financial statements from irregularities, including fraud, to be within the recognition of income and the override of controls by management. To address the risk of fraud in these areas, we: 

- selected a sample of transactions from material income streams and compared expected income to that recorded within the financial statements; 

- performed analytical procedures to identify any unusual or unexpected relationships; 

- tested journal entries to identify unusual transactions; 

- assessed whether judgements and assumptions made in determining the accounting estimates set out in the notes to the accounts were indicative of potential bias; and 

- investigated the rationale behind significant or unusual transactions. 

In response to the risk of irregularities and non-compliance with laws and regulations, we designed procedures which included, but were not limited to: 

- agreeing financial statement disclosures to underlying supporting documentation; 

- reading the minutes of meetings of those charged with governance; and

Emgryoncy Plannlng for Carers - To provide an emergency plan for careTS should the carer become ill c
unable to provide the car8 that they have been giving. This corrtract ended in August 2024 and thes8
services now fomi part of Ihe Countywide Carer Support Service (see bglow).
SGN Prolect - This is a partnership project ￿{ween SGN (Southem Ga5 Neiworks) and the Pri￿ess Royal
Trust for Carers in Hampshire. The partnership will engage carers across Hampshire with information on
the support that's availabl8 for carers to maintain a safe and wam) home. Through this engagement a
dedicated team of advisers with skills in energy and carers needs will provide a safe. wami. and engagiTrJ
space where support S8￿ceS can be bespoke to the carer's needs.
NE Hants Carors Sgrvices - A grant from North East Hampshire CCG to provide monthly Carers Hubs in
various kocalions in North East Hampshire which act as a 'one stop shop. knre cerers can gather
information and seek advice arKI support in relation to their caring rolo.
To facllltate Carerg CllnScs at iwo GP surgefi05 in N E Hants where carers can fflak8 appointments to see a
carer SUPFQrt worker for advice and infomiation in relation to their caring role and where the ¢ar8r support
worker Can support Pr8Ctlce Teams In b8comlng mor8 knowledgéable about carers.
To provide courses that train and support carers in various aspects of carfng in cfder to ease their anxiety
around thelr carlng role as well as wotect their physical health.
Thls Drolect h8s been extendèd to 31 March 2026.
HCC Houmhold Grants - HCC has recelved grant fundlro from the DWP In accordance wlth the
Household Support Fund guldance to provide support to vulnerable households. Grant funding has to b8
allocated to organisallons to support unpaid carérs in Hampshire through food vouchers or tangibl8 Items.
Carèrs Trust- Carers funds provide financlal support to unpald car8rs (aged 16+). h8lplng tham to address
the emergencies and diffic#Jlt siluations that caring can create and Contribute to. Neiwork Parthers can apply
on behalf of indivi(lual carers for grants of up to £400 for items or activiknes that will benefft thern in their
caring role andlor will alleviate the additional strain they may be experiencing as a direct result of their caring
responsibllilles. This could indude funding for household items. breaks. skills development and transport
needs such as bus passes and driving lessons. Applications are roviewed in assessment panels. staffed by
the Grants and Pwramrnes Team. every calendar month.
Survlvlng Wlnter - To identify carers in need of financial support to pay their heating bills and facilitate
access lo govemment grants to alleviate hardship. These funds were fully expended in FY2025.
Flxed Assets - This fund represents fixed assets acquired from restrictsd funds. Transfers inio Ihe fund
relate lo Ihe acquisition of new assets and expenditure is reco9nised as Ihe assets are depreciated over the
useful economic lives.
Young Adults Car•rs - project to look at the needs of young adult carers (aged 16-25 years}. In FY2024
the remaining balance on thls fund was transferred to Ihe NE Hants Carers Service projert and this fvnd
was closed.
HCC Covld Grants - The grant recelved from a local authorlty to glve Out to carers to provlde them ￿th
èxtra asslstsnce durirvJ the pandemlc wlth Inf8cllon control. In 2024 a transfer was mad8 to allocats costs
subsumed vlthln the general expenditure in prior perlcrfts. and thls fund was closed.
