According to the Memorandum and Articles of Association, the Trustees have the power to invest such part of
the funds as they may 8ee fit. Current funds are invested to gan&rate Incorna and capital growth wlth dlversifi8d
risk. Th8 Portfolio therefore comprises of cash and fixed interest investmgnts and global equities.
Funds are managed by Brewln Dolphln under thelr Income and Growth R8tum Category, This eAtegory Is well
diversifigd by asset class. Th8 Portfolio will b8 generally m8asured against th@ APCIMS Balanced Index but will
be managed to our individual needs.
Int@rest and divldend income of £26K (2023: £32KI earned in the year wss relnvested in the portfolio. It is the
policy of th@ Board to invest reserv8s where possible in order to augment income and offs8t inflalionary trends.

Going concern
The Trustees have a reasonab18 expectation that the Charity has adequate resources to continu8 in oparatlonal
existence for th8 foreseeable future. For this reason. they contlnue to adopt the going concern basls In preparing
the financial statements. FLJrthor details regarding the adoption of the going concem basls can be found in the
accounting policies.

It is the policy of the Bcard to maintain free cashlquasi cash reserves at a minimum 16v&l equaling to 6 months
expenditure in order to ensure continuity of service in view of variable receiptg, fundlng levels and the uncertain
times we are operatlng in.
At thg y9ar end the total funds are £8,595,442. (2023.. £8,833,9'45} of which £2,109.738 {2023: £2,144,447) ar8
restricted fund8, consisting primarily of fixed assels. and £6,485,704 (2023: £6,689,498} relate to unrestricted
reserves.

Result forthe Year
The Group made 8 deficit of £239k for the year. Positive movements Sn the stock rnarket V8luatlons resulted in a
net gain on our Investment of £141k.
Fixed Asset Investments held at 31 DeGemb8r 2024 ware valu8d at £1.75 million. The figure Includes income of
£26k which was relnvgsted in the fund.
Total Incom8 for 2024 of £5.98 million was down £500k on th6 amount in 2023
The principal fundlng sources for Ihe year aside trom the trading subsidiaries were Local Health Board Core
funding of £1 m, grants of £590k and legacles and bequests of £593k.
Expenses Increased by £730k in the year to £6.36 million - equivalent to 13'A. Staff costs equate to 64/0 of the
totsl expenditure.
Th8 av8rage number of employees during tha y8ar was 128, which is 7 higher on Ihe level In 2023 (121).
Durlng 2024 our total charitabl8 8xpenditure was al £4.58 mllllon equlvalenl to 72°/o of total @xpenditure.
Group nel assets stand at £8.6rn which is a decrease of £239k compared to 2023. Cash held as worf(ing capltal
at the year end was £761k.
Subsidiary Companles..
Nightlngale House Lottery Limited achieved a net profit of £408k compared to £471k in 2023. The profits w&re
gifted to the charity under the Gfft Aid schéme.
Nightingale House Promotions Limited made a loss of £7k for the year after transferring gift aid on donated
goods of £438k {£198k profit in 2023).

Primary risks involve a fallure to set a budget which is both achievable and 6nsures that the objectlves of the
Charity are met, a failure to accuralaly r8POrt the ongoing financial performance ofthe Charty in a timely fashlon,
reserves being jeopardised by poor cash management and Investm9nt losses due to unforese8n s8V8re market
conditions, and financi81 loss caused by fraud or theft,
The Trustees have ass&ssed the major risks to which the Charity and the Group is exposed, in partlcular those
related to the operations and finances of fhe Charlty and the Group, and are satisfiod that systems and
procedures are in place to manage our exposure lo the major risks.
The Gurrent economlc challengas continue to Impact the UK and Nlghllngale Hous8 Hosplce during 2024, and
like many other charities and buslnesses throughout the UK, our Income streams hav8 b6en impacted.
2025 will contlnue to be a challenge with a budgeted small deflcit and every effort wlll be mada to mitigat8 these
losses. The Trustees and Executive Management Team have always been prudent with regards to financial
management. and it is antlcipated that thls economic stomi will Gontinu8 to be weathered. If difficult trading
conditions conllnue, then the se￿I￿S off@r8d will be r8view8d and realigned within budgets available.

The primary financial risk management objectives and policios centre on robust budgetary control and financial
reporting, a robust reserve, cash management and investment pollcy, and a strong anti fraud and error
infrastructure.

The principal sourc8s of funding in the year have been Restrlcled Grants, Fundraising (whlch includes
Donations, Campalgns and Events), followed by Statutory income, Lottery income, Retail, Gifts in Wills, and Gift
Aid.

Constitution
The Charity and the Group Is registered as 8 charitable (private) company limited by guaranlee and was set up
by a Momorandum ofAssociation on 4 March 1994. Th8 company was Incorporated In Wrexham, UK.
The Charlty and the Group is constitut8d und9r a Memorandum of Assoclation dated 4 March 1994 and is a
reglstered charity (number 10356QO). Each member undortak8S to contrlbute a maximum of £10 to the Charity's
assets should it be wound up.
b. Methods of appolntment or election of frusle88
As set oul in the Arlicles of, Association no person shall be appolnted a TruslBe unless they have attalned the
age of 18 years snd been recommended by the trustees not less than fourteen nor more than thirty five days
before the date appointed for the general m8eting. Trusl88s nominated are representative of the skills and
experienc8 naaded by the Trustee Board to ensure a balanc& of professional expertlse. In accordance with the
Articles of Association any Twstea appolnted outside of thls tlme period can only hold office to the follo￿ng
general meetlng at which they have to stand for election.
Trustees ar8 816Cted for a period of three years. Prior to the annual general meeting the Trustees nearing the
end of their term are asked wh8th8r they wish to continue for a further period of three years. Those willing are
reappointed at the annual general me6ting. The minimum number of trustees shall nat he less than five.
All Truslees give their time voluntarily and receive no benefits from the Charity.
c. Policles adopted,for the indvctlon and training of Trustees
Upon being appointed, Trust8as are provlded with Inductlon training as are staff and voluntears. Half day Board
of Trustees meetings whlch are held twi￿ a year provid8 Opportunity for Trustee trainlng updates on regulatory
complianc8 and service developments. Additlonal infomiation is supplied upon appolntment, by means of the
New Trust&8 Folder which is issued to all new Trustees.

Ilf8 now been over a year since our In-patient unit (IPU) was modemis&d and our patlants, family and slaff are
experiencing thg beneflts. The prlvacy, the gardens, dinlng and kltchen area all contribute to the dellv8ry of
exc8Ptional cara, that is, unlque to a hospic8 environment and welcomed when'most needed.
Patient flow, wellbeing, rehabilitation and famlly support sarvices continue to hav6 a regular fEow of patlents,
working together, adaptlng to the changing needs of patlents and continuing to provide a high standard of
sgrvices.
Our partnership with Supporttve Care UK goes frc)m strength to str8nglh. They continue to d81ivar the highest
levgl of Gonsultanl support for our patlents, ensuring that Nlghtingale House has access to the v8ry begt
consultant support 2417.
It has been our environmental goal to become paper light, moving towards 8lactronic patient records and we
8XPeCt to achieve thls in 2025 now that we have Identified a suitable system. This is also a fundamental
component of modern heallh car& that driv8s improv9ments in salety, quallty, efficlency and patient engagement,
enhanclng the care Nightingale House offers.
Our goal is to increase the r8ach, gspecially to those Ilvlng with progresslve neurological conditions, to reach
them earlier so they can recaive the ben8fit¥ of what we offer, improving their quality of life and symptoms.
Informatlon on fundralslng practlces
All Fundralsing activities are completed by lh6 Nightingale House Hospico fundraising team apart from the sale
of lottery membership. The Lottery team Is responsible for the sales and administration of the hospice lottery,
supported by 1 part-time self-employed canvasser and Sterling Lotteries who run the lottery each week.
Canvassing activity has started to incr&ase in 2024 and we plan lo appoint a canvassing company in 2025 to
help grow our lottery membership going fonward.

poIiGy and Instructlons on how to opt out of fvture cornmunicatlon.

address and the members of the company are named on page 1. In the event of the Charlty being wound
up, the liability in respect of Ihg guarantee Is limited to £10 per m8mb8r of the Charity.
Accounllng pollcles
2.1 Basis of preparatlon of flnanclal statements
The financial ststements have been prepared in accordance with the second edition Charilles SORP
{FRS 102) - Accounting and Fleporting by Charities: Statement of Recommended Practice applicable
to charitles preparing their accounts in accordanc6 with the Financial Reporting Slandard applicable
in the UK and Republic of Ireland (FRS 102) (Octob8r 2019), the Financial Repo￿ng Standard
applicabl8 in the UK and R@public of Irelsnd {FRS 102) and the Companies Act 2006.
Nlghtlngale House Hosplce meets the definition of a public benefit 8nlity under FRS 102. Asseis and
liabilitles are initially r@cognis8d at historical cost or transaction value unless otherwise stated in the
relevant accounling policy.
The Consolidaled Statement of Financial Activiti8s (SOFA) and Consolidated Balance Sheel
consolidat8 the financial stat6ments of the Group and its subsldiary undertaking. The results of the
subsidi8ry are consolidated on a line by line basis.
The Group has tsken advantage of th6 exemptlon allowed under section 408 of the Companies Act
2006 and has nol presented its own Statement of financial activities In these financial statgmants.
2.2 8asls of consolldatlon
The financial ststements consolldate the accounts of Nlghtlngale House Hospice and all of its
subsidiary undertakings {'subsldlarfes').
The Charity has taken advantage of the exemption contalned within sedion 408 of the Companies
Act 2006 not to present its own Income and expenditure account.
The income and expGnditure account for the year dealt with in the accounts of the Charity was a
deficit of £231,917 (2023: surplus £732,392).
2.3 Golng concern
After making approprfate enquiries, the Trustees have a reasonable expectatlon that the Charity has
adequate resour¢es to continue in operational existenca for th8 forseeable fvture. For this reason
they continug to adopt Ihe going concern basis in preparlng thg financial statements as explalned In
the Trustees, R8port.

Grants are included in the Consolidated Ststement of Financlal Activities on a receivable basis. The
balance of Income received for specifi'c purposes but not expended during the period is shown In the
relevant funds on the Balance sheet. Wh8re incom8 Is recelved in advance of entitlement of recelpt,
its recognition is deferred and Included in creditors as deferred income. Where entitlem8nl occurs
before income is received, the income is accrued.
Gifts in kind donatad for distribution are includéd at valuation and recognised as income wh8n they
are dlsifibuted to tha projects. Gits donated for resale ar8 included as income when they are sold.
Where the donated good is a fixed asset. it is measured at fair value, un18ss il is impractlcal lo
measure thi8 reliably. in whlch case the cast of Ihe item lo the donor should be used. The gain is
recognlsed as incomg from donations and a corresponding amount is included in the appropriate
fixed asset class and deprecialed over the useful economic life in accordancg with the Charrty's
accounting policles.
On recelpt, donated professional serviGes and facllities are recognised on the basis of the value of
the gift to the Charity which is the amount it would have been willing to pay to obtain services or
f8cilities of equfvalent economlc benefit on the open market., a corresponding amount is thon

General funds are unrestricted funds which are availabl8 for us8 at the discretion of the Tru8te8s in
furtherance of the g8naral objectives of thg Group and which have not been designated for other
pury)oses.
Restricted funds are funds which are to be used In accordance with specific restriotions impos8d by
donors or which have been rais8d by the Group for particular purposes. The costs of r8islng and
admini8t8ring such funds are charged agalnst the specific fund. The aim and use of each restrlcted
fundls set out in the notes lo the financlal statements.
Investment income, gains and lossas are allocated to the approprlate fund.
Crltlcal accountlng estlmat8s and areas of judgment
Estimates and ludgments are continually evalualed and are basad on historical @XP8ri@nc8 and Other
factors, includlng expectations of future events that are believad to b8 r8asonab16 under the
circumstsnces.
Critical accounllng estimates and assumptions:
The Charity makes estimates and assumptions conceming the future. The resulting accounting estimates
and 8ssumptions will, by definition, seldom equal the related actual resulls. In the opinion of the trustees
there are no estimates and assumptlons that have a significant risk of causing a material adjustrnent to
tha carrying amounts of assots and liabilities within the next financial year.

Restrlcted Funds
The Hospice Property Fund was set up initially In 1994 from grants recelved for the constructlon of the
Hospice buildlng. Slnce 1994 addltlonal grants have been received for re￿rbIShMent and improvements
of the bullding and also the building of a n8w annex. These grants have been fully spent and th8 value
arrled fotward relates to the value within Fixed Assets - Long Leasehold Property.
Welsh Assembly funding was part of a three year development plan for the Hospice. Grants received
tElate to specific capital projecis. The amcunt carried forward relal8S to capital expenditure.
For all capltal expenditure the amounts carried fotward relate to elther the net book value of the assets
purchased or monies unspent at the year end. If a grant or donation was received towards th8 capital cost
and th8 monies havè been fully spent, then so long as no othgr r8Strictions are outstanding, the net book
value may be transferred out of restrlcted funds to unrestrictgd funds.
Phase 1 fund relates to grants and donations recelved towards Phase 1 of th6 redevelopment.
Phase 2 fund relates to grants and donations r8c8ived towards Phase 2 of the redevelopment includlng a
signiflcant contrlbution from The Bradbury Foundation.
Phase 3 fund relates fo grants and donatlons received towards pha88 3 of the redevelopment.
Phase 4 fund ralates to grants and donations recelved towards phase 4 of tha redevelopment including
significant contributions from The Bradbury Foundation, Th8 Bemard Sunl6y Foundalion and The Slr
Donald and Lady Edna Wilson Charitable Trust.
Sundry restricted funds r8pr8sent a number of smaller donations (- lo or <£5k) r8caiv8d in the year for
specific purposes.
The Albert Hunt Trust Fund £15k is towards runnlng costs.
Welsh Government adult bereavement support relatgs to £28.7k.
Welsh Government £363.7k is towards running costs.
MBNA General Fund is towards music therapy I garden project and equipment.
Th8 North Wales Medical Trust is towards clinical training.
BBC ChiSdren In Need is towards bereavement support for children.
St James's Place is towards patient flow services.
Anne Duchess of Weskninster Fund is towards th8 assisted bathing servlce,

The property maintenance and ropair fund was established in 2005 to provide towards future repair costs.
Tanglble fixed assets represents the nel bcok value of tangible fixad assets at 31 December 2024
purchased using unrestricted funds.
General Fund
The G8neral Res8rve include5 the reserves of the Promollons Company which amount to £292,113 and
the reserves of the Loltery Company which amount to £8.149.

24. Contingent liabililies
A r6strloted grant of £300,000 was recelved In 2007 from the Big Lottery towards the cost of the new
ann8x at the Hospice. The terms and conditions of the grant remain In force for the remaining term of the
lease which explres in 2119 and included the requirem8nt lo potentially refund th& grant if th9 annex is
sold or no longer used for charitable purposes. The land is held under licence from B@tsi Cadwaladr
University Local Health Board.
25. Penslon commltments
The charitabl@ company mak8s contribution8 to certaln pensions scheme for Its employees. One of the
schemes for éliglble employees Is the NHS Superannuation Sch8ma (a d8fined contribution sch8me}. The
level of contrlbutlons to thls scheme Is detemiined annually by the NHS Pensions Agency. Th8 hospice
ha8 no further liabillty beyond th8 contributions d91ermined. The rate of employer contributlon durlng the
