The trustees, who are also directors of the charity for the purpose of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 30th June 2023. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102) (effective 1[st] January 2019).
Chair’s Report
The Society is reporting a deficit of approximately £27K for the season 2022/2023. The deficit in the previous season (affected by Covid-19 restrictions) was approx. £28K.
The 2022/2023 season was our first “normal” season (i.e. unaffected by Covid-19 restrictions, and subject to very little fear of the virus). Our audience sizes in this season exceeded both the previous season, and also the last “normal” season before Covid-19. This in turn resulted in higher income; this season saw a 22% increase in income over the previous season. Our gross surplus (before allowing for theatre overheads) was 65% of our income.
However, a large increase in theatre overhead costs this season – many outside our control - resulted in the overall small deficit this season. Utilities costs alone, for example, rose by over £48K (107%); without this huge rise we would have shown a small overall surplus of over £25K.
We achieved our charity’s aims in 2022/2023, by providing entertainment to our local community, encouraging and increasing participation from members of the local community, and supporting our local community wherever possible. We are also proud to have continued to provide education to over 150 local children through our Garrick Academy, and to expand our engagement with the 18 to 30 age group.
In addition to our commitment to continue to engage with the local community, we also recognise our commitment to maintaining a local historic theatre building. Our repairs and renewals budget is under constant review, and we continue to commit £50K during each season to sustaining the theatre itself as a viable centre for the community.

Structure, Governance and Management
Governing Document
The charity is controlled by its governing document the Memorandum & Articles of Association and is a company limited by guarantee, as defined by the Companies Act 2006. The liability of each member in the event of winding up is limited to £1.
Board of Trustees
The Board have sole responsibility for appointing trustees. All trustees are also appointed Directors of the company. There has to be a minimum of three trustees but there is no maximum. In appointing trustees, the Board seek to bring a range of skills and expertise to the management of the Charity. Trustees are kept updated through regular trustees’ meetings and communication throughout the year. New trustees have an initial induction meeting to go over the core responsibilities and expectations of the role. This same meeting will provide an opportunity to ask questions and identify any knowledge gaps for which a solution can be agreed and implemented.

Organisation
The Board of Trustees meets every 8 to 12 weeks, and also communicates very often via email and Instant Messaging. The Board appoints two main salaried positions: an Artistic Director to deal with the production and management of shows and an Operations Director to handle the day-to-day running of the Theatre.
Related Parties
None of our trustees receive remuneration or other benefits from the charity. Any connection between the trustees or senior managers of the charity with a production company, contracted actor, or performer must be disclosed to the full Board of Trustees in the same way as any other contractual relationship with a related party. In the current year no such related party transactions were reported.
The Charity’s wholly owned subsidiary Altrincham Garrick Playhouse Limited was established to operate the commercial bar and Theatre letting. The profits of the subsidiary are donated to the charity.

Objectives and Activities

The Theatre is disabled friendly. We have a designated Front of House Volunteer in attendance at every performance to meet and give assistance to every disabled person as soon as they enter the Theatre. A row of seats in the Theatre is specially modified to accommodate wheelchairs and there is also a hearing loop system. Guide dogs are allowed to accompany their owners throughout the Theatre and carers are given a free seat.
In shaping our objectives for the year and planning our activities, the trustees have considered the Charity Commission’s guidance on public benefit, including the fee charging. The Theatre relies on investment income, donations and the income from fees and charges to cover our operating costs. In setting the level of fees, charges and concessions, the trustees consider carefully the accessibility of the Theatre for those on low incomes.
The strategies employed to achieve the charity’s aims and objectives are to:

present a broad range of Theatre productions for the enjoyment and education of our local community

offer opportunities for a broad range of people to get involved in arts activity exploring their own creative powers

provide facilities for amateur and professional artists to develop. Groups in the borough are given discounted rates for hire of space and access to professional advice

concentrate on involving young people in the arts to help encourage a culture in which different age ranges play a complementary part

celebrate the diversity of cultures in our society by programming presentations by, and with, artists of different cultural backgrounds
Our major activities that put these strategies into action are:

Live stage performances of all types of drama and musicals; produced in-house

Other live events: concerts, other musical events, and performances from visiting companies; these are run as Lets, with ticket revenue typically being split between the Visiting Production and the Garrick

Cinematic and theatrical Screenings; using live-feeds and DVD/MP4-based material

Educational programmes, including drama schools covering ages 5 to 18

Educational programmes, comprising the Garrick Academy covering ages 5 to 18, the Garrick Ensemble for ages 18 to 30, and LAMDA education (aimed at training students for acting exams).

Our programme of activities described below focusses on bringing the arts to the community. As our strategy makes clear, we try to encourage all within our community to take part in our activities and to attend our Theatre and to benefit from our amenities. The drama and art we provide is to be enjoyed by all, including those attending local schools or the higher education colleges, through to our programme that tries to embrace all tastes by hosting visiting artistes. Affordability and access to our programme is important to us and is reflected in our pricing policy set out in detail later in this report.
1. Live Stage Performances produced in-house
In this 2022/2023 season, we staged more live performances than in the last “non-Covid-19” season (2018/2019). This included a full season in our Studio theatre. This was despite having to cancel one mainstage production ( The Father ) at very short notice.
Our mainstage productions in 2022/2023 achieved 74% capacity, compared to 73% in 2018/2019 and 64% in 2021/2022.
2. Other Live Events
We hosted 42 Visiting Productions (at 70% capacity) during the 2022/2023 season. This compares to 47 at 55% capacity in 2021/2022, and 50 at 70% capacity in 2018/2019.
3. Cinematic and Theatrical Screenings
We continued with our programme of showing films, and resumed our engagement with the National Theatre to show theatrical screenings. 28 screenings this season resulted in a 28% capacity, comparing well with 16 in the previous season at 14% capacity.
4. Educational Programmes
Our educational programmes involve the youth in the community. They aim to develop students’ confidence and expression across a range of arts.
For school-aged children, this educational work is done through the Garrick Academy of Performing Arts, which operates on Saturday mornings through three terms, provides week-long courses during half-term, and offers a Summer School. Students from the Academy also perform on our main stage, giving them experience which they would not get elsewhere. Our Bursary scheme enables children from disadvantaged backgrounds to have their fees paid.
The Garrick Ensemble is aimed at the 18-30 age group. This aims to retain this age group’s involvement with the theatre, to expand and further their knowledge and skills. Many of the Garrick Ensemble also pursue professional careers, using experience gained at the Garrick to enrich their CVs.
We also provide LAMDA training, aimed at the 11-16 year olds who want to take LAMDA examinations.
Our main stage and our Studio Theatre are also used to provide training and education on sound, lighting and other technical matters associated with theatre production. Our technicians dedicate time to training people in the crafts associated with the Theatre, many of whom have gone on to paid employment in these fields.

Other Activities
We are a cultural centre and meeting place for local writers and dance troupes, and we make the Theatre and its facilities available for the many participants. We are the assembly point for fire and the emergency centre for two adjacent nursery schools.
We encourage and support fund-raising activities for local and national charities, such as Francis House, Marie Curie Cancer Care, Christies Hospital, The Macmillan Nurses, The British Legion Poppy Appeal, Breast Cancer UK and more.
The first night of pantomime tickets is donated to local disadvantaged children and adults and their carers within the Trafford community.
Our Volunteers
The Society is very involved in the community and relies on voluntary help. Besides those amateur performers and artists who display their talents at the Theatre, over 50 volunteers assist with stewarding events and performances, enabling longer opening and lower staff costs than would otherwise be the case.
Our Artistic Values
We are aware that artistic tastes are not the same for everyone and that when addressing some of the more challenging themes the productions might give rise to offence. We take the views of our audiences very seriously and, without comprising the integrity of the programme, we seek to respect the diverse ethnic, faith, sexual orientation and lifestyles of our community and audience. We run a suggestions and complaints procedure through our Operations Director. The Board acknowledges and addresses all complaints.
Public Benefit
The trustees confirm that they have, when and where necessary to do so, paid regard to the Charity Commissioner’s Guidance on Public Benefit when considering and making decisions.

Financial Review
The charitable company is reporting a deficit of £26,568 for the financial year (2022: deficit of £27,860).
The principal source of income in the year was from admissions charges which totalled £428,793 (2022: £380,258). We also received income from kiosk, programme and catering sales of £52,335 (2022: £45,623) and from our drama academy of £78,404 (2022: £59,983).
Our expenditure for the year totalled £758,885 (2022: £618,501), with direct production expenses costing £187,608 (2022: £153,918). Staff costs rose by £16,056 (7.3%) compared to the previous year to £237,178, with premises costs rising by 53.7% to £148,757 (2022: £96,723), including the cost of utilities which rose by £48,890 (108%) to £94,102 (2022: £45,212).
The selection of our Productions, Screenings and Visiting Productions for 2022/2023 provided a mixture of popular choices and more challenging pieces. Our aim was to continue to tempt audience members back into the theatre, whilst still allowing modern creative arts their space and time.
We were pleased to the goss total footfall reach approx 66% of capacity, generating a gross total ticket revenue of £615K in the 2022/2022 season (compared to 57% and £505K in the 2021/2022 season). Note that a large proportion of that gross total ticket revenue was paid back to Visiting Productions and to the local community groups.
Pricing Policy
Our pricing policy reflects our strategy of enabling all within our community, whatever their means, to take part in our activities and to attend our Theatre.
Ticket prices for Garrick productions during the 2022/2023 season varied between £5 and £20, with concessions available for most performances.

Reserves Policy
Reserves are needed to bridge the funding gaps between spending on productions and events and receiving resources through admission charges as well as covering overhead costs, where unexpected shortfalls in income are experienced. The charity aims to have free reserves which are those unrestricted and undesignated funds not invested in fixed assets of at least £300,000 for this purpose. The balance of reserves are held to cover identified planned repairs and improvements and emergency repairs to the theatre.
Our reserves were crucial to enabling us to survive the financial hardships of the Covid-19 pandemic. Free reserves at 30[th] June 2023 amounted to £299,471 (compared to 30[th] June 2022: £339,635), thus we are now restored to our stipulated amount.
Investment Powers and Policy
The trustees, having regard to the liquidity requirements of operating the Theatre and to the reserves policy, have operated a policy of keeping available funds in a number of interest-bearing accounts and seek to achieve a rate on deposit which matches or exceeds inflation, as measured by the retail prices index. Due to wider economic circumstances, deposit rates have been depressed and so this aim was not achieved in the year.

Plans for Future Periods
During the forthcoming year the trustees will continue to raise the profile of the charity within the local community in order to attract further sponsorship and donations. Negotiations to receive routine funding are also in progress. We have many demands financially at the theatre, to maintain the building, to remain up to date on Health and Safety issues, and to continue to be able to stage very high quality productions.
Risk management
The trustees have a risk management strategy which comprises:
-
an annual review of the risks the charity and its subsidiary may face;
-
the establishment of systems and procedures to mitigate those risks identified in the plan; and
-
implementation of procedures designed to minimise any potential impact on the charity should those risks materialise.
This work has identified that financial sustainability is the major financial risk for both the charity and its subsidiary. Attention has also been focussed on non-financial risks arising from fire and health and safety. Management of financial risk is via reviewed reserves policy and the retention of sufficient working capital by the subsidiary company.
Trustees Indemnity Arrangements
Individual indemnities have been provided by the trustees, under which the charity has agreed to indemnify the trustees to the extent permitted by law in respect of all liabilities to third parties arising out of, or in connection with, their execution of their powers, duties and responsibilities as trustees of the charity.
This report has been prepared in accordance with the special provisions in Part 15 of the Companies Act 2006 relating to small companies.

I report to the trustees on my examination of the financial statements of Altrincham Garrick Society Limited ('the charity') for the year ended 30 June 2023.
Responsibilities and basis of report
As the trustees of the company (and also its directors for the purposes of company law) you are responsible for the preparation of the financial statements in accordance with the requirements of the Companies Act 2006 ('the 2006 Act’).
Having satisfied myself that the accounts of the company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of the charity’s accounts as carried out under section 145 of the Charities Act 2011 (‘the 2011 Act’). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act.
Independent examiner's statement
Since the charity’s gross income exceeded £250,000 your examiner must be a member of a body listed in section 145 of the 2011 Act. I confirm that I am qualified to undertake the examination because I am a member of the Association of Chartered Certified Accountants (ACCA), which is one of the listed bodies.
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:

accounting records were not kept in respect of the charity as required by section 386 of the 2006 Act; or
-
the financial statements do not accord with those records; or
-
the financial statements do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a ‘true and fair' view which is not a matter considered as part of an independent examination; or
-
the financial statements have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102).

1. Charity and company information
Altrincham Garrick Society Limited is a charity registered in England and Wales and a company limited by guarantee. The charitable company’s registered number and registered office can be found on the Report of the Trustees.
The presentation currency of the financial statements is the Pound Sterling (£).
The members of the company are the Trustees. In the event of the charity being wound up, the liability in respect of the guarantee is limited to £1 per member of the charity.
2. Accounting policies
The principal accounting policies adopted, judgements and key sources of estimation uncertainty in the preparation of the financial statements are as follows:
Basis of preparation
The financial statements of the charitable company, which is a public benefit entity under FRS102, have been prepared in accordance with the Charities SORP (FRS102) “Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102) (effective 1[st] January 2019), Financial Reporting Standard 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.
The financial statements contain information about Altrincham Garrick Society limited as an individual company and do not contain consolidated financial information as the parent of a group. The company has taken the option under Section 398 of the Companies Act 2006 not to prepare consolidated financial statements.
Going concern
After making enquiries, the board has a reasonable expectation (subject to the normal levels of commercial risk in the current economic climate) that the charity has adequate resources to continue in operational existence for the foreseeable future, being a period of at least twelve months from the date on which the report and financial statements are signed. This expectation is based on forecasts prepared and the current available levels of cash and reserves of the charity. There are no material uncertainties related to events or conditions that may cast significant doubt upon the entity’s ability to continue as a going concern.
Income recognition policies
Items of income are recognised and included in the accounts when all of the following criteria are met:

The charity have entitlement to the funds;
-
any performance conditions attached to the items(s) of income have been met or are fully within the control of the charity;
-
there is sufficient certainty that receipt of the income is considered probable; and
-
the amount can be measured reliably.
Donations and legacies
All monetary donations and gifts are included in full in the statement of financial activities when receivable, provided that there are no donor-imposed restrictions as to the timing of the related expenditure, in which case recognition is deferred until pre-condition is met. Donated services and facilities are included at the value to the charity where this can be quantified. No amounts are included in the financial statements for time donated by volunteers. For legacies, entitlement is taken as the earlier of the date on which the estate is finalised or when a distribution is received from the estate.

Accounting policies (continued)
Income from charitable activities
Comprises ticket sales for performances, education, programmes, catering, costume hire and membership fees. Income received in advance of a theatrical performance is deferred until the criteria for income recognition is met.
Income from other trading activities
Income from other trading activities comprises income from rents received relating to the freehold land and property, income related to the 200 club and other lotteries and income from management charges.
Investment income
Investment income comprises dividend income and interest receivable on cash balances, and is recognised on an accrual basis.
Fund accounting
Unrestricted funds are those funds for use at the discretion of the trustees in furtherance of the general objective of the charity. Designated funds are unrestricted funds of the charity which the trustees have decided, at their discretion, to set aside for a specific purpose.
Expenditure and irrecoverable VAT
Expenditure is recognised once there is a legal or constructive obligation to make a payment to a third party, it is probable that settlement will be required and the amount of the obligation can be measured reliably. Expenditure is classified under the following activity headings:

Expenditure on charitable activities includes the costs of performances and the other educational activities undertaken to further the purpose of the charity and their associated support costs.

Other expenditure represents those items not falling into any other heading.
Irrecoverable VAT is allocated to support costs.
Allocation of support costs and governance costs
Support costs are those functions that assist the work of the charity but do not directly undertake charitable activities. Support costs include back office costs, finance, irrecoverable VAT. Governance costs comprise all costs involving public accountability of the charity and its compliance with regulation and good practice. These costs include audit/independent examination fees.
Operating leases
Rentals paid under operating leases are charged to the income and expenditure account on a straight-line basis over the period of the lease.
Volunteers
The value of services provided by volunteers is not incorporated into the financial statements. Further details of the contributions made by the volunteers can be found in the Trustees’ Annual Report.
Critical accounting estimates and areas of judgement
In the applications of the accounting policies, trustees are required to make judgements, estimates and assumptions about the carrying value of assets and liabilities that are not readily apparent from other sources. The estimates and underlying assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.
In the view of the trustees, no assumptions concerning the future or estimation uncertainty affecting assets or liabilities at the balance sheet date are likely to result in a material adjustment to their carrying amounts in the next financial year.

Tangible fixed assets
Individual fixed assets costing £1,000 or more are capitalised at cost and depreciated on a straight-line basis over the estimated useful lives as follows:

Investment assets
- Quoted investments
Quoted investments comprise publicly quoted listed securities. Quoted investments are stated at market value. The market value is based on the closing middle market price. Asset sales and purchases are recognised at the date of trade.
- Investment in subsidiaries
Investment in subsidiary undertakings are held at cost less any impairment.
Stocks
Stocks are valued at the lower of cost and net realisable value, after making due allowance for obsolete and slow moving items.
Debtors
Trade and other debtors are recognised at the settlement amount due. Prepayments are valued at the amount prepaid
Cash at bank and in hand
Cash at bank and cash at hand includes cash and short term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account. Deposits for more than three months but less than one year have been disclosed as short term deposits. Cash placed on deposit for more than one year is disclosed as a fixed asset investment.
Creditors and provisions
Creditors and provisions are recognised where the charity has a present obligation resulting from a past event that will probably result in the transfer of funds to a third party and the amount due to settle the obligation can be measured or estimated reliably. Creditors and provisions are normally recognised at their settlement amount after allowing for any trade discounts due.
Pensions
The charity operates a defined contribution pension scheme. Contributions payable to the company’s pension scheme are charged against income in the year in which they are incurred.
Financial instruments
The charity only has financial assets and financial liabilities of a kind that qualify as basic financial instruments. Basic financial instruments are initially recognised at transaction value and subsequently measured at their settlement value.
Government Grants
Government grants are credited to the statement of financial activities when the charity has entitlement to the income and when the amount receivable has been quantified.

The total amount of employee benefits (including employer’s pension contributions) received by key management personnel for the services to the charity was £71,946 (2022: £68,786).

20. Pensions
The charity operates a defined contribution pension scheme for the benefit of its employees. The assets of the scheme are held in independently administered funds. The contributions paid by the charity during the year were £3,122 (2022: £2,952). The amount outstanding at the year end was £nil (2022: £1,374).
21. Related party disclosures
The charitable company is controlled by the trustees.
The charity controls Altrincham Garrick Playhouse Limited by virtue of holding all voting rights and 100% of the company’s ordinary shares. During the year, the charity received management charges and recharges from Altrincham Garrick Playhouse Ltd of £22,353 (2022: £nil). At the balance sheet date, the charity was owed £2,404 from Altrincham Garrick Playhouse Ltd (2022: £8,842 owed by the charity to Altrincham Garrick Playhouse Ltd).
Details of Key Management Employee benefits are given in note 11.
During the year, the charitable company purchased goods and services from FMS Interior Services Ltd amounting to £9,291 (2022: £972). FMS Interior Services Ltd is controlled by trustee Mr James David Beddy. At the balance sheet date, £276 (2022: £nil) was owed from the charitable company to FMS Interior Services Ltd.
