Change of Charity Name

On 29 September 2025 the charitable company changed its name from Regain-the Trust for Sports Tetraplegics to Regain - The Charity For Tetraplegics.

Objectives and Activities

Aims and Objectives

During the year the objectives of the Charity were expanded beyond offering help to sports tetraplegics to encompass all individuals who become tetraplgic.

Our mission is to improve the quality of life for individuals who have suffered a spinal injury.

Our vision is that every tetraplegic is given an equal opportunity to live as full a life as possible

Aims

• To help tetraplegics lead independent and fulfilling lives by fully or part funding equipment and facilities that improve mobility, communication, educational options and employment opportunities

• To increase the awareness of risks and educate the general public to try and reduce the number of accidents resulting in tetraplegia

The strategies employed to achieve the charitable company’s objectives are kept under review.

Significant Activities

The main activities of the charitable company are arranging fundraising events and writing to charitable trusts and corporate donors in order to raise funds to support the many grant applications.

Public Benefit

The trustees confirm that they have complied with the requirements of Section 17 of the Charities Act 2011 to have due regard to the Charity Commission’s guidance on public benefit.

Achievements and Performance

Main Achievements

The Chief Executive Officer, in collaboration with the Board of Trustees, agreed a series of deliverable actions for 2025 aligned with each of the organisation’s strategic aims. Progress against these actions is monitored and reported at the quarterly Trustee meetings.

Regain’s primary purpose continues to be the provision of grants to tetraplegics. During 2025, Regain awarded grants totalling £90,664 (2024: £93,963). Funded equipment included sports and power-assisted wheelchairs. Additional grants supported significant home repairs for a beneficiary living in financial hardship, as well as enabling another beneficiary to attend a world-class rehabilitation and respite centre in Dorset.

Regain also delivered a number of service days for beneficiaries, including an Adaptive Watersports Day in partnership with Access Adventures, and a series of four Adaptive Cycling Days in London, supported by Transport for London.

Main Achievements - continued

All grant applications are reviewed by Regain’s Grants Panel, comprising the Charity Director and three tetraplegic trustees with many years of lived experience. Applicants who meet the eligibility criteria are interviewed, after which the Panel makes recommendations to the Board of Trustees for final approval.

Throughout 2025, Regain delivered a range of fundraising initiatives to generate the income required to support its grantmaking activities. Two flagship events were organised: a cycling challenge at Thruxton Race Circuit and a Gala Dinner at The Peninsula London.

We were pleased to welcome over 200 participants to the third annual cycling challenge event. Participants undertook 10, 20, 30, or 42 lap challenges, raising sponsorship for each lap completed. The event was attended by four Scout and one Guides groups, who also participated in a disability awareness workshop led by Regain patron Jonathan Coggan. In addition, corporate teams of four competed in a 42-lap relay challenge.

The Gala Dinner at The Peninsula London was another significant success, with 310 guests in attendance. Funds were raised through both pledge and silent auctions. We were delighted to welcome Steve Brown as compere for our Gala Dinner. A former captain of the Great Britain wheelchair rugby team at the London 2012 Paralympic Games, Steve is now a respected television presenter and motivational speaker, best known for his work on programmes including Countryfile and Escape to the Country. The auction was conducted by Lord Jeffrey Archer.

In addition, five runners represented Regain in the London Marathon, collectively raising £7,450.

Plans for the Future

Looking ahead to 2026, planned initiatives include becoming a partner charity of Run 2 Paris, delivering a unique Coast to Coast challenge for one of our tetraplegic beneficiaries, Danny (“Danny’s Big Challenge”), using a chin-controlled off-road wheelchair, and hosting a third Gala Dinner at The Peninsula London to build on the success of previous years.

It was agreed the Thruxton Cycling Challenge would be rested in 2026, to focus resources into more profitable events.

Financial Review

Financial Position

Total unrestricted funds at 31 December 2025 are £279,277 (2024: £269,304).

Total income received during the year was £270,290 compared with £249,015 in the previous year. Of this, £9,500 in 2025 (2024: £11,285) has been received for specific projects and is restricted in use.

Event income of £236,501 (2024: £231,745) represented an improvement over the previous year.

Costs of raising funds amounted to £150,077 (2024: £158,906) and expenditure on charitable activities amounted to £111,459 (2024: £119,308), inclusive of expenditure of £6,124 (2024: £11,285) for specific projects from restricted funds.

The surplus of resources on unrestricted funds was £9,973 (2024: deficit £11,444), with the overall net surplus of £13,349 (2024: deficit £11,444 ).

After deducting tangible assets and investments of £190,486 (2024: £181,030) there is a surplus of £88,791 of free reserves (2024: £88,274). Cashflow will continue to be monitored carefully in 2026, and the Trustees will liquidate investment funds as required, to ensure that adequate cash resources are available to meet expenditure.

Reserves Policy

The Trustees have the power to invest any funds not required for immediate use on deposit or invest as they see fit.

The Trustees’ policy is to maintain a level of reserves which will provide a stable base for the charitable company's continuing activities while at the same time ensuring that reserves are not accumulated.

Structure, Governance and Management

Governing Document

The Trevor Jones Tetraplegic Trust was created as a charity in 1988 and was incorporated on 17 December 1993 when it was registered with the Charity Commissioners for England and Wales as Charity No 1030693. In order to accurately reflect the work and scope of the Trust, the name was changed to Regain - The Trust for Sports Tetraplegics on 19 May 1995. The name was changed again on 29th September 2025 to Regain The Trust for Tetraplegics (''Regain'') to reflect the expanded remit. Regain is the only charitable organisation dedicated solely to improving the independence of all British men and women who have become tetraplegic.

Regain is a company limited by guarantee governed by its Memorandum and Articles of Association. The charity’s liability is limited by the guarantee of its members. Each member has agreed to accept a liability of an amount not exceeding £10 should the charity be wound up.

Trustee Selection Methods

Trustees are selected to give an appropriate range of skills and experience, and are recruited by personal contact or by using Reach (www.Reachskills.org.uk). New trustees are introduced to the other trustees at one of their quarterly meetings and if considered suitable appointed at that meeting.

Newly appointed trustees are inducted by existing trustees. The Charity Director sends to all new trustees the latest governance information produced by the Charity Commission which outlines their responsibilities and duties as a trustee.

Organisation

The board of trustees (the “Trustees”) administers the charitable company. They meet quarterly to make the operational decisions. The day-to-day running of the charitable company is delegated to the Charity Director.

Risk management

The Trustees keep under review the risk areas to which they believe the Charity may be exposed under the guidance of the Charity Director. Procedures for mitigation, monitoring and control are in place.

A summary of the principle risks and uncertainties identified by the Trustees are as follows: The Charity has exposure to liquidity risk. The objective of the Charity in managing liquidity risk is to ensure that it can meet its financial liabilities as and when they fall due. There are no borrowings. The amount of resources available to distribute as charitable grants is reviewed by the Trustees on a quarterly basis and is the key factor in considering applications.

Statement of Trustees' Responsibilities

The trustees (who are also the directors of Regain - The Charity For Tetraplegics for the purposes of company law) are responsible for preparing the Trustees' Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).

Company law requires the trustees to prepare financial statements for each financial year. Under company law the trustees must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources, including the income and expenditure, of the charitable company for that period. In preparing the financial statements the trustees are required to:

The trustees are responsible for keeping adequate accounting records which disclose with reasonable accuracy at anytime the financial position of the charitable company and to enable them to ensure that the accounts comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

The trustees are responsible for the maintenance and integrity of the corporate and financial information included on the charitable company's website. Legislation in the United Kingdom governing the preparation and dissemination of financial statements may differ from legislation in other jurisdictions.

I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 December 2025.

Responsibilities and Basis of Report

As the charity trustees of the Company (and also its directors for the purposes of company law), you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 (“the 2006 Act”).

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity’s accounts as carried out under section 145 of the Charities Act 2011 (‘the 2011 Act’). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act.

Independent Examiner's Statement

Since the Company’s gross income exceeded £250,000 your examiner must be a member of a body listed in section 145 of the 2011 Act. I confirm that I am qualified to undertake the examination because I am a member of The Institute of Chartered Accountants in England and Wales, which is one of the listed bodies.

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:

  1. accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or

  2. the accounts do not accord with those records; or

  3. the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a 'true and fair view' which is not a matter considered as part of an independent examination; or

  4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102).

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

1. General Information

Regain - The Charity For Tetraplegics is a company limited by guarantee, incorporated in England & Wales, registered number 02883419 and registered charity number 1030693. The registered office is 1 Howe Close, Shenley, Radlett, WD7 9JF.

2. Accounting Policies

2.1. Basis of Preparation of Financial Statements

The financial statements are prepared for the year ended 31 December 2025.

The financial statements have been prepared under the historical cost convention with items recognised at cost or transaction value unless otherwise stated in the relevant accounting policies below or the notes to these accounts.

The financial statements have been prepared in accordance with the Charities SORP (FRS 102) "Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)", Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.

The charitable company is a Public Benefit Entity as defined by FRS 102.

The accounts are presented in sterling and are rounded to the nearest pound.

2.2. Going Concern Disclosure

The trustees have not identified any material uncertainties related to events or conditions that may cast significant doubt about the charitable company 's ability to continue as a going concern. The Trustees have assessed whether the use of the going concern assumption is appropriate in preparing these accounts. The Trustees have made this assessment in respect to a period of one year from the date of approval of these accounts.

The Trustees of the Charity have concluded that there are no material uncertainties related to events or conditions that may cast significant doubt on the ability of the Charity to continue as a going concern. The Trustees are of the opinion that the Charity will have sufficient resources to meet its liabilities as they fall due.

2.3. Incoming Resources

All income is included in the Statement of Financial Activities when the Charity is entitled to the income, receipt is probable and the amount can be quantified with reasonable accuracy. The following specific policies apply to categories of income:

2.4. Resources Expended

Expenditure is recognised on an accruals basis as a liability is incurred.

All costs are allocated between the expenditure categories in the statement of financial activities based on the use of the resource.

Grants payable are charged in the year when the offer is conveyed to the recipient.

Governance costs are included within charitable activities and reflect the costs of an independent examination in order to meet the constitutional and statutory requirements of the Charity.

The costs of raising funds include relevant proportions of the salaries of those responsible for fundraising and the costs of items used solely for fundraising (leaflets, etc.). The Charity exists in order to deliver a front-line service and only fundraises to facilitate that activity; other support costs have therefore been allocated to charitable activities.

2.5. Investments

The fixed asset investments are invested in UK investment trusts.

This investment is a form of financial instrument initially recognised at transaction value and subsequently measured at fair value at the balance sheet date using the closing quoted market price. Any gain/(loss) on revaluation and disposal are recorded in the statement of financial activities

2.6. Cash and Cash Equivalents

Cash and cash equivalents are basic financial assets and include cash in hand and deposits held at call with banks, other short-term highly liquid investments that mature in no more than three months from the date of acquisition and are readily convertible to a known amount of cash with insignificant risk of change in value, and bank overdrafts.

2.7. Taxation

Regain is a registered charity and therefore is not liable to income tax or corporation tax on income derived from its charitable activities, as it falls within the various exemptions available to registered charities.

2.8. Provisions and Contingencies

Creditors and provisions are recognised when there is an obligation at the balance sheet date as a result of a past event, it is probable that a transfer of economic benefit will be required in settlement, and the amount of the settlement can be estimated reliably. Creditors and provisions are recognised at the amount the Charity anticipates it will pay to settle the debt. They have been discounted to the present value of the future cash payment where such discounting is material.

2.9. Pensions

Employees of the Charity are entitled to join a defined contribution ‘money purchase’ scheme. The Trust’s contribution is disclosed in note 8. There were no outstanding contributions (employer and employee) at the year end (2024: £Nil). The Charity has no liability beyond making its contributions and paying across the deductions for the employee’s contributions.

12. Pension Commitments

The charitable company operates a defined contribution pension scheme. The assets of the scheme are held separately from those of the charitable company in an independently administered fund.

During the year the charge to the statement of financial activities in respect of defined contribution schemes was £713 (2024: £328).

At the balance sheet date no contributions of were due to the fund.

Restricted income of £9,500 (2024: £11,285) was received for the establishment of a hand cycling club in London, a specific contribution to a beneficiary grant and to support people training for a certfied qualification. The balance represents funds for equipment and the hand cycling club events in 2026.

14. Transactions with Trustees

None of the trustees received any remuneration or any other benefits from an employment with the charity or a related entity during the current or previous year.

15. Related Party Disclosures

There have been no related party transactions in the reporting period that require disclosure, except for those disclosed in the Transactions with Trustees note.

16. Company limited by guarantee

The company is limited by guarantee and has no share capital.

Every member of the company undertakes to contribute to the assets of the company, in the event of a winding up, such an amount as may be required not exceeding £10 and totalling £80.
