You give your time, your talents, and your heart — and in doing so, you help shape confident, capable, and compassionate young people. You are the reason Scouting continues to thrive.

The District Lead Volunteer gave a safety and housekeeping announcement.

1. Introduction and Welcome

The Chair welcomed members of the District Scout Council to the 2024 Annual General Meeting. She also welcomed Bob Wilson, District Lead Volunteer for Urmston and District.

A brief silence was held to remember Scout volunteers who had ‘gone home’ over the past year including our District President, Eileen Johnston.

2. Apologies for absence

The District Lead Volunteer read the apologies, as listed above. The meeting was unanimous in accepting the apologies.

The meeting was unanimous in accepting the minutes were a true record of the 2023 AGM.

3. Governance topics

The Chair explained this part of the meeting is a necessary part to make sure that the charity’s foundations are in good order.

3a. To approve the Minutes of the Annual General Meeting held on 28th September 2023

The minutes have been previously reviewed by the District Trustee Board after the previous AGM, and it was proposed that the minutes are taken as read and ask the District Scout Council to agree that they are a true record of that meeting.

3b. To adopt the model constitution from Policy, Organisation and Rules

The Chair explained that in line with the recommendation from Scout Headquarters, the outgoing District Trustee Board proposed that we adopt the model constitution from Chapter 5 of Policy, Organisation and Rules. A copy of this was available for review and inspection prior to this meeting, and copies are also available at the meeting. We are already following this constitution.

The meeting was unanimous in accepting the proposal.

3c. Note the District’s financial year

The Chair asked members of the District Scout Council to note that our charity’s financial year is 1st April to 31st March.

3d. Agree the number of members that may be elected to the Trustee Board

The District Scout Council must agree at its AGM the number of people that can be appointed to the Trustee Board. The recommendation from the outgoing District Trustee Board is that 5 people can be appointed including the District Chair and Treasurer. The District Chair proposed that the District Scout Council approves this recommendation.

The meeting was unanimous in accepting the proposal.

The Chair advised that the District Lead Volunteer and District Youth Lead are ex-officio members of the District Trustee Board.

3e. Agree the quorum for future meetings of District Scout Council (excluding this AGM)

The Chair stated that the District Scout Council must agree at its AGM the quorum for future meetings of the District Scout Council – the minimum number of District Scout Council members that must be present. The recommendation from the outgoing District Trustee Board is that the quorum should be set at 15 persons. The District Scout Council was asked for approval of that recommendation.

The meeting was unanimous in accepting the proposal.

5. Review of the previous year

The Chair explained to the District Scout Council members present that this part of the meeting is the opportunity to reflect on the activities of the past year.

5a. District Lead Volunteer’s Review of Scouting in the District

The District Lead Volunteer presented their review of the year. The Chair thanked the District Lead Volunteer for their review and all their hard work in driving the District forward since he was appointed.

5b. To receive and consider the Annual Report of the District Trustee Board including the Annual Statement of Accounts

The Chair advised there had been questions raised relating to the accounts. The District Lead Volunteer is working with the Independent Examiner to review the questions. Once resolved, the District Trustee Board would then approve the Annual Report and Statement of Accounts. The Chair explained no vote is required, the District Scout Council only receives and considers.

6. Making appointments

The Chair explained that this part of the meeting sets the charity up to be well-led during the period until the next AGM. Particularly, the District Scout Council appoints a Trustee Board to ensure good governance for the charity over the next year.

6a. To appoint the District Chair, following recommendation from the open selection process initiated by the District Trustee Board

The Chair explained she will now hand the chair of this meeting over to the District Lead Volunteer.

The District Lead Volunteer thanked the District Chair for all their support, guidance and dedication to the District over the past year. Following an open selection process there was one nomination for the role of the District Chair. Sue Leonard has been proposed and seconded, and the District Lead Volunteer asked for the District Scout Council’s approval.

The meeting was unanimous in accepting the proposal.

6b. To appoint the District Treasurer, following recommendation from the open selection process initiated by the District Trustee Board

The Chair explained following an open selection process there was one nomination for the role of the District Treasurer. Darren Melling has been proposed and seconded, and the District Chair asked for the District Scout Council’s approval.

The meeting was unanimous in accepting the proposal.

6c. Appoint members of the District Trustee Board, following recommendations from the open selection process initiated by the District Trustee Board

The Chair explained following an open selection process there were three nominations for the three Appointed Trustee vacancies. Mike Hayes, Pete Leonard and Reece McSherry have been proposed and seconded, and the District Chair asked for the District Scout Council’s approval.

The meeting was unanimous in accepting the proposal.

6d. To appoint the District President and Vice President

The Chair explained the District Trustee Board’s nomination for District President was Phil Rigby, and District Vice President was Deborah Forrest. The Chair asked for the District Scout Council’s approval.

The meeting was unanimous in accepting the proposal.

6e. To appoint the Scrutineer

The District Lead Volunteer proposed Malcolm Gough as the independent scrutineer of the accounts. The Chair explained Malcolm Gough has been proposed and seconded and is qualified for the role.

The meeting was unanimous in accepting the proposal.

6f. To nominate representatives of the District Scout Council to represent the District on the County Scout Council

The Chair explained we are required to nominate a District representative to the County Scout Council. Steve Moss has been proposed and seconded.

The meeting was unanimous in accepting the proposal.

7. Closing Remarks

The Chair closed the formal business, thanking everyone for attending and for their continued dedication to Scouting in our District. The Chair outlined volunteer awards were to follow the formal business.

Following the formal business, the District Lead Volunteer presented Good and Long Service Awards, and wood badges to volunteers in the District.

District Lead Volunteer’s Report

Over the past year, so much has been achieved and I’m truly thankfully for the hard work and dedication of all our amazing volunteers across the District.

This year we’ve seen more new sections open across the District including two new Groups, 5th Little Hulton have opened three new sections – Squirrels, Beavers and Cubs, and 7th Worsley Sunna have opened two new sections – Beavers and Cubs. In addition, we have seen a new Squirrel Drey open at 10th Eccles. We have been supported on a number of these projects by the Growth and Communities Team. I especially want to thank Lu Anderson for her dedication to making these new Sections (and Groups) a reality, providing dozens of more young people with the opportunity to get involved with Scouts. Thank you to everyone who was part of making these new Sections a success, and welcome to our new volunteers.

In May 2024, we had the first District Camp for Ellesmere as we celebrated 21 years of Scouting across the District. We had attendance from every Group in the District, and we were thankful for £4,000 of funding from the Drill Hall Trustees to keep the cost minimal for this event. Over the weekend young people took part in a range of adventurous activities, craft and other activities such as laser tag, cave bus and a silent disco. Andrew led our campfire which brought members of all Sections together for a traditional sing song. On the Sunday, we took the opportunity in place of our St George’s Day Parade to renew our promise and recognise the hard work and achievements of our volunteers. Thank you to everyone who made this event a huge success, especially the 14-24 Provision who worked tirelessly to support the event all weekend.

In January 2025 we had the Annual Scout Census. The numbers of members in Ellesmere District rocketed, leading away across the County and the Region. Our youth membership grew by 17.3% to 420, and our adult membership grew by 10.2% to 108 – showcasing the amazing work done by Lu and other volunteers across the District. Overall, our District grew by 15.8% to 528, which was 8% ahead of any other District in Greater Manchester West. An amazing achievement, thank you to everyone who was part of our growth.

In March 2025, we had our second District Awards Evening which continued to be a great success with over 100 young people, volunteers and parents attending as we presented recognition certificates to our young people who’d achieved their Top Awards. We also used this opportunity to recognise some of our volunteers with Good Service Awards, for their continued outstanding dedication to our District. Our Special Awards in memory of former volunteers Eileen Johnson, Bill Beecroft and Bernard Pennington were presented to nominated young people and volunteers for going ‘above and beyond’.

Throughout the year we’ve had a number of amazing programme opportunities with Groups and Sections working together to attend events, these included our Scouts Trek21 Expedition Challenge, Cub H2O Olympics, Beavers Gullivers Trip, Squirrels Sleepovers, Scouts Waddecar Winter Camp, KISC Fundraising Easter Egg Hunt, Network Camps, Explorer Summer Camp, Scout/Explorer Crossover Events, DofE Expeditions and more. All these events require a huge commitment from volunteers, on behalf of the young people in Ellesmere – THANK YOU. These are all in addition to the amazing programme opportunities delivered week in, week out at every Section in the District.

Over the past year, there have been changes to the way we volunteer and the new membership system. We have persevered with the changes to new role titles including Lead Volunteers, Team Leaders and Team Members, and found our way round the new system which is starting to be ironed out and will provide support to those with administrative responsibilities. We also had the mass competition of the new mandatory safety learning – thank you to everyone for completing this ahead of the July deadline. We were one of only two Districts in the County to complete before the deadline because of your shared determination to get it done.

It has been a privilege to lead this amazing District for the past 3 years, with the warm welcome I was shown as an ‘outsider’ and continued support from you all. I’d like to particularly thank those who have been part of the District Leadership Team – Andrew, Heather, Reece, Matt, Emmett, Lu and Ryan for their hard work and support. I want to mention the Group Lead Volunteers who have continued to adapt with changes around premises safety, trustee boards and transformation – thank you. Our Trustee Board have adapted to changes too, ensuring sound governance underpins the decisions we make – thank you. My biggest thanks is to Sue Leonard, our District Chair – she is the rock of our District for many years, who on a personal note has been a great adviser and friend throughout.

There is an exciting future ahead as Ellesmere District joins Lowry District for a whole new adventure as one– Salford District. I encourage everyone to embrace the exciting opportunities ahead as you work together as one unified District to deliver Scouting to young people. Most importantly, what happens every week at your meeting place will stay the same, under the leadership of your Group Lead Volunteer and with your fellow volunteers you will continue to deliver Skills for Life in the same way. A HUGE thank you for your continued dedication to Scouts – we couldn’t do it without you!

Structure, Governance and Management

The District’s governing documents are those of The Scout Association. They consist of a Royal Charter, which in turn gives authority to the Bye Laws of the Association and The Policy, Organisation and Rules of The Scout Association.

The District is a trust established under its rules which are common to all Scouts.

The Trustees are appointed in accordance with the Policy, Organisation and Rules of The Scout Association.

The District is managed by the District Trustee Board, the members of which are the ‘Charity Trustees’ of the Scout District which is an educational charity. As Charity Trustees they are responsible for complying with legislation applicable to charities. This includes the registration, keeping proper accounts and making returns to the Charity Commission as appropriate.

The Trustee Board consists of 7 Trustees (2 ex-officio, and 5 Appointed including the Chair and Treasurer) and meets every 2 months. Members of the Trustee Board complete ‘Being a Scouts Trustee’ learning within the first 6 months of joining the Board.

This District Trustee Board exists to make sure the Charity is well-managed, risks are assessed and mitigated, equipment is in good working order, and everyone follows legal requirements and the organisation's policies and rules. Their support helps other volunteers run high quality and safe programmes that gives young people skills for life.

Members of the Trustee Board must act collectively as Charity Trustees of the Scout District and in the best interests of its members in accordance with the Policy, Organisation and Rules of The Scout Association.

The District Trustees have identified the major risks to which they believe the District is exposed, these have been reviewed and systems have been established to mitigate against them. The main areas of concern that have been identified are: the District is primarily reliant upon income from the District Levy. The District does hold a reserve to ensure the continuity of activities should there be a major reduction in income. Otherwise, the Trustee Board would have to raise the value of the District Levy to increase the income to the District on an ongoing basis, either temporarily or permanently.

The District has sufficient insurance in place to mitigate against permanent loss of property, contents and equipment.

The District through the membership fees contributes to the Scout Associations national accident insurance policy to cover injury to volunteers, supporters and members. Additional insurance is purchased annually to cover nonmembers. Risk Assessments are undertaken before all activities.

The District has in place systems of internal controls that are designed to provide reasonable assurance against material mismanagement or loss, these include 2 signatories for all payments, and a comprehensive insurance policy to ensure that insurable risks are covered.

The District Finances continue to be in a healthy position as detailed in the Annual Statement of Accounts.

Public Benefit Statement

The District meets the Charity Commission's public benefit criteria under both the advancement of education and the advancement of citizenship or community development headings.

Financial Review

Reserves Policy

The District policy on reserves is to hold sufficient resources to continue the charitable activities of the District Scout Council should income and fundraising activities fall short. The trustees have agreed the sum of reserves should be equal to 12 months of operating costs.

Investment Policy

The District’s Income and Expenditure is very small and therefore does not have sufficient funds to invest in longer-term investments such as stocks and shares. The District has therefore adopted a low-risk strategy to the investment of its funds. All funds are held in cash using only mainstream banks.

The district Trustee Board regularly monitors the levels of bank balances, and the interest rates received to ensure the District obtains maximum value and income from its banking arrangements. Occasionally this may involve using an account that requires a period of notice before funds may be withdrawn, before doing so the District Trustee Board considers the cash flow requirements.

Independent Examiners Report

Unqualified report for a non-company charity preparing receipts and payments accounts with a gross income of £250,000 or less in the relevant financial year

Independent examiner’s report to the trustees of Ellesmere District Scout Council.

I report to the trustees on my examination of the accounts of Ellesmere District Scout Council for the year ended 31st March 2025.

Responsibilities and basis of report

As the charity trustees of Ellesmere District Scout Council, you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (‘the Act’).

I report in respect of my examination of Ellesmere District Scout Council accounts carried out under section 145 of the 2011 Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.

Independent examiner’s statement

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

  1. accounting records were not kept in respect of Ellesmere District Scout Council as required by section 130 of the Act; or

  2. the accounts do not accord with those records.

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.
