District Chair’s Welcome
I am pleased to present to you the Annual Review for Ellesmere District Scouts for the period 1st April 2023 to 31st March 2024.
What can I say except well done and thank you!
There has been a tremendous amount of work undertaken within the District over the past 12 months – all testament to the commitment and dedication of all volunteers in Ellesmere District. Whatever your role, wherever you Scout, you do it with the utmost commitment and passion to ensure everyone is included and involved whilst providing varied activities and fun all the way.
Transformation has been a huge piece of work, and on behalf of the Trustee Board, we would like to thank you for your work so far on the progress that has been made.
Young people continue to be inspirational in their Scouting commitment taking part in all activities, nights away and with their success in achieving top awards.
Increasing numbers and the opening of new Sections is always pleasing to see and will continue to go from strength to strength to ensure our District continues to deliver the best Scouting it possibly can.

The District Commissioner gave a safety and housekeeping announcement.
1. Introduction and Welcome
The Chair welcomed members of the District Scout Council to the 2023 Annual General Meeting. She also welcomed our County Representative, Greg Archer.
2. Apologies for absence
The District Commissioner read the apologies, as listed above. The meeting was unanimous in accepting the apologies.
3. To approve the Minutes of the Annual General Meeting held on 28th March 2023
The minutes have been previously reviewed by the District Trustee Board after the previous AGM and it was proposed that the minutes are taken as read and ask the District Scout Council to agree that they are a true record of that meeting.
Seconded by Andrew Scialpi-Sullivan. The meeting was unanimous in accepting the minutes were a true record of the 2022 AGM.
4. Governance topics
The Chair explained this part of the meeting is a necessary part to make sure that the charity’s foundations are in good order.
4a. To adopt the model constitution from Policy, Organisation and Rules
The Chair explained that in line with the recommendation from Scout Headquarters, the outgoing District Trustee Board proposed that we adopt the model constitution from Chapter 5 of Policy, Organisation and Rules. A copy of this was available for review and inspection prior to this meeting, and copies are also available at the meeting. We are already following this constitution.
Seconded by Pete Leonard. The meeting was unanimous in accepting the proposal.
4b. Note the District’s financial year
The Chair asked members of the District Scout Council to note that our charity’s financial year is 1st April to 31st March.
4c. Agree the number of members that may be elected to the Trustee Board
The District Scout Council must agree at its AGM the number of people that can be elected to the Trustee Board. The recommendation from the outgoing District Trustee Board is that 3 people can be elected. The District Chair proposed that the District Scout Council approves this recommendation.
Seconded by Faye Boyd. The meeting was unanimous in accepting the proposal.
4d. Agree the quorum for each of the District Scout Council (including this AGM), meetings of the District Trustee Board, meetings of any sub-committees
The Chair stated that the District Scout Council must agree at its AGM the quorum – the minimum number of District Scout Council members that must be present at a meeting of the District Scout Council. The recommendation from the outgoing District Trustee Board is that the quorum should be set at 15 persons. The District Scout Council was asked for approval of that recommendation.
Seconded by Lu Anderson. The meeting was unanimous in accepting the proposal.
The Chair stated that the District Scout Council must agree at its AGM the quorum for Trustee Board meetings, and any sub-committee meetings.
The Charity Commission statement of good practice is that the Trustee Board quorum should be set at one third of Trustee Board members plus one and that the that the sub-committee quorum should be set at one third of Trustee Board members plus one.
The recommendation from the outgoing District Trustee Board is that the quorum should be set the Charity Commission good practice statement. The District Scout Council was asked to approve the recommendation.
Seconded by Reece McSherry. The meeting was unanimous in accepting the proposal.
5. Review of the previous year
The Chair explained to the District Scout Council members present that this part of the meeting is the opportunity to reflect on the activities of the past year.
5a. District Commissioner’s Review of Scouting in the District
The District Commissioner presented their review of the year. The Chair thanked the District Commissioner for their review and all their hard work in driving the District forward since he was appointed.
5b. To receive and consider the Annual Report of the District Trustee Board including the annual Statement of Accounts
The Chair stated that the District Trustee Board has approved the Annual Report and Statement of Accounts and Accounts, and the report on the accounts has been received from the Independent Examiner.
The Chair invited questions from the meeting regarding the Trustee Annual Report, and the Annual Accounts. There were no questions. The Chair thanked Rob Scanlan and those involved in the annual report and accounts.
The Chair explained no vote is required, the District Scout Council only receives and considers.
6. Making appointments
The Chair explained that this part of the meeting sets the charity up to be well-led during the period until the next AGM. Particularly, the District Scout Council appoints a Trustee Board to ensure good governance for the charity over the next year.
6a. To re-appoint District President
The Chair asked members to note that the appointment of District President is made by the District Scout Council. Chair proposes that Eileen Johnson continues as President.
The meeting was unanimous in accepting the proposal.
6c. To approve the District Commissioner’s nomination of the District Chair
The Chair explained she will now hand the chair of this meeting over to the District Commissioner.
The District Commissioner thanked the District Chair for all their support, guidance and dedication to the District over the past year. The District Commissioner nominates Sue Leonard to continue as District Chair.
The meeting was unanimous in accepting the proposal.
6d. To elect the District Secretary
The Chair explained that the District Secretary is an elected appointment and, as required, Deborah Forrest has been formally proposed and seconded. Since there were no other nominations a show of hands is required to approve this election.
The meeting was unanimous in accepting the proposal.
6e. To elect the District Treasurer
The Chair explained that the District Treasurer is an elected appointment. Rob Scanlan will not be continuing in the role at this AGM.
We’ve had no nominations for a replacement; therefore, the position will remain vacant.
6f. To elect persons to the District Trustee Board
The District Commissioner stated the following people had been proposed and seconded as elected members of the District Trustee Board; Mike Hayes, Pete Leonard and Don Young.
The meeting was unanimous in accepting the proposal.
6g. To approve the District Commissioner’s nominations to the District Trustee Board.
The District Commissioner stated the following people were his nominations as nominated members of the District Trustee Board; Lu Anderson, Heather Richardson and Andrew Scialpi-Sullivan.
The Chair thanked all Trustees for their work during the year.
6h. To appoint the Scrutineer
The District Commissioner proposed Malcolm Gough as the independent scrutineer of the accounts. The Chair explained Malcolm Gough has been proposed and seconded and is qualified for the role.
The meeting was unanimous in accepting the proposal.
6i. To nominate representatives of the District Scout Council to represent the District on the County Scout Council
The Chair explained we are required to nominate a District representative to the County Scout Council. Steve Moss has been proposed and seconded.
The meeting was unanimous in accepting the proposal.
7. Closing Remarks
The Chair closed the formal business, thanking everyone for attending and for their continued dedication to Scouting in our District. The Chair outlined volunteer awards were to follow the formal business.
8. Presentation of Awards
The District Commissioner presented a number of long service awards and wood badges. Notably, the District Commissioner shared that the District President, Eileen Johnson was to be awarded her 60 years’ service award. The meeting gave applause for this outstanding achievement.
The Chief Scouts Commendation for Good Service was presented to Darren Melling, Matthew Morrissey, and Elisabeth Varden.
The Award for Merit was presented to Andrew Scialpi-Sullivan.
The District Commissioner thanked all of our volunteers, and said it had been a pleasure to present a large number of long service awards and wood badges throughout the year.
District Commissioner’s Report
It has been another incredible year for Ellesmere District!
We saw our youth and adult membership grow in the 2024 census by 4 percent, it is important our growth for each category increases together to ensure our existing volunteers are not being stretched further as our youth membership grows. Since the 2024 census, we welcomed 3rd/1st Eccles Squirrels to the District. In January 2024, the District Trustee Board have agreed the opening of 5th Little Hulton Scout Group, the first Group to serve Little Hulton in a number of years with Squirrels and Beavers planned to open during the summer term. I would like to thank Lu Anderson for her passion for growing the District and all her hard work in leading and supporting growth across the District.
In May 2023, we did see the closure of 11th Worsley Scout Group due to circumstances beyond our control. Thankfully by closing the Group we have strengthened 9th Worsley who were able to accommodate most of the young people, and many of the leadership team.
In June 2023, the District took over 1st Worsley HQ following the Group being dormant for a number of years. The District Trustee Board have committed to explore keeping the building within the District as a possible new home for some our 14-24 sections. The building requires lots of work to be completed to ensure we are offering a facility which can offer Scouting into the future. Hopefully in my next report, I will be able to share improvements which have taken place.
Our 14-24 sections have had a busy year of programme, including record numbers attending Young Leader Training and the commencement of the Duke of Edinburgh Award. In addition, our 14-24 Team started to plan the first international for a number of years and embraced my idea of opening it up to the District for Scouts and Explorers. I’m delighted we have 45 young people and 14 volunteers travelling to Kanderstag, Switzerland in Summer 2026, and they’ve already hit the ground running with fundraising.
In October 2024, we said goodbye to our District President, Eileen Johnston when she passed away at the age of 90. She had been part of Ellesmere District since its incorporation and Worsley District before that. Eileen had held a number of roles at Groups and within the District. Her service was extraordinary, we will be forever grateful for her contributions.
Throughout the year I’ve had the pleasure of presenting lots of Top Awards to our young people, in addition to wood badges, good service awards and long service awards to our amazing volunteers. One of my highlights of the year was the District Awards Evening held in March 2024 which was attended by over 100 people. The Ceremonial Mayor of Salford and Lord Lieutenant presented Top Awards to 61 young people, in addition to 3 Silver Acorns, 6 Awards for Merit, 1 Chief Scout Commendation to dedicated volunteers in our District whose service goes above and beyond. We also introduced three Special Recognition Awards named in memory of former Scouters, Bill Beecroft (Former District Commissioner), Cllr Bernard Pennington (Former District Chair) and Eileen Johnson (Former District President). These awards were for young people and volunteers who had done something ‘extraordinary’ and were presented to Lainey Ogden (Cub Scout), Nicola Nelson (Group Treasurer) and Faye Boyd (Section Leader).
At our District Awards Evening, we also announced two new appointments within the District, President and Vice President. We were delighted Phil Rigby agreed to be our District President, following his time as District Chair and also his long connection with the District as Warden at Middlewood Scout Camp. Deborah Forrest, agreed to become our Vice President. Deborah spent many years as our District Secretary until recently and before that held a number of Group roles.
I would like to thank the District Trustee Board, especially Sue Leonard, for all their support over the past year as we’ve transitioned from an Executive Committee to a Trustee Board, and ensured our charity is governed in
line with The Scouts Policy, Organisation and Rules, and the Charity Commission Guidance. The Trustees have been supportive of development across the District, including setting up a new provision fund for new Groups and Sections to apply for financial support.
The District Team have supported lots of new and existing sections across the District, undertaken appointments committees, delivered first response training and provided a number of programme events – thank you for everything you do!

Structure, Governance and Management
The District’s governing documents are those of The Scout Association. They consist of a Royal Charter, which in turn gives authority to the Bye Laws of the Association and The Policy, Organisation and Rules of The Scout Association.
The Disitrict is a trust established under its rules which are common to all Scouts.
The Trustees are appointed in accordance with the Policy, Organisation and Rules of The Scout Association.
The District is managed by the District Trustee Board, the members of which are the ‘Charity Trustees’ of the Scout District which is an educational charity. As Charity Trustees they are responsible for complying with legislation applicable to charities. This includes the registration, keeping proper accounts and making returns to the Charity Commission as appropriate.
The Trustee Board consists of the Chair, Treasurer and 5 Trustees (including 2 Ex Officio Trustees) and meets every 2 months. Members of the Trustee Board complete ‘Being a Scouts Trustee’ learning within the first 6 months of joining the Board.
This District Trustee Board exists to make sure the Charity is well-managed, risks are assessed and mitigated, equipment is in good working order, and everyone follows legal requirements and the organisation's policies and rules. Their support helps other volunteers run high quality and safe programmes that gives young people skills for life.
Members of the Trustee Board must act collectively as Charity Trustees of the Scout District and in the best interests of its members in accordance with the Policy, Organisation and Rules of The Scout Association.
The District Trustees have identified the major risks to which they believe the District is exposed, these have been reviewed and systems have been established to mitigate against them. The main areas of concern that have been identified are: the District is primarily reliant upon income from the District Levy. The District does hold a reserve to ensure the continuity of activities should there be a major reduction in income. Otherwise, the Trustee Board would have to raise the value of the District Levy to increase the income to the District on an ongoing basis, either temporarily or permanently.
The District has in place systems of internal controls that are designed to provide reasonable assurance against material mismanagement or loss, these include 2 signatories for all payments, and a comprehensive insurance policy to ensure that insurable risks are covered.
The District Finances continue to be in a healthy position as detailed in the Annual Statement of Accounts compiled by our District Treasurer.

The Purpose of Scouting
Scouting exists to actively engage and support young people in their personal development, empowering them to make a positive contribution to society.
The Values of Scouting
As Scouts we are guided by these values:

Care - We support others and take care of the world in which we live. Belief - We explore our faiths, beliefs, and attitudes.
Co-operation - We make a positive difference; we cooperate with others and make friends.
The Scout Method
Scouting takes place when young people, in partnership with adults, work together based on the values of Scouting and:

Public Benefit Statement
The District meets the Charity Commission's public benefit criteria under both the advancement of education and the advancement of citizenship or community development headings.
Financial Review
Reserves Policy
The District policy on reserves is to hold sufficient resources to continue the charitable activities of the District Scout Council should income and fundraising activities fall short. The trustees have agreed the sum of reserves should be equal to 24 months of operating costs.
Investment Policy
The District’s Income and Expenditure is very small and therefore does not have sufficient funds to invest in longer-term investments such as stocks and shares. The District has therefore adopted a low-risk strategy to the investment of its funds. All funds are held in cash using only mainstream banks.
The district Trustee Board regularly monitors the levels of bank balances, and the interest rates received to ensure the District obtains maximum value and income from its banking arrangements. Occasionally this may involve using an account that requires a period of notice before funds may be withdrawn, before doing so the District Trustee Board considers the cash flow requirements.

Independent examiner’s report to the trustees of Ellesmere District Scout Council.
I report to the trustees on my examination of the accounts of Ellesmere District Scout Camp for the year ended 31st March 2024.
Responsibilities and basis of report
As the charity trustees of Ellesmere District Scout Council, you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (‘the Act’).
I report in respect of my examination of Ellesmere District Scout Council accounts carried out under section 145 of the 2011 Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.
Independent examiner’s statement
I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

accounting records were not kept in respect of Ellesmere District Scout Council as required by section 130 of the Act; or
-
the accounts do not accord with those records.
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.
