REPORT OF THE TRUSTEES FOR THE YEAR ENDED 31 AUGUST 2025

The trustees present their report with the financial statements of the charity for the year ended 31 August 2025. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).

OBJECTIVES AND ACTIVITIES

Aim

The principle purpose of Pennington Nursery is to enhance the development and education of children under statutory school age by encouraging parents to understand and provide for the needs of their children through community groups and by:

a) Offering appropriate play facilities and training courses, together with the right of parents to take responsibility for and to become involved in the activities of such groups, ensuring that such groups offer opportunities for all children, regardless of race, culture, religion, means or ability:

b) Encouraging the study of the needs of such children and their families and promoting public interest in and recognition of such needs in the local area(s).

The charity is constituted as an unincorporated charity and is controlled by its governing document. The charity registration number with the Charity Commission is 1028638.

The Nursery serves the local community but does not apply any form of restriction, geographical or otherwise to allow access to its services. The Nursery's educational operations are regulated by Ofsted and Cumbria County Council. The Nursery is currently rated as 'Good' by Ofsted.

The services offered by the Trustees of the Nursery are deemed to be beneficial by their nature and are available to a large section of the public.

ACHIEVEMENTS AND PERFORMANCE

Charitable activities

The year ended 31 August 2025 marked another positive year for Pennington Nursery in meeting its charitable objectives. The trustees and Nursery Managers continued to focus resources on improving the nursery environment for the benefit of the children, including investment in the external play areas and the development of the outdoor classroom area. These improvements support the Nursery's commitment to providing a safe, engaging and high-quality early years environment.

Demand for nursery places remained strong during the year, including places within the baby room, after school club and holiday club provision. The Nursery also continued to maintain a positive relationship with Pennington School, with shared activities and ongoing links supporting children, families and the wider local community.

The trustees were pleased that the Nursery became a Living Wage Foundation employer from September 2024. The trustees remain committed to supporting staff and improving pay and remuneration where financially sustainable, recognising the important role staff play in delivering high-quality care and education.

The Nursery Manager, Carrie Viney, and Education Manager, Diane Mackereth, remain responsible for operational management and education provision respectively. The trustees wish to thank them and all members of staff for their continued commitment and excellent work during the year. The managers have delegated responsibility for day-to-day operational decision-making, with the trustees meeting regularly to receive updates, review performance and provide governance oversight.

FINANCIAL REVIEW

Financial position

The financial position of the Nursery remains strong, with income from Nursery fees and grants providing a total revenue of £526,899 (2024: £467,360) and expenditure on charitable activities of £453,828 (2024: £413,755). This has resulted in a net surplus contribution to reserve of £73,071 (2024: £53,605).

The Nursery retains sufficient liquid reserves to meet its short and long-term liabilities. The cash position remains strong, with cash reserves increasing during the year despite continued investment in capital improvements and the external environment. The Nursery has no bad debts and has fully repaid the outstanding bank loan during the year.

The trustees remain confident about the ongoing financial strength of the Nursery.

Investment policy and objectives

As at 31 August 2025, the charity held significant cash reserves in a high-interest bank account. The trustees reviewed the level of cash held and considered the Financial Services Compensation Scheme deposit protection limits. Following the year end, the trustees moved a proportion of the charity's reserves into a separate high-interest bank account to manage deposit protection exposure and ensure that surplus cash continued to earn interest while remaining readily accessible.

The trustees do not currently hold any long-term investments. The charity's approach is to hold funds in low-risk cash deposits, with the priority being capital protection, liquidity and the ability to meet the Nursery's operational and future development needs.

Reserves policy

The trustees aim to maintain sufficient unrestricted reserves to protect the Nursery against changes in income, unexpected expenditure, operational risks and future maintenance requirements. The reserves are intended to support continuity of provision, protect staff and service delivery, and allow the Nursery to continue meeting its charitable objectives.

The trustees review the level of reserves regularly, taking into account the Nursery's operating costs, cash flow requirements, future investment needs and the risks associated with the early years funding environment. At 31 August 2025, the trustees considered the level of reserves to be appropriate and sufficient to support the Nursery's ongoing activities and future plans.

Going concern

The purpose of the Nursery's reserves is to provide sufficient protection against changing financial circumstances and to support future business development, enabling the Nursery to continue fulfilling its charitable objectives.

The level of general reserves, as reflected in Note 17 to the financial statements, is represented by tangible fixed assets and net current assets. The trustees consider this level of reserves to be sufficient for the Nursery to meet its short and medium-term expenditure obligations. The Nursery's cash reserves significantly outweigh its short and long-term liabilities.

The trustees have a reasonable expectation that the Nursery has adequate resources to continue in operational existence for the foreseeable future. For this reason, they continue to adopt the going concern basis in preparing the financial statements. Further details regarding the adoption of the going concern basis can be found in the accounting policies.

Constitution

The charity is governed by a constitution created in October 1993 and amended in February 2001.

FUTURE PLANS

Following the investment in the external play areas and outdoor learning environment, the trustees intend to focus on consolidating the Nursery's position as a recognised quality provider of nursery and early years education.

The trustees will continue to support high standards of care, education and safeguarding, while ensuring the Nursery remains financially resilient and able to meet the needs of children, families, staff and the wider local community.

Future priorities include maintaining and improving the Nursery's facilities, supporting staff development, reviewing demand for nursery, after school and holiday club provision, and ensuring that the Nursery remains an employer of choice within the early years sector.

STRUCTURE, GOVERNANCE AND MANAGEMENT Governing document

The charity is controlled by its governing document, a deed of trust and constitutes an unincorporated charity.

Recruitment and appointment of new trustees

The trustees are responsible for the overall governance and strategic direction of the Nursery, including financial oversight, safeguarding oversight, compliance with charity law and ensuring that the Nursery continues to meet its charitable objectives.

New trustees are recruited through parent communications, nursery platforms and the school newsletter. When appointing new trustees, the trustees consider the skills, experience and commitment required to support the effective governance of the Nursery.

New trustees are provided with Charity Commission guidance, including guidance on the role and responsibilities of charity trustees. Trustees are expected to act in the best interests of the charity, manage its resources responsibly and ensure that the Nursery continues to operate for public benefit.

Independent examiner's report to the trustees of Pennington Nursery

I report to the charity trustees on my examination of the accounts of Pennington Nursery (the Trust) for the year ended 31 August 2025.

Responsibilities and basis of report

As the charity trustees of the Trust you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 ('the Act').

I report in respect of my examination of the Trust's accounts carried out under Section 145 of the Act and in carrying out my examination I have followed all applicable Directions given by the Charity Commission under Section 145(5)(b) of the Act.

Independent examiner's statement

Since your charity's gross income exceeded £250,000 your examiner must be a member of a listed body. I can confirm that I am qualified to undertake the examination because I am a member of the Institute of Chartered Accountants in England and Wales, which is one of the listed bodies.

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

  1. accounting records were not kept in respect of the Trust as required by Section 130 of the Act; or

  2. the accounts do not accord with those records; or

  3. the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination.

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

1. ACCOUNTING POLICIES

Basis of preparing the financial statements

The financial statements of the charity, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Charities Act 2011. The financial statements have been prepared under the historical cost convention.

Income

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably.

Expenditure

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.

Tangible fixed assets

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.

Long leasehold - 3% on cost and in accordance with the property Plant and machinery - 20% on cost Computer equipment - 33% on cost

Taxation

The charity is exempt from tax on its charitable activities.

Fund accounting

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements.

Pension costs and other post-retirement benefits

The charity operates a defined contribution pension scheme. Contributions payable to the charity's pension scheme are charged to the Statement of Financial Activities in the period to which they relate.

Grants

Grants received are credited to profit and loss account in the financial period in which they are received.
