The trustees present their report ￿llth the financlal ststements of the tharity for the year ended 31 March 2024. The
trustees have adopted the prowsion5 of Accountlng and Reporting by Charittes.. Statement of Recommended Practi
applicable to charities preparing their accounts in accordance with the Financial Reportlng Standard applicable In the
UK and Republic of Ireland (FR5 1021 (effective l January 2019).
OBJECTIVES AND AcnvmES
Objectives and alms
The Brltlsh Sleep Society was registered as a charlty In 1991 and is governed by a trust deed.
The prlnclpal oblectlves of the trust are:

In the furtherance of these objectives. but not further or otherwtse, the powers of the tharlty are as set out in its
constitution.

The trustees consider that these objectives comply wrth the duty In section 4 of the 2(K)6 Charities Act to have regard
to guidan￿ published by the Charlty Commission.

The BSS has continued to be engaged wlth a ran8e of trainin8 courses, publlc engagement events, media appearances,
and professional meeting
Most notably, the 2023 blennial conference took pla￿ In person in Ottober 2023 Sn Leeds, and was highly successful,
wlth over 250 dele8ates attendin& sponsorsh5p welding a strong proflt and with attendees leaving highly positive
feedback about the event. Overall, the conference yielded approximately £70,000 In Income. Not only wa5 thi5 the first
In-person event for the Soclety slnce the COVID19 pandemlc, It was also the largest In the Sc(iety'S history. At that
meetln& the membership of the Trustees and the wlder Executive Committee was refreshed. The updated membershlp
details are included later In thls reporL
In June 2023, a successful joint symposlum wlth the Royal Sodety of Medicine and the BSS was held In London.
The annual members day for The Brltlsh Soclety of Dentsl Sleep Medlclne IBSDSMI took place in November and was
well attended. The BSDSM Is a sub-commlttee of the BSS at present.

ACHIEVEMENT AND PERFORMANCE
Charitable attivities
The flnandal poslwon of the Trust Is set out in the annexed accounts.
Durin8 the 2023-2024 financial year, the British Sleep Society (BSS) has continued its mission to provide leadership in
the field of sleep within the UK focusing on educ*ion. research and communlcation, in order to achieve tts mlsslon of
"healthy sleep for all"
Overall, the BSS Is In a healthy financlal positlon. Although outgoln8s are much greater than in the previous fi nancial
year, and income much le￿, this IS the result of a substsntial successful grant award last year and its expendtture thls
year, a5 Outlined below.
During 2022-23 the Bsswas awarded a contractfrom Health Education England for the prowsion ofsleep education to
dlfferent parts of the NHS workforce. Ch4er the past financial year, this funding has been used in part to set up and dellver
the tralnlng In the form of weblnars and to fund a full tlme Transfomiation Fellow to lead on the trainlng and outreach
activlties of the BSS. The weblnars commenced In Ncwember 2023 wlth A Prlmer in Sleep Medicine, and a￿ ongolng.
Thus far, 11 webinars have been delivered and there are plans In place to continue this as an annual programme, In
addltlon, In-person poly8raphy and poly50mno8raphy courses (the latter being delivered at both Introductory and
advanced levels) have been dellvered as part of this misslon. The workshops have been very well recelved, with
attendan￿ exceeding 250 for one of them, far In excess of expertations.
Employment of theTransformatlon Fellow, the flr5t person ever dlrectly employed by the Society, commenced In August
2023 and is ongolng. Due to a healthy financlal status, the posltlon will continue to be funded for a second year, to July
2025. The su5tsinability of that position thereafter wlll be re8ularly revlewed.
To allow the BSS to employ this Fellow, external support wlth human re50uros Including payroll and contractual
requlrements has been enlisted. Day to day finanaal, events, and admlnlstratNe support contlnues to be provided
externally, by Executive B'uslness Support, and thls partnership works well, allowlng Trustees and Executive Comrnlttee
members to serve the BSS without char8e.
Officers (also the trustees) of the BSS were refreshed in October 2023, wlth some continuity of expertise within the
leadershlp team as per the Soclety's constitutlon. The previous Secretsry and Treasurer were elected as Co-Presidents,
wlth a new Secretary and Treasurer being appointed. The Secretary commenced a period of maternlty leave in
November, vAth thelr dutles being shared across the other officers and Transformation Fellow.
The Executive Committee continues to function as the maln deasion-making body of the Society and is ably asslsted In
this regard by Educatlon, Research and Communlcation subcommittees. In addition, the sub-groups of the British
Paediatric Sleep Society, and the British Society of Dental Sleep Mediclne. function to represent their respectlve
professlonal Interests, whllst beln8 represented on the BSS Executive Committee.
The Executive Committee membership and the constitution governing the constttuency of the EC can been seen on the
soclety website at https:l/www.sleepsociety.org.uk/. No remuneration or other benefits have been paid or are payable
to any trustee.

The Trustees monitor the level of reserves to ensure it is sufficient to cover the overheads for a minimum period of 3
months.

FUTURE PLANS
Discussions are ongoing to incorporate the BSDSM Into the BSS, which will likely occur, subject to due diligence and
member supporL in the next financial year. Thls will likely involve the carry-over of approximately £40,000. whlch can
be used in part to integrate and update the BSDSM and BSS websites, and for designated BSDSM activities such as
ongoing annual members day events.
Funds may also be used to support ongoing mapping of sleep professionals and relevant services across the UK. This
workwill commence in the next year.
Preparations are ongoin8 for the 8th Intematlonal Paediatric Sleep Association Conferen￿ in Glasgow {April 20241 wlth
support from the Brltlsh Paediatric Sleep Society, a sub-group of the BSS.
The BSS is preparin8 a position statement on Dayllght Saving Time {British Summer Timel and the associated clock
changes, which we hope will be published, along wlth wider public and media interes( In the next financial year.
In collaboratSon wlth partners at the Edinbur8h International Convention Centre, the BSS Executive Committee convened
a conferen￿ Organising Committee to initiate a bid to host the European Sleep Research Society congress in 2028,
which was subsequently successful and will attract international interest In the BSS, provide a focal point for sleep
research and activity within the UK, and should yield signlflcant Income for the Society.
The BSS has sought to reform towards unincorporated charitable assoclation status, and that proce55 is ongoin& wlth
support from external legal teams.
Taken together, the past year has been highly successful, and we anticipate further strong and successful activities next
year.
STRucfuRE, GOVERNANCE AND MANAGEMENT
Governlng document
The charity is controlled by its governing document, a deed of trust and constitutes an unincorporated tharity.
Recrultment and appolntment ot new trustees
In accordan￿ with the constitution, the committee is elected at the Annual General Meeting of the society. Election to
the committee shall be for 3 years. One third of the commlttee shall retlre annually but shall be eligible for re-
electlon provlded that no membershall serve for more than slx consecut5ve years. The trustees during the year are listed
on the information page.
Organlsatlonal slructure
The charity is governed by it5 members, with management of the charity delegated to its executive committee, who
meet not less than On￿ a year.

The finanaal ststements of the charity, which is a publlc benefit entity under FRS 102, have been prepared in
accordance with the Charfties SORP IFRS 102) 'Accountlng and Reporting by Charitles: Statement of
Recommended Practice applScable to charities preparing thelr accounts in accordance with the Financial
Reporting Standard applicable In the UK and Republic of Ireland {FRS 1021 {effective l January 20191,, Financlal
Reportin8 Stsndard 102 The Financial Reporting Stsndard appllcable In the UK and Republic of Ireland, and the
Charltles Act'2011. The financial statements have been prepared under the historical cost conventlon.

All income is recognised in the Ststement of Financial Attivities once the charity has entitlement to the funds,
tt is probable that the income will be received and the amount can be measured reliabiy.
Income received for a speafic restricted purpose is credited to a separate restricted fund which is shown in a
note to the flnanaal statements. Total incoming reSoUr￿S credited to restricted funds are disdosed on the
ststement of financial attivities which also shows incoming resources in respect of unrestricted funds.
Donations and grants received are credlted on the ststement of financial activities in the year to which they
relats.

tharity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and
the amount of the obligation can be measured rellably. Expendlture is accounted for on an accruals basis and
has been classified under headings that aggregate all cost related to the category. Where costs cannot be dlrectly
attrfbuted to particular headin8s they have been allocated to artlvttles on a basls conslstent wlth the use of
resources.
Grants offered sublert to conditions which have not been met at the year end date are noted as a commttment
but not accrued as expenditure.

The charity is exempt from tsx on Its charltsble artivitles.
Fund accounting
Unrestrfcted funds can be used in accordance with the charitable objectives at the discretion of the trustees.
Restritted funds can only be used for particular restricted purposes within the objects of the charity.
Restrictions arise when speafied by the donor or when funds are rdlsed for partlcular restrirted purposes.

Pension costs and other post-retirement benefits
The charity operates a defined contribution pension scheme. Contribution5 payable to the charity's pension
scheme are tharged to the Ststement of Financial Activities in the period to which they relate.
