The trustees present their report and the financial statements for the year ended 31 March 2026.

Objectives and Activities

Aims and Objectives

2025 saw a change in governance at Age Concern Chipping Norton Area Day Centre as Pat Lake, who had been Chair of the charity for over 25 years, stood down from being a Trustee. New post holders were elected in January 2026 from existing trustees in accordance with the charity’s constitution. The remaining Trustees wish to thank Pat for his many years of dedicated and hard work that helped make the Highlands Day Centre one of the very best in the County. He has continued to steward the popular Chippy Active Trips on behalf of the Charity since standing down, for which the Trustees are very appreciative.

Highlands Day Centre closed in 2022 due to a combination of lack of demand, funding and the impact of the COVID-19 pandemic. Whilst the Day Centre is no longer running, trustees have been working hard to keep the Highlands building in the local community and in 2025/26 have been working closely with The Theatre Chipping Norton who had been looking for a building to substantially expand their community work, particularly working with elderly and disadvantaged groups – providing physical, mental, and social welfare benefits. Age Concern Chipping Norton granted a licence to occupy the Highlands building to The Theatre Chipping Norton in May 2025. During the year, The Theatre have funded much needed internal refurbishments and have been running various workshops and events at the building. They have also sub-let part of the building to Lawrence Nurses who provide free, end-oflife care at home and who had been looking for a more permanent base.

Age Concern Chipping Norton Trustees have been heartened that during the 2025/26 year the Highlands building has started to be used once more and look forward to Highlands becoming the vibrant hub it once was. The Charity itself has continued to have an office in the Highlands building and has held its Trustee meetings there regularly throughout the year. The charity’s vision is to transfer ownership of Highlands to The Theatre so that it can continue to deliver to our beneficiaries in the local community. We will continue to have a base at Highlands, and in the future, we plan to be operating largely as a grant-aiding charity supporting local projects in line with our charitable objects.

The Trustees are in the process of submitting an application to the Charity Commission to update and widen Age Concern Chipping Norton’s charitable objects to reflect the current and changing needs and situations of those the charity serves to enable more appropriate provision for the community, that better reflects the wants and needs. As part of the application to the Charity Commission, during 2025/26, we consulted key stakeholders and beneficiaries and received feedback from them and the Charity Commission. This input has been of great benefit to Trustees and enabled the Charity to reflect and re-position itself. In the 2026/27 year, we will be undertaking wider consultation on the proposed revised objects.

Major Risks

The trustees have examined the major strategic, business and operational risks which the charity faces and confirm that systems have been established to enable regular reports to be produced so that necessary steps can be taken to lessen these risks.

The risks faced in the financial year 25/26 have been:

Investment income: the charity relies on investment income since the closure of the Day Centre in 2022.

Risks include: fluctuating investment markets affecting income and reduced finances to service the running costs of the charity, which could necessitate calling on reserve funds.

Building liability: the building ‘Highlands’ has been unoccupied for extended periods of time due to the closure of the Day Centre in 2022. Highlands has been under a licence to occupy by The Theatre Chipping Norton since May 2025 and this charity has overseen sub-letting of the building in partnership with Age Concern Chipping Norton.

Risks include: general dilapidation of building, water leaks, storm damage, third party access, all of which could call on reserve funds

Intended transfer of assets to The Theatre Chipping Norton: the charity aims to transfer the asset of Highlands (property at 73 Burford Road, Chipping Norton) to The Theatre Chipping Norton to enable the resource to remain in the community for the benefit of current and future beneficiaries Risks include: Protecting the interests of the charity’s beneficiaries through a Transfer Agreement. Ensuring the transfer is undertaken through good governance and correct legal and charitable processes, through the appointment of solicitors with charity sector expertise (with associated nonrecoverable, potentially-high solicitors fees, which could call on reserve funds). Protecting the ability of the charity to monitor and oversee delivery to the charity’s beneficiaries by the Theatre via the Highlands asset, through provisions to be set out in the Transfer Agreement.

Chippy Active Trips: The charity runs several trips a year to a variety of places including theatre trips, holidays and trips to places of interest. These trips are organised through a membership to CATs (Chippy Active Trips) and managed by Pat Lake (former chair of the charity). Risks include: the charity making a loss on some trips due to low uptake of CATs members. Historically, CATs has made an overall surplus in any given year, however, the downside risk remains present and could call on reserve funds.

Governance: The charity is going through a transitional phase and updating charitable objects. Risks include: solicitor’s and associated fees which could call on reserve funds.

Financial Review

Financial Position

Investment income continues to form the main income of the charity and during this transitional phase there have been no activities organised by The Charity other than Chippy Active Trips and Seated Exercise Classes and therefore negligible income received from activities.

Income and expenditure is being closely monitored as legal expenses associated with governance and transfer matters, running costs of the building, and wages continue to rise, with investments being the primary income. We foresee these expenses continuing in to the next financial year.

Reserves Policy

It is the policy of the charity that unrestricted funds which have not been designated for a specific use should be maintained at a level equivalent to between three and six months’ expenditure. The trustees consider that reserves at this level will ensure that, in the event of a significant drop in funding, they will be able to continue the charity’s current activities. This level of reserves has been maintained throughout the year.

Structure, Governance and Management

Trustee Selection Methods

The Charity has approached local volunteer advisors to assist with targeted advice and are delighted to welcome Dr Jonathan Moore for his local community knowledge and expertise with our beneficial groups (appointed as a Volunteer Advisor at the Management Committee meeting of 11 February) and Rebecca Williams for her sector financial management expertise at the committee meeting of 29 April 2026. The trustees have also engaged Graeme Williamson at the Management Committee meeting of 11 February 2026, to provide support on an ad-hoc consultancy basis to benefit from his expertise in the charity sector, recognising that he is also commissioned to support the Theatre, so any conflicts of interest will assessed where they arise.

Recruitment and Appointment of Trustees

A board of trustees who meet regularly, administer the charity, the members of which are as disclosed on the charity information page. There are subcommittee as applicable. The permanent paid employee manage the day to day operation of the charity. The trustees are elected at the Annual General Meeting and are given a trustees handbook. This outlines their responsibilities, details of the procedures and policies of the charity, a copy of the constitution which references the role of AgeUK.

The trustees report was approved by the Board of Trustees.

The charity was established by a charitable trust deed in 1992.

The trustees who served during the period of this report and up to the date of signature of the financial statements were:

The Management Committee consists of all trustees named above plus Joyce Taylor Co-opted member as Highlands Manager, and has met regularly during this period. No new trustees have joined during this period. After the resignation of former Chairman, the committee has met more frequently to ensure the comprehensive continuation and compliance of the charity.

I report to the trustees on my examination of the accounts of Age Concern - Highlands (the Trust) for the year ended 31 March 2026.

Responsibilities and Basis of Report

As the charity trustees of the Trust you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (“the Act”).

I report in respect of my examination of the Trust’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination, I have followed the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.

Independent Examiner's Statement

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

  1. accounting records were not kept in respect of the Trust as required by section 130 of the Act; or

  2. the accounts do not accord with those records; or

  3. the accounts do not comply with the applicable requirements concerning the form and contents of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a 'true and fair view' which is not a matter considered as part of an independent examination.

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

1. General Information

Age Concern - Highlands is an unincorporated charity registered with the Charity Commission, registered charity number 1000254 . The principal address is Highlands, 73 Burford Road, Chipping Norton, Oxfordshire, OX7 5EE.

2. Accounting Policies

2.1. Basis of Preparation of Financial Statements

The financial statements have been prepared in accordance with the Charities SORP (FRS 102) "Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)", Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Charities Act 2011.

The charity is a Public Benefit Entity as defined by FRS 102.

The financial statements are prepared in sterling, which is the functional currency of the charity. Monetary amounts in these financial statements are rounded to the nearest £.

The financial statements have been prepared under the historical cost convention, modified to include the revaluation of freehold properties and to include investment properties and certain financial instruments at fair value. The principal accounting policies adopted are set out below.

2.2. Incoming Resources

Income is recognised when the charity is legally entitled to it after any performance conditions have been met, the amounts can be measured reliably, and it is probable that income will be received.

Cash donations are recognised on receipt. Other donations are recognised once the charity has been notified of the donation, unless performance conditions require deferral of the amount. Income tax recoverable in relation to donations received under Gift Aid or deeds of covenant is recognised at the time of the donation.

Legacies are recognised on receipt or otherwise if the charity has been notified of an impending distribution, the amount is known, and receipt is expected. If the amount is not known, the legacy is treated as a contingent asset.

Turnover is measured at the fair value of the consideration received or receivable and represents amounts receivable for goods and services provided in the normal course of business, net of discounts, VAT and other sales related taxes.

2.3. Resources Expended

Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit to a third party, it is probable that a transfer of economic benefits will be required in settlement, and the amount of the obligation can be measured reliably.

Expenditure is classified by activity. The costs of each activity are made up of the total of direct costs and shared costs, including support costs involved in undertaking each activity. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs which contribute to more than one activity and support costs which are not attributable to a single activity are apportioned between those activities on a basis consistent with the use of resources. Central staff costs are allocated on the basis of time spent, and depreciation charges are allocated on the portion of the asset’s use.

2.4. Tangible Fixed Assets and Depreciation

Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided at rates calculated to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives on the following bases:

Freehold 1% straight line basis
Plant & Machinery 15% reducing balance basis
Motor Vehicles 25% reducing balance basis

2.5. Investments

Fixed asset investments are initially measured at transaction price excluding transaction costs, and are subsequently measured at fair value at each reporting date. Changes in fair value are recognised in net income/(expenditure) for the year. Transaction costs are expensed as incurred.

2.6. Cash and Cash Equivalents

Cash and cash equivalents are basic financial assets and include cash in hand and deposits held at call with banks, other short-term highly liquid investments that mature in no more than three months from the date of acquisition and are readily convertible to a known amount of cash with insignificant risk of change in value, and bank overdrafts.

During the year, the charity’s freehold property was subject to an independent professional valuation. The valuation was carried out by Taylor & Fletcher, a qualified independent valuer, on 1 June 2026 in accordance with the RICS Valuation – Global Standards.

As a result of this valuation, the carrying value of the freehold property has increased by £550,687. This increase has been recognised in the Statement of Financial Activities and accumulated in unrestricted reserves, in accordance with the charity’s accounting policy for tangible fixed assets.

The property is now stated at a revalued amount of £871,794 as at the balance sheet date. The trustees consider that the valuation reflects the fair value of the property at that date.
